Ce mémoire a été accepté à l'unanimité et classé parmi les 15% des mémoires de la discipline. / L'arbitrage étant une institution basée sur la volonté des parties, le consentement à la
procédure arbitrale multipartite soulève de nombreuses questions relativement à la
manière dont les parties expriment leur intention de faire partie d'une instance unique.
Cette étude vise à déterminer les conditions dans lesquelles l'arbitre peut arriver à
unifier la résolution des litiges qui impliquent les groupements de sociétés.
Le plus naturel des moyens pour aboutir à une procédure multipartite est de prévoir
cette possibilité à travers la convention d'arbitrage. Cela peut notamment provenir de
la signature d'une convention d'arbitrage unique par toutes les parties concernées.
Dans certains cas précis, l'arbitrage multipartite peut également résulter de plusieurs
conventions d'arbitrage spécialement lorsque les parties participent à la réalisation
d'un même ouvrage.
Cependant, il arrive souvent qu'une partie qui n'a pas signé la convention d'arbitrage
soit obligée à participer à l'instance. Même sans y être obligée, une partie non-signataire
de la convention d'arbitrage peut aussi demander de participer à l'arbitrage
pour défendre ses intérêts. Pour pouvoir admettre la participation à la procédure d'un
tiers non-signataire de la convention d'arbitrage, les arbitres ont recours à plusieurs
notions prévues par les droits internes. C'est ainsi que la levée du voile corporatif, la
théorie de la réalité économique et le principe de l'estoppel constituent les meilleurs
outils pour les arbitres d'amener à la procédure, par force ou sur demande, un non-signataire
de la convention d'arbitrage. Enfin, les mécanismes du Code civil servent
efficacement à neutraliser les effets du principe de relativité de la convention
d'arbitrage. Il s'agit notamment de la bonne foi, du mandat, de la stipulation pour
autrui et de la cession. / Arbitration as an institution based on the intention of the parties, the consent on the
multi-party arbitration procedure raises many problems relating to the way in which
the parties express their intention to participate in a unique arbitration forum.
This study aims to determinate the manner in which the arbitrator can join disputes
resolution involving the groups of companies.
The normal way to get a multi-party procedure is to provide it in an arbitration clause.
This can be by signing a single arbitration agreement by all the parties involved. In
certain cases, the multi-party arbitration can also be possible with several arbitration
agreements especially when the parties took part in carrying out ofthe same economic
operation.
However, in other situations, the multi-party arbitration procedure is unrelated to
consent. A non-signatory party can nevertheless be bound by an arbitration agreement
signed by an other party. To allow the participation in the arbitration procedure of a
third party non-signatory of the arbitration agreement, the arbitrators use several
concepts provided chiefly by the national laws. 80, the lifting of the corporate veil,
the doctrine of economic reality and estoppel, are the best tools for the arbitrators to
bring to the arbitration procedure, by force or on request, a non-signatory of the
arbitration agreement. Lastly, the mechanisms of the Civil code are used with
efficiency by arbitrators to neutralize the effects of the relativity principle of the
arbitration agreement. Those mechanisms are in particular the good faith, mandate,
stipulation for another and assignment.

1 The purpose of this thesis is to discuss the main aspects of the Czech legal regulation of the arbitration proceeding under the view of the particular Western European national and international legal orders. By doing so, the author strives for critical review of the arbitration proceeding as per the Czech legal order under the worldwide perspectives and with the prism of modern Western European and world legal theory of the arbitration proceeding. The intention of such research is to determine if the contemporary Czech legal regulation of the arbitration proceeding is in conformity with the modern theory and practice of the arbitration proceeding. This thesis also aims to answer a question whether the Czech courts shall have the right to review the application of law by the arbitrators. The author is seeking to answer this question by comparing the the Czech, or rather Continental system of law with the law of England and Wales.

Cette recherche aborde un sujet complexe, qui est en plein débat doctrinal en droit de l'arbitrage international: L'arbitrage commercial international et les garanties procédurales.
Au fait, l'arbitrage commercial international revêt le mode traditionnel des règlements de litiges du commerce international et des relations économiques internationales. À cause de l'hybridité de sa nature (contractuelle et juridictionnelle), il est le plus souvent préféré par les parties aux tribunaux étatiques. Cette faveur vis-à-vis de ce mode de règlements de litiges internationaux s'explique par le développement de l'économie internationale, par la globalisation du marché, par la conclusion de nombreuses conventions internationales en la matière, par la création des centres d'arbitrage, enfin par la modernisation des lois et règlements nationaux. En revanche, il est constaté que l'arbitrage souffre d'un déficit de prévisibilité et de certitudes pour les acteurs du commerce international. Que l'on songe seulement à la multiplication des rattachements législatifs et des contrôles judiciaires: conflits de lois, conflits entre les règles de conflits, etc. Nous avons démontré que la solution aux difficultés de la méthode conflictualiste serait l'harmonisation de la procédure arbitrale internationale et que ce mode de règlement de différends débouche de plus en plus sur le rapprochement entre traditions juridiques différentes (Common Law et droit civil).Toutefois, ce mouvement de convergence est loin d'être achevé. Beaucoup d'autres pratiques arbitrales continuent de garder l'empreinte de la diversité des procédures étatiques et celle des grands systèmes juridiques mondiaux. / This research work tackles a complex subject, which is in the heart of a doctrinal debate in
International arbitration Law: International Commercial Arbitration and procedural safeguards. In fact, International Commercial Arbitration is a traditional method of dispute resolution in International Trade and International Economic Relations. Parties to a dispute would rather prefer this mode of dispute resolution to state courts because of its hybrid nature (contractual and judicial).One can explain this preference for this method of international dispute resolution by the development of the international economy, the market globalization, the conclusion of numerous international conventions in the domain, the creation of arbitration centers, the modernization of national laws and regulations. By contrast, one can note that arbitration lacks predictability and certainty for parties in International Trade. One can just think of the multiplication of legislative attachments and judicial controls: conflicts of laws, conflicts between methods of conflicts of laws, etc. We have demonstrated that the solution to the difficulties of the conflictualist method would be the harmonization of the International Arbitral Procedures and that this method of dispute resolution would lead, more and more to the approximation between different judicial traditions (Common law and Civil Law). Cette thèse est une étude comparative entre la loi française et la loi égyptienne ; elle porte sur le cadre juridique du cyber arbitrage dans le commerce international, ces termes signifiant la dématérialisation des procédures de l’arbitrage lequel représente un moyen alternatif pour régler les litiges commerciaux. La question est de savoir dans quelle mesure les règles de l'arbitrage traditionnel sont aptes à régir l'arbitrage dématérialisé et s’il faut créer pour ce dernier des règles juridiques spécifiques. La réponse à cette problématique s’articule autour de la possibilité pour toutes les règles de la législation d’adopter les nouvelles technologies. Notons que l’arbitrage dématérialisé est soumis à la même règle traditionnelle régie par la théorie générale des contrats, selon le principe de la volonté des parties, mais cet arbitrage se déroule hors la présence de ces dernières car par le biais de moyens électroniques. La procédure arbitrale aura lieu à distance, cependant, si au plan technique l'arbitrage en ligne se pratique aisément, il n’en va pas de même au plan juridique. En d’autres termes, l'arbitrage classique comprend pléthore de conditions impératives tant sur le fonds que sur la forme, conditions que l'arbitrage en ligne, en vertu de sa nature, ne réussit pas à satisfaire en totalité. Les deux lois comparées sont globalement convergentes et concordent avec les principes internationaux. Après une longue période de franche hostilité on note, dans les années quatre-vingts de la part des pays arabes, des changements dans leur attitude à l’égard de l’arbitrage commercial international. Toutefois, la loi française dépasse la loi égyptienne en matière électronique. / This thesis is a comparative study between French law and Egyptian law; it concerns The legal framework for cyber arbitration in international trade, these terms mean paperless arbitration procedures which represents an alternative way to resolve trade disputes. The question is to what extent the rules of traditional arbitration are able to govern dematerialized arbitration and whether to create it for specific legal rules. The answer to this problem is based on the ability of all the rules of law to adopt new technologies. Note that the dematerialized arbitration is subject to the same traditional rule governed by the general theory of contract, on the basis of the will of the parties, but the arbitration shall be conducted without the presence of the latter because through electronic means. The arbitration proceedings will be held remotely, however, if technically online arbitration easily practice it does not hold true in legal terms. In other words, the classic arbitration includes plethora of mandatory conditions on both the funds and the form, terms as online arbitration, pursuant to its nature, does not satisfy in full. Both laws are compared globally convergent and consistent with international principles. After a long period of open hostility there are, in the eighty years from Arab countries, changes in their attitude to international commercial arbitration. However, French law exceeds the Egyptian law on electronic material.

Abstract This thesis is concerned with examining the intersection between the areas of international commercial arbitration and money laundering. There are various points of connectivity between the two and the aim of this thesis is to discern how an arbitrator should conduct arbitral proceedings involving money laundering. For this purpose, a few selected topics have been examined. The practical challenges arising out of these topics, as well as the tools available to arbitrators to face them have been analysed in turn. After a brief inquiry into the nature of international commercial arbitration, money laundering and the ways that they come together, the topics of jurisdiction, the norms applicable to the substance of the dispute, and matters of evidence are subject to discussion. In studying these topics, a recurring theme, which goes to the very heart of the intersection between the seemingly odd areas of international commercial arbitration and money laundering, is discernible. In practically all of the challenges that an arbitrator will face when adjudicating a dispute involving money laundering a conflict of interest between the pivotal principle of party autonomy and other interests will arise. These interests originate from the public policy concerns vested in countering money laundering and the criminal law nature of this phenomenon. The tools which the arbitrator deem to be applicable as well as the conduct that he might choose in regards to the topics discussed, very much depend on his perception of the role that international arbitrators ought to assume in this conflict. Keeping these conceptual building blocks in mind the author, whilst examining the relevant legal instrument, case law and legal commentary, reaches the conclusion that arbitral tribunals ought to claim jurisdiction over disputes arising out of contracts tainted by money laundering in the majority of cases. The author also reaches the conclusion that there are other norms than the lex contractus that can be applied to the substance of the dispute and that the willingness to apply them will depend on the attitude of the arbitrator. Similarly, the arbitrator could, and arguably should, investigate the issue of money laundering of his own accord, albeit with a few important reservations. The rules of evidence, especially those of the burden of proof and standard of proof, should be tailored to reflect the nature of the complex offence of money laundering. Finally, the eventual possibility for an international arbitrator to report suspicions of money laundering is touched upon.

This thesis discusses the alternative dispute resolution methods in trade relations. The main objective of this thesis is to describe and analyze ADR as a group of methods used to resolute disputes with focus on two main methods - mediation and arbitration. My objective is to describe the main principles of ADR, to compare their main advantages and disadvantages and to analyse the process of resoluting disputes by these methods. Another objective is to evaluate and analyze the development of ADR in the Czech Republic, their legal regulation and its current status. A short part of the thesis concerns about regulation of mediation in the EU and the analysis of implementation of the European Parliament and Council Directive 2008/52/EC dated May 21, 2008 to national legislation. Thesis is divided into five separate chapters. The first, introductory chapter only briefly discusses about dispute and conflict and ways they can be solved. The second chapter already characterizes ADR as a group methods of dispute resolution, its main principles, advantages and disadvantages and finally briefly describes some of the ADR. The third and fourth chapter focuses on the mediation, its principles, advantages, disadvantages, the mediation process and mediator. It monitors the development of mediation in the Czech republic and the current situation in the legal regulation of mediation in the country. The last chapter deals with arbitration. It describes its basic principles, advantages and disadvantages again. The conclusion discusses the czech Arbitration law and the forthcoming amendment.

Concept of the arbitration agreement from a comparative perspective The theme of this doctoral thesis is a detailed analysis of the concept of the arbitration agreement under international conventions, specifically the Convention on the Recognition and Enforcement of Foreign Arbitral Awards (the "New York Convention"), the European Convention on International Commercial Arbitration (the "European Convention"), under the UNCITRAL Model Law on International Commercial Arbitration (the "Model Law") and under Czech and German Law. The thesis covers all aspects of the arbitration agreement, analysing it from the perspective of material norms. The regulation of any conflict of rules is mentioned only if it is appropriate for an analysis of the substantive norms of the elements of an arbitration agreement.
