The diploma thesis is concerning the problematic of business valuation of Nestlé Česko. The estimated value of the company refers to 31. 12. 2012. Within business valuation, diploma thesis comprises several analyses such as SWOT analysis, PEST analysis, Porter five forces analysis and financial analysis. The yield method of discounted free cash flow to the firm (FCFF) was applied to the business valuation. The comparison of company Nestlé Česko with its closest competitor in terms of basic financial indicator is also a part of business valuation. The financial plan and discount rate are set up in order to determine value of Nestlé Česko.

The purpose of my thesis is to analyze the State Enterprise Act. The main aim is to describe the life of state enterprise from its foundation to its termination and to point out the major legal issues. My desire was to recommend some improvements to legal regulation of the state enterprise. My thesis is divided into several chapters, each of them dealing with different aspects of the state enterprise. The first theoretical chapter examines the question whether the state enterprise is a legal entity on the background of civil doctrine. The next chapter deals with the foundation process of the state enterprise. Who is authorized to create the state enterprise and what are the essential elements of the charter of foundation. It describes the process of signing into the Commercial Register and its legal impact. This thesis also provides a view to the relationship between the authorized representatives and the state enterprise. It shall answer the questions about the powers of governing bodies and their liability. The next part is devoted to the administration of state-owned property by the state enterprise. This final thesis deals with various ways of financing a business which are discussed from both economic and legal perspective. The purpose of the thesis is to provide an overview of main possibilities how to finance a business together with stating the related legislation. Different sources of financing are assessed according to their costs, accessibility, flexibility and other criteria. The financing solutions stated in the thesis are discussed mainly from point of view of joint-stock company. In some cases, the author points out also the legislation related to limited liability company. The thesis is divided into four chapters that are further subdivided. The aim of Chapter One is to provide a basis for the following chapters. It includes definitions of the main terms, short overview of the most important legislation which is relevant to the topic, different approaches to classification of financial sources and also the key factors which influence the choice between various solutions when financing a business. The thesis deals with the latest trend in providing ICT service -- Cloud Computing -- and its possible application in enterprise information systems generally. The aim of the thesis is to evaluate market readiness for Cloud Computing services in order to find out to which extent it is possible to cover enterprise information system, or rather its software applications, on strategic and tactical management levels using the above-mentioned services. To achieve the aim, it is necessary to determine both the Cloud Computing services market and the enterprise information system sphere and then to decide whether Cloud Computing services are able to cover the basic needs of enterprise information systems. The evaluation of the market readiness will be executed in accordance with both the specially created methodology and the defined requirements. Thus the present market readiness rating will be possible to determine. The thesis should show to which extent it is possible to apply Cloud Computing model to the enterprise information systems issue. It will also be possible to find out the factors which support this application the most and, on the other hand, which factors limit this application the most. The thesis will also show which fields are advanced enough, which services we can consider and what we can expect of these services.

The dissertation focuses on Vietnamese culture from the perspective of the Hofstede´s model of cultural dimensions and also describes its development and the factors that shaped it. Emphasis is laid on Vietnamese business etiquette, which includes previously discovered evidence of a Vietnamese way of thinking and acting. Attention is also paid to the characteristics of the Vietnamese minority in the Czech Republic, the static data related to this minority and evaluation of its integration. The goal of the research is to reveal the cultural differences between Vietnamese and Czech society and describe the influence of the Czech environment on original cultural values and habits of members of the Vietnamese minority in the Czech Republic.
