跨國購併為企業持續成長的重要策略之一,學者針對此議題亦有諸多探討, 而過去的多數研究皆著重於—企業執行跨國購併後,企業策略與國家文化對於後 續整合的影響。然而,本研究認為文化的影響自企業開啟跨國購併談判以來,便 始終存在。此外,購併談判為跨國購併之起始,其重要性不亞於購併後的整合。 因此,本研究以企業跨國購併歷程為主體,藉此探討跨國購併企業雙方之文化差 異對於整體購併行為之影響。 本研究之目的為探討企業實際購併個案研究,讓企業未來在實際執行購併策 略時,能持續思考國家文化差異之影響,並依據其購併階段之不同,而有相對的 因應方式。 本研究以次級資料作為質性研究依據,藉由廣泛地蒐集資料,撰寫成鴻海購 併夏普之跨國購併個案。透過此篇實際個案研究,發現家文化差異對於企業能否 順利進行購併談判有重大影響,並提出企業依其所屬之購併階段不同,處理相對 應需著重之文化構面,可提高企業跨國購併談判之效率及成功率。 / Cross-border mergers and acquisitions (M&A) are one of the most important strategies for sustainable growth of a company. Many scholars had various discussions on this issue. Most of researches concentrated on how corporate strategy and national culture affect the integration after cross-border M&A. However, this study suggests that cultural impacts have long existed from the very beginning of cross-border M&A negotiations. In addition, M&A negotiation is the start point of cross-border M&A. It is equally important in the integration stage after M&A. Therefore, this study focuses mainly on the process of cross-border M&A in order to explore overall influence on the cross-border M&A due to cultural differences between the enterprises. By analyzing a real M&A case, the purpose of this study is to make enterprise consider the impact of cultural difference when they are having cross-border M&A negotiation. Besides, through this study company can understand what the most important dimension of national culture is while having M&A project. This study is a qualitative research based on extensively searching secondary data of Hon-Hai and Sharp M&A. This case study found that cultural differences between nations affect -whether the enterprise can successfully carry out M&A negotiations. This study also shows that company may generate different strategies corresponding to the difference between national culture dimensions in accordance with different M&A negotiation stage. Doing so may lead to smooth and successful M&A negotiation.

The goal of this paper is to explore corporate and information strategies, focus is put on new and modern business models. I accentuate alignment between corporate and information strategy. Theoretical overview of corporate and information strategies is followed by description of modern trends that were discovered by author. All new trends are analyzed from IT and business point of view. Some trends are demonstrated on real companies in the paper. The analysis consists of corporate strategy and searching for the way how IT can support business and how to be in alignment. Two types of companies are included. First type is company that built up business model based on IT/ICT strategy. The other type includes companies that are running business for longer time and new IT/ICT strategy deployment or better alignment between strategies brought improvement and better market position. The paper includes basic model representing strategic management that is presented at the end. This gives an overview to all readers how the process goes from corporate and information strategy to application portfolio. The paper is destined for professionals and nonprofessionals who are interested in modern strategies. It is also useful for IT/ICT managers when working on own strategies.

This part continues in the description of selected types of strategic analyses. There is an introduction of the company, its activities, strategic and financial analyses in analytic part. That is important for inscription and the base of Balanced Scorecard concept. Based on these findings a Balanced Scorecard implementation proposal is for the analyzed company. In the conclusion, this is completed with relevant proposals.

<p>Resilience is studied as a systemic property in several disciplines such as engineering, psychology, systems biology, and ecological sciences. Yet, the system view on resilience is not pervasive in management science. This dissertation is on Enterprise Resilience, which is an emerging topic within the fields of organization and management science. Corporate enterprises are viewed as type 1 complex adaptive systems (CAS) operating within an external business environment. Thus, perturbations occurring in the environment affect enterprises, whose resilience then depends on their adaptive response to them. Therefore, the focus is on system perturbances and on investigating drivers of the enterprises’ adaptive response. As a result, enterprise resilience is more granularly defined as an enterprise’s ability to continually remain valuable to stakeholders by simultaneously managing short-term shocks and long-term stressors. This re-definition brings forth an actionable pathway to enterprise resilience- the pursuit of improved management of the enterprise’s risk and growth management functions.</p><p>Two challenging issues plaguing the risk and growth functions are the lack of a comprehensive understanding of risks (especially of unknowns) and their inter-connections, and a weak link between risk management and the enterprise’s growth strategy intended to continually and increasingly generate value. This work addresses both issues via the development of an enterprise-agnostic comprehensive risk typology, and by building a conceptual link between risk and growth strategy through the business model construct and its use in the study of repeatable patterns of innovation. Therefore, this work develops one pathway toward enterprise resilience i.e., via improved risk management and systematic growth management. Furthermore, it advances knowledge by bridging the theoretical conceptualization of an enterprise as a CAS1 into actionable methods for practice in the form of risk management tools and systematic innovation frameworks that aid the enterprise’s adaptive response.</p><p>The interdisciplinary dissertation develops hypotheses and employs appropriate qualitative and quantitative methods to test them. Overall, a theory building process is undertaken using the constructionist school of thought and using methods based in inductive logic such as the scholarship of integration, thematic analysis, and case studies. Additionally, to achieve wide and comprehensive coverage, data-driven quantitative methods using advanced computing such as data mining, machine learning, and natural language processing are employed.</p>

Adaptive Capacity as antecedent to Climate Change Strategy: A Systematic Literature Review

Within the last decade research on climate change strategies and adaptive capacity emerged as the debate about climate change was intensified with the publishing of the Third Assessment Report by the Intergovernmental Panel on Climate Change in 2001. That companies are facing risks and opportunities is not new and the awareness to address these issues is growing. However, there is still need for research in the field of corporate strategic response to climate change. Recently, research focused on resilience management to address climate change. Resilience management is about being able to experience changes and remain stable getting back into the same situation before the change happen. On the contrary to resilience management adaptive capacity is about the ability to be able to adapt to uncertain and unexpected events on the long term. This includes long-term changes. This work argues that companies should think about their adaptive capacity as climate change induces short and long-term changes. Adding this dimension to the strategic planning companies need to think of how they can improve their adaptive capacity. This work investigates research in both issues adaptive capacity and climate change research and in their relation. Applying a systematic literature review this study conducted 60 references which are examined by a qualitative-quantitative analysis and answers the following questions: What is the current scientific view of adaptive capacity within strategic management literature? What are determinants of adaptive capacity? How can adaptive capacity be linked to climate change strategy and is it even antecedent to climate change strategies? The findings of this research indicate that adaptive capacity and climate change strategies exhibit a link but it cannot be proved whether adaptive capacity is antecedent. Furthermore, the term adaptive capacity is merely discussed within strategic management literature and if it is discussed and examined, several concepts and theories are applied to explain determinants of adaptive capacity. Several concepts such as dynamic capabilities, organizational learning capability, organizational learning, organizational change capacity, flexibility and more could be identified as concepts enhancing adaptive capacity. This works provides an overview of related concepts and theories.

[pt] As corporações estão sendo cada vez mais cobradas por uma atuação ambientalmente sustentável, principalmente nos mercados mais maduros, e tratam-se de importantes atores no atingimento das metas para o controle do aquecimento global. O Brasil tem uma participação protagonista no comércio mundial de alimentos, e seu papel torna-se mais relevante ao passo que as taxas crescentes de aumento populacional colocam o mundo em alerta para as questões climáticas e de segurança alimentar. Trazendo ainda mais foco para a temática, o país possui uma das maiores biodiversidades do planeta e é detentor de grande parte da Floresta Amazônica, a maior floresta tropical do mundo e responsável por parte do equilíbrio climático do globo, ao passo que a agroindústria responde pelo consumo de mais de 78 porcento dos recursos hídricos brasileiros, ocupa em torno de 21 porcento do território nacional e é responsável por 74 porcento das emissões de gases de efeito estufa do país. Nesse contexto, fundamentado na Resource Based-View e Teoria Institucional foi construído um modelo com o objetivo de analisar o impacto dos fatores organizacionais (capacidades dinâmicas) e do ambiente institucional (sociedade, regulação e concorrência) nas estratégias de sustentabilidade ambiental e como estas estratégias impactam o desempenho de exportação das empresas da agropecuária brasileira. Na literatura há poucos estudos empíricos com foco em analisar as relações entre esses constructos e nenhum deles no âmbito da agroindústria brasileira. Ademais, buscou-se uma contribuição adicional ao analisar como o nível de maturidade em sustentabilidade ambiental dos países de destino influencia na relação entre as estratégias de sustentabilidade e o desempenho de exportação. Para o teste do modelo, foi realizado um levantamento de dados com gestores de 143 empresas exportadoras da agroindústria brasileira, através de um questionário on-line e foi utilizada a Modelagem de Equações Estruturais (PLS-SEM) para a estimativa de parâmetros. Os resultados empíricos corroboram parte das hipóteses apresentadas, revelando a significância da relação principal do estudo (estratégias de sustentabilidade e desempenho de exportação), além de apresentar o engajamento da liderança na temática da sustentabilidade como o principal fator interno da adoção deste tipo de estratégia, assim como a pressão percebida da sociedade estrangeira e da concorrência como os principais fatores externos. Contudo, a principal contribuição teórica do estudo é advinda da análise do fator de moderação. Os resultados evidenciam que no âmbito do grupo de empresas que exportam para países com uma maior maturidade na temática de sustentabilidade ambiental, a relação entre as estratégias de sustentabilidade ambiental e o desempenho de exportação foi mais expressivo do que para o grupo de empresas que exporta para países menos maduros no assunto. / [en] More and more the corporations are being charged for Environmental Sustainability performance, especially in developed markets and this indicator is essential for reaching the global warning control targets .Today Brazil has a significant share of the global food trade and has a leading hole taking into consideration the alert for climate changes and food security issues that are becoming relevant due to global population growth. Bringing even more focus on this subject, the country has one of the largest biodiversity of the planet and holds the greatest share of the Amazon, the largest rainforest in the world and responsible for part of the global climate balance, while the agroindustry is responsible for the consumption of more than 70 percent of Brazilian water resources, occupies around 21 percent of the national territory and accounts for 74 percent of the country s greenhouse gas emissions. In this context, rooted in Resource Based- View and Institutional Theory, a model was constructed for the purpose of analyzing the impact of organizational factors (dynamic capacities) and the institutional environment (society, regulation, and competition) on environmental sustainability strategies and how these strategies impact export performance of Brazilian agricultural companies. In the literature there are few empirical studies focused on analyzing the relationships between these constructs and none of them within the scope of the Brazilian agroindustry, besides that, an additional contribution was sought when analyzing how the level of maturity in environmental sustainability of the countries influences the relation between the sustainability strategies and export performance. For the model s test, a data survey was conducted with managers of 143 exporting companies from the Brazilian agroindustry, through an online questionnaire and the Structural Equation Modeling (PLS-SEM) was used to estimate parameters. The empirical results corroborate some of the hypotheses presented, revealing the significance of the main relationship of the study (sustainability strategies and export performance) and distinguishes between the organizational factors and the external environment that most impact on the adoption of these strategies, besides to present the leadership engagement in the sustainability as the main internal factor of the adoption of this type of strategy, as well as the perceived pressure of foreign society and competition as the main external factors. However, the main theoretical contribution of the study is derived from the analysis of the moderation factor. The results show that the relationship between environmental sustainability strategies and export performance was more significant in the group of companies that export to countries with a greater maturity in the area of environmental sustainability, than in the group of companies that export to least mature countries in this theme.
