A Comparative Study of Peters and Pomeroy's Fourth Edition of Commercial Law and Texas Statutes and Rulings and a Texas Supplement Thereto

In Peters and Pomeroy's fourth edition of Commercial Law, a number of cases are cited where there is a difference between the laws and rulings of the various states. There are only three cases in which the difference is given. The procedure was to find all of the cases in which there is any doubt as to the Texas law, and to quote the law or ruling as given by Peters and Pomeroy, and then to give the law or ruling of the State of Texas.

This thesis focuses on remedies for a breach of the Contract of Sale of Goods under English and Saudi law, wherever the Contract is in the course of business. The primary aim of the thesis is to describe and analyse those remedies and how each of the above legal regimes has dealt with breaches. For this purpose, the remedies must be analysed to identify differences and similarities between the two regimes, while at the same time highlighting the weaknesses and strengths of each. In addition, the reasons why the two legal systems have adopted their respective approaches in favouring specific remedies will be considered, in order to determine whether there are any differences in the underlying legal principles affecting the de facto results for the Buyer and Seller. In so doing, the aim is to provide a detailed and ingenious analysis, which may be of assistance in understanding each regime.

Thus, this thesis studies the history of Commercial Law, in what is called the Old and New Commercial Law, defending their autonomy and discoursing on how to organize their legal rules and principles. It was also discussed about the legal uncertainty that faces entrepreneurs in their judicial disputes, which leads to no incentive or interest to the private investment, especially when it is observed that the operators of the Commercial Law have not followed the principles paradigm held by the Federal Constitution of 1988, where the principles were placed in the center of the legal system. This fact led to interpretation/misapplication of the rules of the Commercial Law, causing an unpredictable environment in judicial decisions, which increases the cost of goods and services in Brazil. It is in this context that aims to rebuild the Commercial Law, stating and describing its principles, but without forgetting about their legal rules. However, in order to give effectiveness to the Commercial Law Reconstructed, is not enough the enunciation of its principles, but is also required regulate the Commercial Law Procedure, which through its own process, given the its peculiarities, can guarantee effectiveness in the Commercial Law / Esta tese tem como propósito demonstrar a necessidade da Reconstrução do Direito Comercial, na medida em que propõe sua interpretação/aplicação pelos princípios, bem como a elaboração de uma ferramenta processual própria, fruto de um Direito Processual autônomo, o qual se denomina de processo empresarial. Dessa forma, o trabalho estuda a história do Direito Comercial, naquilo que se denominou de o Velho e o Novo Direito Comercial, defendendo sua autonomia e discorrendo sobre como se organizam suas normas jurídicas, sejam princípios ou regras. Também foi abordada a insegurança jurídica a que estão submetidos os empresários nas suas contendas judiciais, o que leva ao não incentivo ou interesse do investimento privado, especialmente em face dos tratadistas e demais operadores do Direito Comercial não terem acompanhado o paradigma dos princípios realizado pela Constituição Federal de 1988, onde os princípios foram elevados ao centro do ordenamento jurídico. Tal fato conduziu à interpretação/aplicação equivocada das regras do Direito Comercial, gerando um ambiente de imprevisibilidade nas decisões judiciais, o que aumenta o custo de produtos e serviços no Brasil. É nesse contexto que se pretende reconstruir o Direito Comercial, enunciando e descrevendo os seus princípios, com valorização da sua disciplina, mas sem esquecer o respeito às suas regras jurídicas. Contudo, como forma de conferir efetividade ao Direito Comercial Reconstruído, não basta a enunciação dos seus princípios, necessário também a regulamentação do Direito Processual Empresarial, que, através do seu processo próprio, atendendo às peculiaridades do Direito Material, poderá garantir efetividade ao Direito Comercial

Liberalizing air transport regulation in the People's Republic of China

Through a comparative study of the aviation policies in the principal countries of North America (the United States) and Europe (Germany), this thesis will examine China's aviation policy and its situation in the trend toward liberalization, placing special emphasis on bilateral agreements. / This thesis will describe the historic evolution of the economic regulation in civil air transport that laid the foundation for bilateral air transport service agreements and the Open Skies regime. Moreover, the development of bilateral air services agreements, from the Bermuda Agreements to the U.S.'s "Open Skies" Policy, is addressed. Then, a study of the ICAO actions toward liberalization is undertaken. / An analysis from the deregulation, privatization in the American and E.U.'s aviation market to the reform in the Chinese civil aviation is conducted. Under the impact of the global liberalization trend, the Chinese aviation industry is creating a "deepen, widen" reform. Specifically, China Southern's imminent entrance into SkyTeam will significantly push the Chinese aviation policy toward liberalization. A detailed comparative study of bilateral air transport agreements between China, the United States, and Germany will show the recent progress of the Chinese aviation policy. / Finally, an argument for the separation of air cargo from air passengers in the liberalization process, especially for China's negotiation of bilateral agreements, is presented.
