Inicialmente, é tecida uma abordagem sociológica, considerando as metas e diretrizes das políticas públicas de suporte à inovação e ao desenvolvimento econômico. O emprego do poder do Estado para alavancar o desenvolvimento de novas tecnologias e novas formas de organização da produção é exemplificado a partir da atuação de Farmanguinhos, e de seu papel na regulação do mercado farmacêutico nacional. As principais abordagens teóricas sobre processos de negócio, gestão de processo de desenvolvimento de produtos e gestão da inovação tecnológica na indústria farmacêutica são sistematizadas, o que permite a identificação de conceitos, características relevantes e das melhores práticas da área. Com base na análise empírica das práticas e dos documentos institucionais é apresentado um diagnóstico global do atual cenário da gestão do desenvolvimento de novos produtos, bem como da gestão tecnológica e da inovação em Farmanguinhos. As ações de cunho estratégico e o modelo proposto, se implantados em alguma extensão, poderão contribuir para a consolidação do papel do Instituto de Tecnologia em Fármacos como laboratório farmacêutico oficial e como centro de referência da pesquisa, do desenvolvimento e da produção farmacêutica brasileira. / This dissertation presents the proposal of a conceptual theoretical model of management of new medicines development process, for implementation in public pharmaceutical industry, which aims to contribute to the improvement of management of technology and innovation of the Instituto de Tecnologia em Fármacos (Farmanguinhos) da Fundação Oswaldo Cruz (FIOCRUZ), so as to make possible the alignment between the development of new medicines, strategic planning, and the institutional and governmental policies. Initially, it is presented a sociological approach, considering the political goals and guidelines of public support to innovation and economic development. Employment of power of the State to drive the development of new technologies and new forms of organization of production is exemplified from Farmanguinhos’ work, and its role in national pharmaceutical market adjustment. The main theoretical approaches on business processes, management of product development process and of technological innovation in pharmaceutical industry are systematized, which allows the identification of concepts, relevant characteristics and the best practices in the area. Based on empirical analysis of practices and institutional documents is presented a comprehensive diagnosis of the current scenario in Farmanguinhos regarding new product development, technology and innovation management. The strategic actions and model proposed, if deployed in some extent, may contribute to the consolidation of the paper of the Instituto de Tecnologia em Fármacos as State-owned Pharmaceutical Laboratory, and reference centre of Brazilian research, development and pharmaceutical production.

Propriété publique et droit de l'Union européenne / Public property and European Union law

Les rapports entretenus par le droit de l’Union européenne et le droit français de la propriété publique sont équivoques. Alors que l’article 345 TFUE témoigne, a priori, de la neutralité du droit de l’Union européenne quant aux régimes de propriété nationaux, le premier possède des incidences tangibles sur le second. La présente thèse s’applique d’abord à en démontrer les ressorts théoriques : compte tenu de l’emprise systémique et de la prééminence des règles concurrentielles, la portée de l’article 345 TFUE se révèle presque nulle. À cela s’ajoute une mutation conceptuelle des notions de propriété et de biens publics : redéfinissant et rompant le lien entre appropriation publique, intérêt général et satisfaction de l’utilité publique, le droit de l’Union européenne substitue une vision renouvelée de la propriété publique, englobant l’ensemble des biens contrôlés par les personnes publiques et ayant une valeur patrimoniale. À la neutralisation conceptuelle succède un infléchissement matériel de la propriété publique. Même si la réception en droit français est parfois incertaine ou insuffisante, l’application des règles de concurrence ou du droit des aides d’État altére les régimes d’acquistion, de gestion ou de cession des biens publics. Favorisant la fragmentation et la privatisation du droit de la propriété publique, le droit de l’Union européenne semble aussi en mesure de remettre en cause les privilèges d’insaisissabilité et d’incessibilité à vil prix. Accélérant la décomposition de la propriété publique, son influence n’en constitue pas moins une opportunité, celle-ci étant susceptible de permettre une refondation cohérente de l’édifice français. / Interactions between European Union law and French law can be confusing when it comes to public property. Although it a priori testifies of the neutrality with which the European Union law deals with public property regulations at national scale, article 345 TFUE actually has tangible impacts on them. This thesis first looks to demonstrate the theoretical aspects behind it: given the pre-eminence and systemic influence of competition rules, the reach of article 345 TFUE turns to be almost void. In addition to this arises a conceptual mutation in the notions of property right and public ownership: as it redefines and breaks the link between public appropriation, general interest and the satisfaction of public affectation, the European Union law brings a renewed vision of public property which encompasses all the assets controlled by a public-law person and having a heritage value. To the conceptual neutralization succeeds a substantive inflection of public property. Although its reception under French law is sometimes uncertain or insufficient, the application of competition or State aid rules alters the acquisition, operation and disposal schemes for publicly-owned assets. Since it fosters the fragmentation and privatization of the public property law, it appears that the European Union law is also able to question the privileges of unseizability and the principle according to which a publicly-owned asset cannot be sold at a price lower than its market value. Accelerating the decomposition of public property, its influence remains nonetheless an opportunity as it could lead to a comprehensive re-founding of the French edifice.

The role of governance structures, ownership models and organising models in mitigating corporate governance problems of state-owned enterprises

Many of the countries all over the world, with different experiences, own state-owned enterprises (SOEs). Even though these enterprises are useful socioeconomic policy instruments, evidence from most of these countries shows that these enterprises do not fulfil their mandates, especially when wholly owned, and in developing and corrupt countries. As a result, owning SOEs has become a trend rather than a means to an end. Several models, from privatisation, then back to renationalisation, have been attempted in mitigating the numerous problems of these enterprises. These models did not mitigate the problems of SOEs as they were, in summary, mere models backed by powerful advocates and favoured by the turn of socio-political and economic cycles at that time. However, irrespective of the numerous problems of SOEs, these enterprises can still be useful socioeconomic policy instruments now, as in the past. Using multiphase exploratory mixed methods, this thesis explores ways of mitigating the problems of SOEs by developing a best practice structural corporate governance model that takes into account various aspects of corporate governance of SOEs. In this context, the empirical part of this study was conducted in three phases. The first phase analyses the contents of relevant enterprises’ documents. The second phase analyses survey responses from purposively selected expert respondents from sample SOEs. The third phase analyses interviews from purposively selected expert participants from sample SOEs. Thus, this thesis determined the problems of SOEs, detailed the problem implications, identified contingent areas of the models considered vis a vis problems explored, extended the role of government, developed a conceptual framework, established useful models for organising and owning SOEs as a way of mitigating the identified problems, analysed the thesis statement and thesis propositions and developed a structural corporate governance model for SOEs. The study found that the holding company model, both wholly and partly owned, appears to be better in mitigating corporate governance problems of SOEs, compared with the traditional wholly and partly owned models, with the partly owned model of the holding company model a better model compared with the other models. Thus, this thesis harnesses the stages detailed above into contributing to the field of scholarly knowledge by harnessing the stages described into developing a structural corporate governance model that takes into account relevant aspects of corporate governance of SOEs and related enterprises. Following this, this thesis proposes that, in addition to emulating the developed model, establishing a supervisory board that constitutes representatives from public and private role players, as well as other external assurance providers and regulatory inspectors is key in mitigating problems of SOEs, especially in developing countries. This thesis contributes to the field of scholarly knowledge by synthesising disjointed literature on public entrepreneurship, developing and demonstrating a theoretical comparative sampling method, extending the role of government, theoretically developing a conceptual framework, dimensional theory, as well as developing a structural corporate governance model. / Business Management / D. A model for effective use of human resource information systems in South African State Owned Agencies

The relevance of this thesis is in addressing information systems business leadership HRIS use issues.The thesis explains acceptance and use issues central to Human Resource Information Systems (HRIS) within South African State Owned Agencies (SOAs). Organisations typically deploy HRIS with a view to automate Human Resource (HR) service delivery and administrative functions. Among other values, HRIS produces useful data and information which optimises HR operations and improves decision-making. However, the use of HRIS, notably within SOAs, is poorly understood owing to inadequate literature and contextualised studies. Despite the tremendous amount of investment into such systems, SOAs continuously identify emerging challenges and issues pertinent to HR operations and administration. For instance, despite HRIS automation, job applications and recruitment are still manually processed, which means that the costly implemented HRIS is not effectively used, and is thus underutilised. The burning questions for business leadership remain - why is HRIS not optimally utilised given significant organisational investment on such systems, and the mixed return-on-investments? The other question relates to what the level of acceptance is and actual use of these HR systems. There is also a need to determine to what extent do these systems enable or improve the delivery of human resource services and administration. Moreover, what influences the use of HRIS? Previous literature and organisational practice inadequately addresses these questions. This thesis, therefore, addresses these key issues to bridge these preceding knowledge gaps. In order to explain the use and subsequent effective use of HRIS, the study triangulated three theories as theoretical lenses. These theories are the Unified Theory of Acceptance and Use of Technology (UTAUT), Self Determination Theory (SDT), and the Representation Theory (RT). These theories are employed to explore and explain the individual use, and subsequent effective use of HRIS. In this respect, the ontological stance for this thesis is that reality is objective. Thus, the study followed a positivist research paradigm, whilst the research the approach was deductive. A survey research strategy was employed during the study to obtain primary data. Survey participants included executives and individuals from speciality units e.g. HR, Finance, Supply Chain, Support departments (including IT and Help Desks) as well as other HRIS users. Participants were drawn from various South African SOAs. Structural equation modelling and hypothesis testing show that there are myriad of determinants influencing use and effective use of HRIS. The results further show that certain constructs are inconsistent with the existing literature. Nevertheless, this inconsistency speaks to the unique South African SOA contexts. The outcome of the study is a model which theoretically and practically explains those factors which must be considered to effectively use and utilise HRIS. That is, the theoretical, practical, methodological, and contextual contributions of the thesis is in explaining the determinants which are significant for effective use of HRIS. / Centre for Business Manangement / D.B.L.

Svenska statliga företag och mänskliga rättigheter : En undersökning av regeringens ägarstyrning / Swedish state-owned enterprises and human rights : An investigation of the governance by the Swedish government

The purpose of the study is to investigate the governance by the Swedish government of the state-owned enterprises in relation to UN Guiding Principles for Business and Human Rights. In the study the Swedish state’s ownership policy is analyzed together with the Swedish national action plan for business and human rights in relation to article 4 in the UN Guiding Principles.The method used in the study is a critical legal reasoning around the text combined with other external perspectives such as the underpinning values and the context. The conclusion of the study is that the Swedish state’s ownership policy should be interpreted in the light of international law, since there are compelling reasons grounded in previous research that article 4 in the UN Guiding Principles is related to the state’s duty to protect and the requirement of due diligence. The study demonstrates that the Swedish government has taken several steps in relation to the state-owned companies, although it is hard to conclude that these are additional in the meaning of article 4. The requirement in the UN Guiding Principles on state-owned enterprises to perform human rights due diligence and supported by international law is not expressed in the State’s ownership policy. Another conclusion is that the requirements and expectations on state-owned enterprises with regard to human rights are integrated with firm expectations on business opportunities. These requirements and expectations could be characterized as instrumental for the overriding objective of the state-owned enterprises: long-term value generation.

The original purpose of this thesis is to explore the possibility of setting up a school in Aotearoa (New Zealand) that operates according to the principles and philosophies of Summerhill School in Suffolk, England. An examination of Summerhill School is therefore the purpose of this study, particularly because of its commitment to self-regulation and direct democracy for children. My argument within this study is that Summerhill presents precisely the type of model Māori as Tangata Whenua (Indigenous people of Aotearoa) need in our design of an alternative schooling programme, given that self-regulation and direct democracy are traits conducive to achieving Tino Rangitiratanga (Self-government, autonomy and control). In claiming this however, not only would Tangata Whenua benefit from this model of schooling; indeed it has the potential to serve the purpose of all people regardless of age race or gender. At present, no school in Aotearoa has replicated Summerhill's principles and philosophies in their entirety. Given the constraints of a Master's thesis, this piece of work is therefore only intended as a theoretical background study for a much larger kaupapa (purpose). It is my intention to produce a further and more comprehensive study in the future using Summerhill as a vehicle to initiate a model school in Aotearoa that is completely antithetical to the dominant neo-liberal philosophy of our age. To this end, my study intends to demonstrate how neo-liberal schooling is universally dictated by global money market trends, and how it is an ideology fueled by the indifferent acceptance of the general population. In other words, neo-liberal theory is a theory of capitalist colonisation. In order to address the long term vision, this project will be comprised of two major components. The first will be a study of the principal philosophies that govern Summerhill School. As I will argue, Summerhill creates an environment that is uniquely successful and fulfilling for the children who attend. At the same time, it will also be shown how it is a philosophy that is entirely contrary to a neo-liberal 3 mindset; an antidote, to a certain extent, to the ills of contemporary schooling. The second component will address the historical movement of schooling in Aotearoa since the Labour Party's landslide victory in 1984, and how the New Zealand Curriculum has been affected by these changes. I intend to trace the importation of neo-liberal methodologies into Aotearoa such as the 'Picot Taskforce,' 'Tomorrows Schools' and 'Bulk Funding,' to name but a few. The neo-liberal ideologies that have swept through this country in the last two decades have relentlessly metamorphosised departments into businesses and forced ministries into the marketplace, hence causing the 'ideological reduction of education' and confining it to the parameters of schooling. The purpose of this research project is to act as a catalyst for the ultimate materialization of an original vision; the implementation of a school like Summerhill in Aotearoa. A study of the neo-liberal ideologies that currently dominate this country is imperative in order to understand the current schooling situation in Aotearoa and create an informed comparison between the 'learning for freedom' style of Summerhill and the 'learning to earn' style of our status quo schools. It is my hope to strengthen the argument in favour of Summerhill philosophy by offering an understanding of the difference between the two completely opposing methods of learning.

A presente dissertação é sobre a atuação do Estado na economia como acionista minoritário, focando, em especial, no caso do Brasil. Em um primeiro momento, tratamos das possibilidades do uso das participações minoritárias, apontando que, embora estejamos falando de propriedade pública sobre parcelas do capital social de empresas privadas, essas participações não configuram, somente, forma de exploração direta da atividade econômica, devendo ser compreendidas como uma técnica jurídica ou uma ferramenta da qual o Estado pode se valer para realizar as diferentes modalidades de atuação na economia. Nesse sentido, mostramos como as participações minoritárias possibilitam a atuação do Estado como empresário, regulador, fomentador e investidor. Em seguida, falamos dos mecanismos societários que a Administração Pública pode utilizar para que, mesmo como acionista minoritária, possa influenciar a direção das empresas público-privadas, tais como os acordos de acionistas e as golden-shares. Após cuidarmos da natureza jurídica e das vantagens comparativas da atuação estatal na economia por meio de participações minoritárias, passamos a analisar os limites dessa atuação. Desse modo, deve-se distinguir entre o uso das participações públicas como opção legítima de atuação na economia versus sua aplicação como burla ao regime jurídico aplicável às empresas estatais mediante o controle societário disfarçado e a simulação de contratações administrativas. Por fim, tratamos da questão da escolha de parceiros privados pela Administração Pública, bem como dos controles públicos que incidem sobre as empresas participadas. / This dissertation is about the state action in the economy as a minority shareholder especially focusing on the Brazilian case. At first, we discuss the possibilities of the use of minority equity stakes pointing out that, although we are talking about public ownership of shares of private companies, this equity participations do not constitute only a means of direct exploration of an economic activity, instead they should be considered as a legal technique or a tool which the state can rely on to accomplish the different modalities of economic action. This way, we show how the minority positions enable the state to act as an entrepreneur, a regulator, a promoter of private action and an investor. Then we talk about the corporate mechanisms that the Public Administration can use to, even as a minority shareholder, influence the direction of public-private companies, such as shareholders agreements and golden-shares. After dealing with the legal nature and the comparative advantages of the state economic action as a minority shareholder, we proceed to examine the limits of such action. Thus, we must distinguish between the use of minority equity as a legitimate option of state action in the economy versus its application as a way to elude the legal framework applicable to the state-owned enterprises by the disguised corporate control of private companies and the simulation of administrative procurement. At last, we deal with the issue of the choice of private partners by the Public Administration, as well as the public controls which apply to the invested companies.

The development and validation of a high performance model within an IT organisation

What makes one organisation good and another great? What defines high performance organisations? Which aspects within an organisation play vital roles into taking an organisation from good to great? Are some aspects more important than others, if so, which ones? These questions have been explored and researched over the years and various researchers have proposed different theories and models that impact high performance as well as definitions around high performance with mixed results. The general aim of this research was to develop and validate a High Performance Model for an IT organisation. The concept of high performance was explored in terms of how to define high performance, which high performance models and frameworks have been developed within the literature and what sustains high performance. These existing High Performance Organisation (HPO) models and frameworks were evaluated against an identified set of criteria to arrive at a definitive theoretical model of high performance. The theoretical HPO model was developed based on the evaluation of the literature reviews together with the existing HPO model of the participating IT organisation. The main purpose of the empirical research was to gather data by means of three questionnaires, over six years, which were used to statistically determine the organisational and behavioural constructs that influence High Performance in an IT organisation in South Africa. Furthermore, the researcher developed an empirical model to verify the theoretical model. A quantitative empirical research paradigm using the survey method was followed and explanatory and descriptive research was used in this study. An HPO questionnaire was developed and administered to employees. Over the six years and three questionnaire administrations, 3,451 employees participated. A new best fitting HPO model was postulated based on new constructs postulated in the factor analysis. The model indicated that Leadership, Knowledge Management – team, Strategic Focus as well as Job Satisfaction especially contributed to high performance within the participating organisation, as well as that strong relationships exist between the HPO factors. This research should contribute towards longitudinal studies on high performance as well as a comprehensive understanding of the factors that influence high performance, within South Africa but also globally. The new HPO model should assist organisations and practitioners in measuring high performance in any organisation after validation. With increased competition and globalisation organisations struggle to survive, this study can provide a roadmap for organisations to obtain and sustain high performance. / Hoe kan ‘n organisasie goeie resultate in uitnemende resultate verander? Wat maak een organisasie goed en ‘n ander een uitnemend? Hoe word hoë prestasie organisasies gedefinieer? Watter aspekte binne ‘n organisasie speel die belangrikste rol om die organisasie van goed na uitnemend te neem? Is sommige aspekte belangriker as ander, indien wel, watter? Hierdie vrae is al deur die jare heen ondersoek en nagevors. Verskeie navorsers het verskillende definisies, teorieë en modelle wat hoe prestasie beïnvloed word ontwikkel, met gemengde resultate. Die algemene doel van hierdie navorsing was om ‘n Hoë Prestasie (HP) Model vir ‘n IT organisasie te ontwikkel en te bekragtig. Die konsep van hoë prestasie word ondersoek, meer spesifiek, die definisie van hoë prestasie, watter hoë prestasie modelle en raamwerke al ontwikkel is in die literatuur en wat hou hoë prestasie in stand. Die bestaande HP modelle en raamwerke word ge-evalueer teen kriteria wat vooraf geïdentifiseer is om sodoende ‘n beslissende teoretiese model vir hoë prestasie te onwikkel. Die teoretiese HP model was ontwikkel op grond van literatuur evaluasies, tesame met die bestaande HP model van die deelnemende IT organisasie. Die hoofdoel van die empiriese navorsing was om data te versamel deur middel van drie vraelyste, oor ‘n tydperk van ses jaar, wat gebruik is om te bepaal watter organisasie- en gedragsveranderlikes beïnvloed hoë prestasie in die deelnemende Suid-Afrikaanse IT organisasie.
