Acquisition in Own Shares and Financial Assistance Abstract This thesis called "Acquisition in Own Shares and Financial Assistance" deals with the phenomenon of trading in own shares and financial assistance using a comparison of legal requirements on trading in own shares by the relatively "private" company and by the public company with listed shares with relation to the practical needs of different nature of both the types of companies and using the same sort of comparison with relation to the same sort of needs of the same types of companies in the business transactions involving financial assistance. The thesis focuses at European law approach to the phenomenon seeking to describe either the particular characteristics of the legislation either overall concept. The thesis provides with a critical evaluation of European law approach to the phenomenon based on the criticism of relative ignoring the practical characteristics and needs of the public companies with listed shares differing significantly from the practical characteristics and needs of the relatively "private" companies. Personal assistance (PA) is one of types of comprehensive care of people with health handicap, but it is very special, because client himself chooses type, extent and use of care. Without PA services, client would be dependent to live permanently in a treatment institution, where he would be nursed. At the beginning this essay informs readers about PA Tudory. On the first pages information concerning users and providers of this social service are elaborated. Further an author considers a new law Code Number 108/2006 Coll. about social services, valid from 1/1/2007, where the assistance is mentioned for the first time. On the other pages he describes changes, which the new law brings either for providers or users of PA. Mapping and definition of problems concerning this social service is a main intent of this essay. Autor tried to compare opinions of clients and their dependants with personal assistants´opinions, if each of mentioned groups understands problems equally or differently. Readers should among others learn what this profession means and make a picture how assistance runs and which person is able to pursue it. This essay deals with problems of PA and its mission is to show these problems. The main asset is in outlining problems of PA, considering respondents´opinions, who were users, personal assistents and families with health handicap and familiarization readers with personality of assistant and social service of PA. Asset of this essay is even bigger by enactment of the new law about social services and because of this, new problems in providing this services have arisen.

The purpose of regulation of financial assistance to limited liability companies Purpose of this thesis is to show that the regulation of the financial assistance for acquisition of own shares in case of limited liability company (in Czech: "společnost s ručením omezeným") does not make sense anymore. As it fails to fulfil its original purpose, and, moreover, it repeatedly causes significant problems to transactions that would bring an economical advantage if it was not for the financial assistance regulation. Aim of chapter one is to summarize the history and the development of the financial assistance regulation in the Czech Republic as well as in other jurisdictions. Some issues which are typically linked to the financial assistance regulation are shown by the comparison especially with the jurisdiction of the United Kingdom. Diploma thesis titled "Personal assistance for persons with a visual handicap" focuses on visually handicapped persons and specifics of personal assistance provided to visual handicapped persons. Diploma thesis deals with information relating to the eye sight as such, to the eye sight's function and to the most frequent diseases causing a visual handicap. Furthermore, it introduces visually handicapped persons, dissimilarity of their upbringing and education and psychosocial aspects that affects visually handicapped persons' life. My diploma thesis presents ways how visually handicapped persons can compensate their handicap and what opportunities exist in the Czech Republic for them. Moreover, it explains the term of personal assistance, specifics of accompaniment and communication of those persons and it explains how the relationship between a personal assistant and a visually handicapped client should look like. The empiric part of my diploma thesis concerns with a mutual cooperation and building up of mutual trust between personal assistants and visually handicapped clients, thus how the personal assistance provided to visually handicapped persons should work. Title: Autism and zootherapy In my thesis I deal with the topic of using different kinds of zootherapy for people with various autistic spectrum disorders. The thesis has a goal to find out diverse possibilities which zootherapy can offer to people with autistic spectrum disorders. I focused on exploration what kind of zootherapy is suitable for the specific diagnosis or the other way around, what kind of zootherapy is not a good fit for a concrete diagnosis. In the thesis I also describe a various subtypes of autistic spectrum disorders including Asperger's syndrome. I co-operate with organizations which are engaged in assistance for people with autism spectrum disorders, medical treatment and rehabilitation, zootherapy or professional animal assistance training. Zootherapy is in a constant expansion and suitability of various kinds of this therapeutic method for each autistic spectrum disorder, or mentally and physically disabled is still a matter of contemporary research. The aim is to map out the scope of the jurisdiction of a bilingual teacher's assistant competencies and compare with the statutory definition. The work is divided into three thematic sections, two are part of the theoretical and one empirical part. The first theoretical part is divided into a section dedicated to migration in the Czech lands and a section dedicated to the education of foreigners from different perspectives. The second theoretical part deals with the position of assistant teacher, competencies and in a separate section also bilingual teacher assistants. The third part is dedicated to research, under which the method of shadowing as well as through personal interviews obtained relevant data, all of which were after processing and analyzing the conclusions drawn, which were subsequently compares with the original assumption. The last part of this work is the conclusion conceived primarily as a summary of the results and knowledge gained in the research and mutual comparison in line with the aim of this work.

The work of the personal assistant is a helping profession that belongs to the profession with a risk of a high level of stres, especially in long-term exposure to inappropriate working condition that can, in the end, developed into the burnout syndrom. In the theoretical part i define personal assistance, stress, coping strategies, resistance and burnout syndrome. The practical part is based on nine interviews with personal assitants, focused on stressors, coping strategies and conditions of their work in the organization, where they are employed. I found out personal assistants considered as the most important sources of stress children problematic behavior, communication with teachers and parents. Personal assistants are struggling in their work with feelings of helplessness, frustration from the childs stagnation, with feelings of guilt for childs problem behavior. In their work they are dealing with parents in mental discomfort and with problematic communication with teachers. The most used coping strategies of personal assistants are sense of usefulness and meaning of work, social support (information and support from parents of children, support of social workers of organization and supervision), relaxation, optimism, acceptance of situation, setting of borders, self- development. The objective of the work I am hereby presenting was to map pain by women during and after delivery with regards to age, number of births, attendance in prenatal courses and satisfaction of women in labour. The secondary objective was to find out the influence of interpersonal relationships during the hospitalization of the woman in labour and her perception of pain. Methodology: The set-up goals were accomplished through a quantitative research carried out in hospitals across the South Bohemian region with the use of a questionnaire consisting of two parts. The first part included a questionnaire of my own construction and the second part involved a standardized PCS questionnaire dealing with catastrophization of pain. The questionnaire was filled in by women after vaginal delivery with an interval of 48 - 72 hours after birth. Results: The testing sample involved 635 women giving birth in maternity hospitals in South Bohemian region. The average age of the respondents was 29,7. 49,1 % were primiparas and 50,9 % were women giving birth for the second or several times. The results of the research showed that the age of the woman in labour does not affect the perception of pain during the delivery, on the contrary the post-labour pain decreases with the increasing age of women in labour. Primiparas stated bigger pain than women who were giving births for several times. Undergoing the prenatal course did not prove any relationship with regards to pain during the labour. On the contrary the information they had gained in the prenatal course were proved to be beneficial for the evaluation of post-labour pain as respondents who participated in these courses stated lower level of pain in post-labour period. Statistically significant factors that respondents stated as the most helping in relieving pain, was the support of the midwife, communication with the midwife, staying in the shower, support of the doctor and communication with him/her, interpersonal relationships of the medical staff and the environment of the delivery room. The least satisfied with their delivery were women that used pharmacological treatment for reduction of pain. Women with lower stated labour pain described greater satisfaction with birth. The perception of pain during the delivery is influenced also with the interpersonal relationship at that given maternity hospital, on the contrary these relationships do not affect the evaluation of pain in the post-labour period. Conclusion: This thesis provides a view at the problematics of pain during and after delivery. The results of the research showed the important role of the midwife as well as the doctor's role in the process of care of woman in this uneasy period. The midwife not only evaluates the pain, but also offers the possibility of pain relieve and her behaviour can influence this pain.

The diploma thesis on "Gender perspective on the provision of paid sexual assistance to people with disabilities" deals with the topic of sexual assistance. How is sexual assistance perceived in our country and abroad. For our country, the project is quite new and not yet fully resolved. The questionnaire survey was focused on men and women with disabilities as they perceive their own intimacy, whether they are interested in sexual assistance and whether they would like to use it. Gender differences in the issue were clearly apparent. This survey has confirmed the needs of people with disabilities in the sexual area. The master thesis covers the topic of company purchasing of own shares. In the meantime, this kind of process in the life of a company has been completed by another important phenomenon -- financial assistance -- which is the second topic of this thesis. The thesis aims to analyse the changes, that have been noticed in the Czech system of law, concerning the company purchase of own shares and the financial assistance during the last eighteen years, i. e. since the Commercial Code entered into force in the Czech Republic. There are also included the reasons of the legal regulation of the process of purchasing of own shares, that are of economic, legal even ethic character. In fact, the company law in the Czech Republic has been influenced in a significant way by the European sources of law, as well as the other branches of law. Thus, the evolution of the European legal framework of the company purchase of own shares and the financial assistance, and its impact on the Czech company law, have to be mentioned. To be more illustrative, the thesis refers to the judicature of the Supreme Court of the Czech Republic, to the judicature of the Court of Justice of the European Union, and standard practice of the Securities Commission.
