The notion of the moratorium on legal proceedings against a financially distressed company undergoing business rescue is internationally recognized as a legal intervention necessary for allowing a breathing space for a company to be rescued. In South Africa, section 133 of the 2008 Companies Act makes provision for moratorium and details its main objectives in as far as business rescue is concerned. The main objective of the moratorium is to give effect to the purposes of the Act as enshrined in section 7 of the 2008 Companies Act. In particular, the moratorium is imposed to provide the company the required opportunity to breathe or the necessary period of respite in order to reorganise its affairs in a way as would allow it to operate on profitable basis without the unnecessary disruptions arising from the enforcement of the creditors’ claims and legal action taken against it whilst trying to reorganise its affairs. While this purpose is obviously a reasonable one, the rights of third parties to enforce their rights in a form of enforcement actions and legal proceedings against the subject company are seriously affected by moratorium. This dissertation aims at discussing and analysing the provisions in the Act relating to moratorium; to discuss and evaluate the impact that moratorium as provided for in section 133 of the Companies Act of 2008 has on the interests of creditors; as well as to compare the South African company law position in r the moratorium with that of Australian company law. / Mini Dissertation (LLM (Corporate Law))--University of Pretoria, 2020. / Mercantile Law / LLM (Corporate Law) / Unrestricted

The diploma thesis deals with the topic of the status of creditors of the testator in the estate proceedings, which has undergone a major change with the modification of the current Civil Code. Adjustment of inheritance law and, with it, the position of creditors in the estate proceedings during the period of socialism was dismal, so this change was needed. The ability of creditor to protect his debts in the case of the debtor's death has been extended by many new and old-age institutions. Together with that, the responsibility of the heirs for the testator's debts was extended. The diploma thesis deals with the opinions of the professional public, which are often very different or even contradictory. Part of this work is an analysis of these opinions and searching for a suitable starting point. The thesis is divided into six chapters. The first deals with inheritance law as an absolute property right, that is, the law that works erga omnes. It also defines the conceptual difference between inheritance and estate introduced into civil law with the effect of the Civil Code. The second chapter deals with the genesis of the transition of testator's debts to the heirs and the position of creditors in the past. The diploma thesis deals with the current legislation of debt relief - as one of three types of insolvency proceedings, in which the situation of person, who has been declared insolvent, in compliance with Czech insolvency law can be resolved - as well as of the satisfaction of creditors' claims within these proceedings. Especially it is focused on problematic issues, that occur during the realisation phase of debt relief and for that the insolvency law does not give an explicit answer. First, the thesis deals with debt relief in theoretical view and provides a comprehensive overview of claims, which are in these proceedings satisfied and which ones are not, and their classification in according to succession, in that they are satisfied. This chapter is particularly focused on claims, which are secured by assets belonging to the insolvency estate, and subordinate claims, which can be satisfied, only when all other debts have been paid, and problems related to it. The subject of thesis is "The position of the creditors in the insolvency proceedings". The purpose of my thesis is not only to bring the position of creditors as individuals or as part of the creditor body, but also notice the significant changes which the bankruptcy law was amended. These changes especially strengthened the status of creditors in exercise of claim in insolvency proceedings and in the control of procedure. The thesis is composed of five chapters, each of them are divided to parts, which attend to particular theme. The first chapter is the introduction of its own rules of insolvency law. The second chapter examines the participation of creditors in insolvency proceedings, especially in view of the statutory condition - multiplicity of creditors in the part 2.1. Following the part 2.2 approximates the beginning of the insolvency proceedings then the notice of insolvency proposal. In this chapter also made an excursion to the provisions about the moratorium, which ensures the protection of the debtor. Les créanciers sont la clé de voûte de l’activité de l’entreprise. En cela, ils demeurent le partenaire naturel et primordial de l’exercice de l’activité de l’entreprise. Cette situation est valable indifféremment pour les entreprises in bonis et pour celles qui sont tombées sous le coup d’une procédure collective. Aussi bien en droit français, dans le cadre du livre VI du Code de commerce, qu’en droit de l’OHADA, sous l’impulsion de l’AUPC, les créances postérieures sont celles qui permettent à l’entreprise en difficulté de tenter d’éviter le marasme financier qu’elle rencontre. En effet, les créanciers postérieurs sont ceux qui ont accepté de conclure un partenariat avec l’entreprise en difficulté aux fins de financer la poursuite ou le maintien de l’activité nécessaire à la recherche d’une solution durable. Pour parvenir à comprendre et à analyser le sort des créances postérieures dans les deux systèmes juridiques objet de l’étude, il a fallu répondre à deux questions principales dotées d’une technicité certaine à savoir, d’une part, ce qu’est une créance postérieure et d’autre part, la manière dont elle est traitée par le droit des entreprises en difficulté. La réponse à ces deux questionnements a permis de faire ressortir les ressemblances et les divergences entre le droit français et le droit de l’OHADA quant au sort des créances nées du partenariat postérieur au jugement d’ouverture de la procédure collective. / Creditors are the keystone of the firm’s activity. Indeed, they are still being the natural and primordial partner of the firm’s activity. This situation is valid similarly for in bonis Firms and for those which fell out bankrupt. According to French law, in the 6th book of the commercial law, and Organization for Harmonization of Business Law in Africa (OHADA)’s system, at the instigation of the uniform act on bankruptcy (AUPC), posterior creditors are those who enable ailing firm to eliminate financial stagnation. In the same time, posterior creditors are those who accepted to finalize a partnership with the firm in trouble, instead of its difficulties, so as to finance activity’s pursuit or to support to gain a sustainable solution. To understand and to analyze the fate of posterior creditor in both studying legal systems, it has been necessary to answer two main questions endowed with a certain technical nature. Firstly, what is a posterior debt? And secondly, how are posterior creditors treated by bankruptcy law? Answering to those questions took out likenesses and divergences between French law and OHADA’s system as for the fate of posterior debt born in the later partnership establishes subsequently to the judgment of opening of bankruptcy.
