EXPULSION OF SHAREHOLDER AND TERMINATION OF HIS PARTICIPATION IN THE LIMITED LIABILITY COMPANY ABSTRACT The purpose of my thesis is to analyze the legal regulation regarding exclusion of a shareholder and termination of his participation in a limited liability company in the Czech Republic. I have chosen this topic because of a lack of scholarly interest in this particular question of corporate law, even though it is a highly practical matter. The study analyzes law, commentaries, books, articles and relevant case law and compares the current legal regulation with the new legal regulation represented by the new Civil Code and the Act on Commercial Corporations. The main contribution of this paper is in a providing a critical perspective on this new legal regulation and in identification of future eventual interpretative problems. The thesis is composed of four chapters, each of which deals with different aspects of a view on problems of unilateral termination of a participation of shareholder in the limited liability company. The Impact of the Perceptions and Attitudes of Administrators on School Discipline Policy

The problem studied in this dissertation involved the disciplinary practices of school administrators and how the practices influenced the trend of suspensions based on socioeconomic status. The dissertation involved an exploration of the disciplinary practices of administrators, more specifically suspensions, within 19 middle schools in the northwest region of the United States. The purpose of the study was to provide insight regarding how leadership and disciplinary procedures affected the educational process. The purposefully selected sample involved 19 middle school principals and vice-principals, as well as students at the middle schools who had suspensions. Quantitative data were collected for three research questions. These data were collected with a modified version of the Schools and Staffing Survey, and suspension data came from the district’s computer database. The research design was an ex post facto design. The Statistical Package for the Social Sciences was used to compute descriptive statistics that included frequencies, percentages, means, standard deviations, effect sizes, and point-biserial correlations, as well as statistics from the t test for independent samples. Findings for Research Question 1 showed that administrators reported the principal was responsible for making the decision to suspend a student; teachers and principals impacted a student’s ability to display positive behaviors. Point-biserial correlation findings for Research Question 2 showed there was a large inverse relationship of -.532 between poverty and middle school suspensions. Results for Research Question 3 suggested that 13 of 19 (68.42%) of the schools had a greater number of students on free and reduced lunch suspended than students who did not receive free and reduced lunch. The mean difference between suspension scores for students on free and reduced lunch and students not on free and reduced lunch was 43.11, suggesting statistical significance, p = .001, with a large Cohen’s d effect-size indicator of 1.22. A primary implication was that future policy on research-based disciplinary polices to improve administrators’ attitudes and competence toward executing discipline policies should be implemented in all middle schools.

Exploring Retributive School Discipline Practices in Ontario: Voices of the Suspended and Expelled

Through an analysis of 7, semi-structured, one-on-one, open-ended interviews and relying on methodological principles from interpretive social science (ISS) and critical social sciences (CSS) this graduate thesis uncovers the voices of youth who have been suspended and/or expelled from a public secondary school in Ontario. Youth in this study spoke to the impact that being suspended and/or expelled had on school climate through describing the adverse changes that they experienced in regards to their relationships with their peers, and school professionals. A unique contribution from my study is a participant’s description of an experience of suspension, which I interpreted as being caused by, the behavioural targeting of a student living with a disability. Many of the participants also explained how the use of disciplinary procedures that rely on sending a student home from school for x amount of days can affect students’ academic progress and success. Furthermore, the similarities between the treatment of disciplined students in the education system, and the treatment of criminal offenders in the justice system found in this study, included: the use of punitive discipline, increased surveillance, and the involvement of the police in disciplinary processes. The youth in this study recognize that the use of suspension and expulsion does not dig beneath the surface and address the root of the problem, and agree that this approach to school discipline is ineffective in regards to correcting behaviour. Finally, all of the youth in this study suggested the development and implementation of more supportive approaches to addressing and preventing unsafe and inappropriate behaviour in schools that aim to keep students in school while resolving the problem. / Thesis / Master of Social Work (MSW)

The aim of this thesis is to clarify what are the limits of the right of the state to expel aliens under international law while examining whether or not there is any general rule by which states are bound in exercising their power to expel aliens from their territory. This thesis is using a descriptive and analytical method as methods of work. The comparative method is also partially used for analysis of the practice of states in the individual aspects of the limitation of the right of expulsion and the related decision-making practice of the judicial and quasi-judicial authorities. The conclusion of this thesis is an analysis of the fragmented legal regulation of expulsion of aliens in different areas of international law (both procedural rules and selected areas of substantive regulation). The work is mainly focused on examining limits of states to expel an alien to a particular state through non-refoulement principle and restrictions to expel aliens through the protection of family and private life. Concerning the general conclusions, the examination of limits on the right to expel in international law has crystallized in one general rule that can be considered as an implicit part of all the limits analyzed, which is the effort to avoid the arbitrariness of states.

Exclusion And Withdrawal of Members And Cancellation of Their Membership In a Limited Liability Company Abstract This thesis aims to analyze current legislation of exclusion and withdrawal of members and cancellation of their membership in a limited liability company. Although comparing the current legislation with the previous one is not the purpose of the thesis, such comparison is provided in several places. The purpose is to show the same or, conversely, different features of both, particularly in relation to the applicability of existing case law and doctrinal interpretation. The work consists of three main chapters that form a coherent wholes. The first chapter is devoted to the withdrawal of a member of a limited liability company and is further divided into several sub-chapters. It deals with the legal aspects of the withdrawal of a member under the Czech legislativ. It describes in detail the various reasons of the withdrawal and also offers some suggestions de lege ferenda. Resumé (Aj) Domestic violence - in particular, criminological and criminal aspects The domestic violence is a significant societal problem which requires the attention of every state. But this opinion did not prevail in history. Although the domestic violence appeared across all social strata and historical periods, it was viewed as private problem of the family. In the Czech Republic the domestic violence has started to be considered as a public affair in last years. Nowadays the state guarantees especially a protection to victims of domestic violence. The legal order of the Czech Republic contains several acts affecting the domestic violence. The regulation of this phenomenon can be found in both private and public law. The aim of my thesis is to provide an integrated view to the domestic violence issue focusing on criminological and criminal aspects. This thesis is divided into eight chapters. First I tried to define a fundamental characteristics of domestic violence, then I turned my attention to the victimilogy and mainly to victims of domestic violence and impacts of the violence on their psyche.
