Vztah bilaterálních investičních dohod a práva EU / The Interaction between Bilateral Investment Treaties and EU Law

Hrabčáková, Barbora January 2012 (has links)
Interaction between Bilateral Investment Treaties and EU law A major change in the regulation of foreign investments is underway in the European Union involving a transfer of (certain) competences within the field from Member States to the EU, all being a part of a wider initiative with the ultimate goal of establishing a common European investment policy, which, it is argued, might eventually replace the network of bilateral investment treaties concluded between Member States and third countries. Starting with the entry into force of the Lisbon Treaty, the EU is exclusively competent to regulate extra-EU foreign direct investments since the term "foreign direct investment" was introduced in Article 207 (1) TFEU dealing with the common commercial policy, in which, in accordance with Article 3 (1) (e) TFEU, the EU shall have exclusive competence. Even though the wording is seemingly simple, certain issues, especially concerning the scope of the new EU competence, have been raised and are still not settled. First, the issue of the scope of forms of foreign investments which are to be covered by the EU regulation is unclear. It has been argued that the exclusive competence extends only over direct investments, while other forms, if they are to be covered, would fall under shared competence. This would result...

Fořtová, Lenka January 2015 (has links)
This thesis explores a new competence of the investment policy Union conferred upon the European Union by the Lisbon treaty. The reform of the primary legislation in 2009 incorporated foreign direct investment among the components of the Common Commercial Policy. The purpose of this thesis is to analyse this new component, to describe the means of its execution and to discuss the European investment policy in the context of European law. This research aims to be an introduction to this topic in the Czech academia as it is a very topical issue due to the ongoing negotiations with the United States on a free trade agreement including an investment chapter. The thesis is composed of three chapters, each of them dealing with different aspects of the European investment policy. The first two parts are more of a theoretical nature, whereas the last part is a practical demonstration of the policy results in the form of negotiated agreements. Chapter One is introductory and acquaints the reader with the systematics of the Common Commercial Policy in the section of External action in the Treaty on the Functioning of the EU, its aims and principles and the scope of the newly conferred exclusive competence. It also defines basic terminology used in the thesis - the term foreign direct investment. Finally the last...

Vytváření atraktivních investičních podmínek pro zahraniční investory na základě zdokonalování měnové politiky (problém Uzbekistánu) / Formation attractive investment conditions for foreign investor's on basis development monetary policy (Uzbekistan's problems)

Amonov, Kholnazar January 2003 (has links)
Abstract Attracting foreign investments to the economy in a large scale pursues long-term strategic goals for creating civilized, socially-oriented society in Uzbekistan, which is characterized by a high standard of living based on mixed economy. For stabilizing the economy and for improving the investments climate, it is necessary to take a number of arrangements, which will target on forming general terms of development of civilized market relations as well as on special conditions relating directly to problem solving -- how to attract the foreign investments. When analyzing the investment process in Uzbekistan, it is possible to say that the extent of attracting and efficiency of using the foreign investments on the national level as well on the regional levels very often depends upon the abilities to establish relevant legal and economic conditions within each phase of the development of the society. It is essential for Uzbekistan to try to attract foreign investments, which would help and support the development of the domestic industry and contribute to implementation of advanced technologies. Therefore volume of business exchange between the enterprises with foreign investments and Uzbek enterprises serves as a criterion for evaluation of successful attraction of foreign investments. We assume that positives brought by the involvement of foreign enterprises in the Uzbek market, must lie predominantly in using technologies for processing raw materials, which Uzbekistan is very rich in. Policy of monetary exchange rates is an important part of the reform programs realized in transformed economy of Uzbekistan. This policy is crucial for improvement of relative prices, restoration of price stability and for opening national markets to international business -- markets, which were closed so far. Nonexistent convertibility of domestic currency is a reason for decreasing the volume of investments within the country. It is therefore necessary to introduce liberalization of the monetary market and open a seamless access of the businesses to hard currencies. Issues of investment image of Uzbekistan are closely related to the problem of openness of the national economy, which under the current conditions become extremely meaningful.

Institutional Investors and Corporate Financial Policies

Scott, Ricky William 01 January 2011 (has links)
Institutional investors influence corporate payout and research and development (R&D) investment policies. Higher payouts are encouraged by institutional investors, especially in firms with high free cash flow and poor investment opportunities. They also positively influence stock repurchases, particularly in firms with high information asymmetry. The substitution of stock repurchases for dividends as a percentage of total payout is encouraged by institutional investors. Institutional owners persuade firm management to increase research and development (R&D) investment overall and specifically in firms with higher stock liquidity, higher information asymmetry, lower free cash flow, and better investment opportunities. Institutional investors decrease agency costs in payout and R&D investment policy decisions.
