An exploration into senior managers' perceptions of strategic management. The case of the National Oil Corporation (NOC) in Libya.

The purpose of this thesis was to explore senior managers¿ perceptions of strategic management, with the specific context being the National Oil Corporation in Libya. As such it represents a ground-breaking study at PhD level. An extensive literature identified key themes and models of strategy formulation and strategic management, in particular Karami¿s model of strategic management (Karami, 2007) together with key factors influencing the processes involved. This led to a study of the Libyan NOC based on a two-stage research design, the first a survey involving two hundred and fifty two senior managers of whom seventy returned completed questionnaires and the second conducting twelve semi-structured follow up interviews to deepen the findings from the questionnaire with qualitative data. The findings of this thesis suggest that the Libyan NOC may have relied too heavily in the past on strategy formulation and strategic management as the preserve of a very few individuals at the very top of the organisation, as the role of the great majority of senior managers was limited to monitoring and high level supervision. It was found that although political directives set the strategy for the whole organisation, there was a gap in knowledge and understanding between the senior business managers and the political appointments to the Board. Recommendations for improving practice therefore concerned steps in the strategic management process and senior managers¿ effectiveness especially in the Board as a team. Recommendations for reflecting the Libyan NOC as an example of a state-owned enterprise in Karami¿s model were to include Board effectiveness as the first step, to add medium-term objectives and to include social responsibility in environmental scanning under external factors.

Mirroring Gender Diversity: is Reporting a Reflection ofthe TMT? : A Quantitative Study of Gender Diversity Disclosure in Swedish State-Owned Enterprises

Purpose: The purpose of this thesis is to explain how the gender diversity of the top management team affects the disclosure strategy regarding gender diversity, in state-owned enterprises. The study, in addition, tests if hybridity, conceptualized as conflicting institutional logics, has a moderating effect on this relationship. Theoretical perspectives: With its starting point in the upper echelon theory, the study uses both positive accounting theory and signaling theory to explain managers’ disclosure decision, where the intuitional logics approach represents the moderating decision-making context. Methodology: The study is based within the positivistic paradigm, following a deductive approach and quantitative methodology. Both the textual and visual diversity content of the annual reports of 30 state-owned enterprises over a 5-year period, is collected and analyzed using the Spearman correlation matrix and multiple regression analysis. The moderating effect of hybridity is tested through hierarchical moderated multiple regression analysis. Findings: The findings of the study provide partial support for the relationship between the gender diversity of the top management team and gender diversity disclosure, suggesting that the influence of management depends on the means of disclosure. No support is found for the claim that hybridity has a positive moderating effect on this relationship. However, incorporating hybridity stills indicates that integrating the institutional context into the upper-echelons model facilitates understanding about the relationship, by establishing conditional boundaries and identifying main effects.

Psychological capital in Namibian state-owned enterprises

The performance of state-owned enterprises in Namibia has been in the spotlight for many years, resulting in the Government of the Republic of Namibia to introduce interventions and strategies to address and improve this performance. The poor performance of state-owned enterprises has been studied in terms of financial aspects with less attention, however, on human resources as a key success factor in contributing to performance. Studying performance in terms of the human resources is an important area for research and intervention. The Government introduced several measures to ensure the efficient governance and monitoring of state-owned enterprises and to ensure that they are performing to the satisfaction and expectations of the stakeholder. These measures included the introduction of the State-Owned Enterprises Act (Act 2 of 2006) of Namibia, as well as governance structures to ensure that the performance of state-owned enterprises is properly maximised. Despite these efforts by the Government to regulate state-owned enterprises with the intention to improve performance, to date the poor performance of state-owned enterprises is still a topical issue in Namibia. Almost a decade after the promulgation of the State-Owned Enterprises Act, in 2006, the government is still financially bailing out a number of the state-owned enterprises. State-owned enterprises need to take a positive approach that recognise and leverage human resources for contribution to sustainable growth, competitive advantage and performance. Positively oriented high-performance work practices are conceptualised within the context of positive organisational behaviour. Positive organisational behaviour as characterised in the form of psychological capital, with antecedents such as authentic leadership and supportive organisational climate and employee outcomes such as job satisfaction, intention to leave, engagement in the Namibian state-owned enterprises context are the main focus of this study. The study aimed to assess the relationship between psychological capital, authentic leadership, supportive organisational climate, job satisfaction, intention to leave, employee engagement and performance for employees in state-owned enterprises in Namibia. A cross-sectional survey design was used to gather data regarding all these constructs as experienced by employees. A convenience sample (N = 452) of employees from 20 state-owned enterprises participated in the study. The measuring instruments used were the Psychological Capital Questionnaire, Performance-related Attitudinal Questionnaire, Job Satisfaction Scale, Turnover Intention Scale, Engagement Scale, Authentic Leadership Questionnaire, Supportive Organisational Climate Questionnaire and a biographical questionnaire. The results of study 1 showed that authentic leadership was positively associated with psychological capital (i.e. experiences of hope, optimism, self-efficacy and resilience) and job satisfaction. Authentic leadership affected job satisfaction indirectly via psychological capital. Psychological capital had a medium to large indirect effect on employees’ intentions to leave. The findings suggest that authentic leadership and psychological capital explain job satisfaction and retention of employees in state-owned enterprises. Study 2 showed that authentic leadership and psychological capital predicted employee engagement. A supportive organisational climate was related to employee engagement on individual level, but only if authentic leadership and psychological capital were not included in the model. Psychological capital mediated the relation between authentic leadership and employee engagement on an individual level in state owned enterprises. The results of study 3 showed that authentic leadership and a supportive organisational climate had a positive impact on psychological capital. An analysis of corporate governance within the framework of state owned enterprises governance act in Namibia with specific focus on Namwater, Nampower and Transnamib

Thesis (MBA)--Stellenbosch University, 2012. / Recently, and over the last few years, a number of major State-Owned Enterprises (SOEs) have not been financially sustainable. There have been revelations of increased misappropriations of funds and millions of dollars in dubious investments. The alleged reason for the failure of these SOEs has been the lack of efficient corporate governance. The objective of this research report was to analyse the challenges and successful aspects faced by SOEs in Namibia with regards to the enforcement of good governance within the SOEs Governance Act No.2 of 2006. The report further aimed to establish whether the SOEs Governance Act provides appropriate mechanisms to ensure good corporate governance within the enterprises and investigate whether the act has been enforced. To attain these objectives, the report presented a review of Namibia’s SOE sectors and SOE Acts. In addition, interviews were conducted with representatives of three SOEs in Namibia, that of TransNamib, NamWater and NamPower. Namibian SOEs are faced with challenges in terms of maintaining good governance. The SOEs are compelled by state pressure to adopt more goals such as social development and political objectives on top of their profit motive. Thus, by acting in the best interest of state-owned enterprises, various boards may be in conflict with the interests of the government with regards to social and political goals. Based on the evidence presented in this research report, the study points out five crucial aspects of non-conformance to best practices that can be used as lessons and as a basis from where Namibia can spearhead its corporate governance practices for SOEs within the framework of the State-owned Enterprises Governance (SOEG) Act.

(Summary) The presented paper focuses on adjusting a state enterprise (state - owned enterprise) as a receding form of public enterprise. It sets upon itself a task of clarification, whether this legal form, which has been dominant in the past, is henceforth suitable for use in the present body of laws. Professional literature was studied to acquire relevant knowledge, legal provisions, judicial decisions, and other documents. State enterprise is a specific legal entity conducting business with national property, which has a unique public function and is supposed to generate net operating income. Its institutor can only be a state, that has a similar status as a sole partner of a business entity. Unlike other legal entities engaging in business, the state enterprise doesn't have a legal capacity to acquire assets for itself, but does acquire assets for the state. It is not liable for state obligations and state is not liable for obligations of the enterprise at the same time. This structure causes problems, because it is not consistent with a current legal rule. Påverkar ägandeformen utformningen av hållbarhetsredovisning? : En komparativ studie mellan privat- och statligt ägda företag

Purpose: The purpose of this study is to examine how eight private and state-owned Swedish companies report their CSR-work, to then compare and analyze how the form of ownership can affect the shape of the annual sustainability reports.  Method:  This study uses a qualitative method based on a deductive research approach. The study implements a comparative research design and applies a text analysis to analyze and identify specific differences among the company’s sustainability reports.   Empiricism and Analysis: The empirical part presents a brief description of the selected companies and a description of the identifying themes that are repeated in all of the company’s sustainability reports. Then, a deeper analysis is carried out that combines the study's reference frameworks with help of the study’s analysis model that is based on the selected theories.  Conclusions: The conclusion that can be drawn is that the form of ownership is not the deciding factor in the shape of the sustainability reports. What has mainly affected the outcome is the companies branch of industry, which has affected both the reporting of the environmental activities and financial incentives in the form of investment. For the remaining aspects, no specific differences have existed from the ownership perspective. The form of ownership has affected the company’s insight of CSR and sustainability work with influence from the stakeholders. The study's results also show that the government for the state-owned companies was the most important player while customers and suppliers were more central to the privately-owned companies. / Syfte: Syftet med detta arbete är att undersöka hur åtta privat- och statligt ägda svenska företag redovisar för sitt CSR-arbete, jämföra samt analysera hur ägandeformen kan påverka utformningen av hållbarhetsredovisning. Metod: Studien använder sig utav en kvalitativ metod som bygger på en deduktiv forskningsansats. Studien implementerar en komparativ forskningsdesign och tillämpar en textanalys för att analysera och identifiera specifika skillnader bland de olika företagens hållbarhetsredovisningar. Empiri och analys: I den empiriska delen presenteras en kort beskrivning av valda företag samt en redovisning av de återkommande identifierande teman som upprepas i de valda hållbarhetsrapporteringarna. Sedan genomförs en djupare analys som sammanfogar studiens referensramar med hjälp av en analysmodell som utgår från de tillämpande teorierna. Slutsatser: Slutsatsen som kan dras är att ägandeformen inte är den avgörande faktorn i utformningen av hållbarhetsrapporterna. Det som har påverkat utfallet främst är företagens branschtillhörighet som har inverkar både rapportering av de miljömässiga aktiviteterna samt ekonomiska incitament i form av investering. För de resterande aspekterna har inga specifika skillnader funnits utifrån ägarperspektivet. Ägandeformen har påverkat företagens uppfattning av CSR och hållbarhetsarbete med inflytande från intressenterna sida. Studiens resultat visar även att staten för de statligt ägda företagen är mest betydelsefull aktör medan kunder och leverantörer är mer centrala för de privatägda företagen.

A presente dissertação de mestrado consiste em um estudo de caso das contratações das parcerias público-privadas (PPPs) das Linhas 4 e 6 de metrô em São Paulo. A partir do estudo indutivo realizado, buscou-se compreender como os instrumentos jurídicos são efetivamente utilizados para viabilizar o provimento de uma atividade de interesse público para a população; a evolução institucional ocorrida no processo de aprendizagem de utilização dessas ferramentas; e o papel desempenhado pelas empresas estatais nesse novo cenário. Para tanto, o texto constrói a evolução das formas de concessão de serviços públicos e situa no plano histórico o surgimento e a adoção das PPPs como indicativos de uma nova forma de atuação estatal na economia. O estudo de caso foi elaborado a partir de análise documental e construção de narrativas, por entrevistas semiestruturadas, dos atores envolvidos nos processos de contratação das Linhas 4 e 6. A observação empírica revelou que as empresas estatais cumprem um papel fundamental na criação de arranjos institucionais funcionais para a viabilização dos empreendimentos conjuntos, exercendo uma função coordenação público-privada e promovendo aprendizado institucional. Também observou-se que complexos arranjos contratuais são utilizados como forma de separar as obrigações contratuais de demandas políticas, insulando os direitos do concessionário de alterações posteriores. Isso ficou evidente, especialmente, no tocante à diferenciação entre tarifa política e tarifa contratual, às garantias de pagamento de contraprestação e aporte e ao sistema de pagamentos de tarifas. Os resultados obtidos a longo dessa pesquisa acrescem ao conjunto de estudos que apontam para a inadequação de medidas institucionais de tamanho único para o desenvolvimento (teoria das dotações institucionais). A experiência indica que as PPPs estudadas foram bem-sucedidas justamente porque foram construídas a partir de soluções e arranjos institucionais específicos ao contexto em que estavam inseridas, levando em consideração as limitações e as potencialidades do direito local. Desse modo, a pesquisa conclui pela existência de um modelo brasileiro de PPPs que envolve, necessariamente, intermediação de empresas estatais na construção de arranjos institucionais cooperativos entre os atores públicos e privados. / This thesis is the written product of a case study of São Paulos Metro Lines 4 and 6 public-private partnerships contracts. The objectives of this empirical study were to fully understand how: the legal tools are handled in order to provide a public service to the people; the institutional development in the process of learning the use of these tools; and the role played by state-owned enterprises in this new context. In order to do so, the text builds on the historical evolution of state concessions and the emergence of PPPs as indicators of a new way of State intervention in the economy. The case study was made using documental analysis and the building of narratives, through interviews with the main actors in the processes of contracting out the services of metro. The empirical observation revealed that state-owned enterprises play a significant role in the making of functional institutional arrangements necessary to the existence and function of joint enterprises, working as a coordinator of the public-private relationship and promoting institutional learning. Also, it was noted that complex contractual arrangements are used as a way of detaching contractual obligations from political demands, insulating concessionarys rights from ulterior changes. This was evidenced, specially, by the description of the contractual differentiation of tariffs (political vs contractual), also by the structure of the counterparts warrantees, and by the payment system that was created. The results from this research add to the growing literature that points out the inadequacy of one size fits all institutional changes in order to promote development. The reported experience indicates that the PPP contracts were well succeeded precisely because they were built on context-specific solution and institutional arrangements, that took into account the limitations and potentialities of the local legal system. In this sense, the research shows the existence of a Brazilian model of PPP contracts that involves, necessarily, the intermediation of state-owned enterprises in the formation of cooperative institutional arrangements between public and private actors.

In addition, it evaluates political recommendations to the emerging countries, and whether those recommendations were supported by solid theoretical foundations. It concludes that recent theoretical basis, not always encompasses the key aspects of public banks in a volatile financial system, partially able to allocate credit the most productive uses, specific to the context of underdeveloped nations. In this sense, the usual practice of bank credit offers important lessons for policymakers, and any reform of financial system should be based, in addition to considerations of "efficiency" in the careful analysis of the transfer coefficient and redistribution of resources, provided by these agents. Even though, the social results observed historically corroborated the analytical findings, the agenda remains open for the development of governments and governances in peripheral countries. Closing this agenda is dependent on overcoming an ideology of slogans, and moving towards the establishment of an ideology based on critical thinking and depth of the alternative proposals on economic policy, concerning not only the functionality, but also the weight of each actor in the institutional set of causalities that make the complex linkages between financial development and economic growth, a relationship in progress / Este trabalho desenvolve o debate sobre o papel do banco público no desenvolvimento econômico dos mercados emergentes, através de uma análise teórico-histórica e revisão bibliográfica. Além disso, busca compreender as recomendações políticas dirigidas aos países emergentes, particularmente se estas são amparadas por fundamentos teóricos sólidos, concluindo que a base teórica recente, nem sempre abarca os aspectos-chave dos bancos públicos num sistema financeiro volátil, parcialmente capaz de alocar crédito de modo mais produtivo, específico ao contexto das nações subdesenvolvidas. Neste sentido, a prática usual do crédito bancário oferece lições importantes aos formuladores de políticas públicas, sendo que qualquer reforma do sistema financeiro deveria se fundamentar, além das considerações sobre eficiência , na análise cuidadosa do coeficiente de transferência e redistribuição de recursos, proporcionada por estes agentes. Embora as resultantes sociais observadas historicamente corroborem os resultados previstos analiticamente, no desenvolver dos governos e das governanças nos países periféricos, a agenda continua em aberto.
