the value of the subscribed property, the division the stock capital into shares are some of the
characteristics of todays corporations, whose roots were already present in the ancient
societates vectigalium, in the companhias das Índias or other historic reminiscences of
corporations around the world. In Brazil, the corporations only began to stand out with the
arrival of the Portuguese Crown in 1808 and are currently regulated by the Law 6,404-76, as
amended by the 1988 Constitution Law 10,303-2001. The current legislation covers
institutional investors and popular savings, protects minority shareholders, increases the social
function of Brazilian companies, deals with the role of the CVM (Comissão de Valores
Mobiliários) in the surveillance and protection of investors, shareholders and of the market
capital itself, establishes the internal structure of the corporations, the functioning of the
market capitals, the admission of the corporate principles of governance in the companies,
among other things. The corporate governance model followed by Brazil is the Japanese-
Germanic, which highlights the presence of the stakeholders to whom the general rules of the
legislation which predict disclosure, fairness, compliance and accountabily are applied. The
Brazilian stock market is nowadays composed by the common capital market, which follows
the rules disciplined by the law of joint stock companies, and by a special segment listing of
Bovespa (Bolsa de Valores de São Paulo) which is the New Market, Level 1 and 2. This
segment is special because its rules exceed the expectations of the law, reaching an excellence
level of practices in corporate governance beyonde the expected. / Impessoalidade dos sócios, personalidade jurídica própria, responsabilidade limitada ao valor da subscrição patrimonial, divisão do capital social em ações são algumas das características das sociedades anônimas atuais, cujas raízes já se encontravam presentes nas antigas societates vectigalium, nas companhias das Índias ou em outras reminiscências históricas das sociedades anônimas pelo mundo. No Brasil as S-A só começaram a se destacar com a chegada da Coroa Portuguesa em 1808 e atualmente são reguladas pela Lei n. 6.404-76, modificada pelo texto constitucional de 1988 e pela Lei n. 10.303-2001. A atual legislação contempla investidores institucionais e de poupanças populares, protege os sócios minoritários, amplia a função social das companhias brasileiras, trata do papel da Companhia de Valores Mobiliários - CVM na fiscalização e proteção de investidores, acionistas e do próprio mercado de capitais, dispõe sobre a estrutura interna das S-A, o funcionamento do mercado de capitais, a admissão dos princípios da governança corporativa nas companhias, entre outras coisas. O modelo de governança corporativa seguido pelo Brasil é o nipogermânico, que destaca a presença dos stakeholders, aos quais se aplicam as regras gerais da legislação que preveem princípios de disclosure, fairness, compliance e accountabily. O mercado acionário brasileiro é hoje composto pelo mercado de capitais comum, que segue as regras disciplinadas na legislação sobre sociedades anônimas, e por um segmento especial da listagem Bovespa (Novo Mercado, Níveis 1 e 2). Esse segmento é especial porque suas regras superam as expectativas da lei, atingindo um grau de excelência em práticas de governança corporativa acima do esperado.
