碩士 / 國立高雄第一科技大學 / 企業管理研究所 / 95 / When firms meet constrains to grow, they will merge or acquire other firms to obtain new products, to enter new markets, or to join into different industries, in order to achieve new higher growth level. However, according to scholar statistics, the percentage of enterprise merging & acquisitions (M&A) failure tends to be high.
Based on the above, this research investigates the key successful factors (KSF)for M&A by quantitative and qualitative methods respectively.
First, the quantitative method: through the “Balanced Scorecard” and “Delphi Technique”, we explore the critical factors of successful business M&A. From literature, we review and collect 34 critical factors in 4 dimensions which have impact on the M&A synergy and further design Modified Delphi questionnaires accordingly. After two rounds of questionnaire survey on 21 experts from academy, industry, and consulting business, we conclude 33 key successful factors by eliminating 4 old and adding 3 new factors. Based on experts’ scores, we establish the importance of these 4 dimensions factors.
Secondly, the qualitative method: Through analyzing the Faxconn M&A cases, we exam the above 33 factors empirically. The results are as the followings:
1.The success on first-time learning-type M&A helps firm to set up M&A as a core competitive power.
2.The whole operation of the 4 dimensions helps firms enter new industry and improves sales growth rapidly.
3.Faxconn’s strategies in M&A match the KSF found in this study.
4.The deleted factors by experts are not used by Faxconn, which shows that our results are consistent in the real Faxconn cases.
This research find 33 critical factors in 4 dimensions for successful M&A, and obtain support from Faxconn cases examinations. Further we also have an example of negative synergy from the case of BenQ merging Siemens to emphasis that the 4 dimensions are equally important.
