碩士 / 靜宜大學 / 管理碩士在職專班 / 102 / The purpose of this study is to examine key factors in corporate governance that could effectively maintain the predictability of corporate performance during financial tsunami. Samples of this study are companies listed on the Taiwan Stock Exchange, and a multiple linear regression analysis is performed to verify the impact of different corporate governance factors on company performance one year prior to financial tsunami. Meanwhile, the sample companies are subdivided into electronic industry, traditional industry, and financial industry to make cross-industrial comparison of the effect of these corporate governance factors on predictability during financial tsunami.
Research findings show that manager shareholding ratio, institutional investors shareholding ratio, the appointment of the top four accounting, independent directors ratio, board shareholding ratio and board shareholding mortgage ratio are the key corporate governance factors to effectively mitigate impact of financial tsunami.
To be more precise, different industries have different key corporate governance factors that mitigate risk during financial tsunami. For electronic industry, in addition to board shareholding mortgage ratio and the appointment of the top four accounting, the grade of credit information technology is an important factor. As for traditional industry, institutional investors shareholding ratio, manager shareholding ratio, independent directors ratio, board shareholding mortgage ratio as well as the positions of both president and CEO hold key influences. Finally, institutional shareholding ratio is the only key factor in financial industry.
