A governança em organizações do Terceiro Setor é uma das áreas nas quais o tema governança se mostra essencial para o estudo organizacional. Dentre os vários tipos de entidades que compõem esse segmento esta tese enfoca enquanto categoria analisada as fundações empresariais com atuação no Brasil. Essa escolha foi devido à crescente importância econômica e, principalmente, o potencial dessas organizações enquanto promotoras de desenvolvimento social. O investimento social privado dessa forma organizado tem um potencial de transformar realidades socioambientais e colaborar com o avanço de práticas de Responsabilidade Social Empresarial. O estudo descritivo-exploratório foi feito a partir de quatro casos: Fundação Iochpe, Fundação Itaú Social, Fundação Orsa e Fundação Telefônica. Foram realizadas análises documentais, entrevistados diretores, superintendentes executivos ou pessoas do staff diretamente envolvidas na relação com o Conselho Curador e outros órgãos consultivos e, aplicado um questionário aos membros do Conselho Curador. O objetivo foi verificar se os participantes de conselhos curadores exercem suas funções, a partir da perspectiva de desempenho esperado no que se refere aos seguintes itens de monitoramento: determinação de missão e propósito, supervisão de programas e serviços, planejamento estratégico, controles orçamentários, avaliação do gestor / executivo. Também visou conhecer os procedimentos de indicação, interação e capacitação dos conselheiros, além das relações que se estabelecem entre estes, os instituidores e o staff. Dentre os resultados encontrados verificou-se que há forte influência das empresas instituidoras na composição e funcionamento dos Conselhos Curadores, bem como na gestão das fundações empresariais, seguindo-se a Filantropia Empresarial Estratégica como fundamento das relações interinstitucionais. Também se averiguou que há divergências entre as funções esperadas no exercício dos conselheiros e sua real atuação. / Governance in organizations in the Third Sector is one of the areas in which the theme of governance shows itself to be essential for organizational studies. Within the various types of entities that compose this segment, this thesis focuses on the category of corporate foundations with activities in Brazil. This choice was due to the growing economic importance and, principally, the potential of these organizations in terms of promoters of social development. This organized form of private social investment has the potential of transforming socio-environmental realities and collaborating with the advance of the practices of Corporate Social Responsibility. This descriptive - exploratory study was done based on four cases: Iochpe Foundation, Itaú Social Foundation, Orsa Foundation and Telefônica Foundation. The research is based on documental analysis, interviews of directors, executive superintendents, or staff persons directly involved in the relationship with the board of directors and other consulting organs, and the application of a questionnaire to the members of the board of directors. The objective was to verify if the participants of boards exercise their functions, based on the perspective of expected performance in reference to the following items monitored: determination of mission and purpose, supervision of programs and services, strategic planning, budget controls, management / executive evaluation. The research also sought to study indication procedures, interaction and training of the council members, as well as relations between themselves, founders, and the staff. Among the results, it was verified that there exists a strong influences of the founding corporations in the composition and functioning of the boards, as well as in the management of the corporate foundations, following Strategic Corporate Philanthropy as the basis for inter-institutional relations. The existence of differences between expected functions, in the exercise of board\'s members, and their actual performance was also discovered.

Le Fondazioni d'Impresa nella prospettiva del Valore Condiviso / CORPORATE FOUNDATIONS: A SHARED VALUE PERSPECTIVE

Questa tesi, strutturata in tre articoli interconnessi, mira a fornire una migliore interpretazione del fenomeno delle Fondazioni d’Impresa nella prospettiva del Valore Condiviso, delineando quanto queste organizzazioni possano rivelarsi idonee a creare valore sia per la società sia per le imprese, rispondendo contemporaneamente alle esigenze di molteplici stakeholders. Il primo articolo, attraverso l’analisi della letteratura riguardante le Fondazioni d’Impresa e la teoria del Valore Condiviso, analizza in profondità le caratteristiche più innovative di queste organizzazioni, prendendo poi in considerazione alcuni aspetti potenzialmente interessanti da analizzare. Il secondo articolo presenta uno studio esplorativo finalizzato a verificare come gli interessi dell’impresa fondatrice influenzino il modello organizzativo, le attività e le tematiche affrontate dalle Fondazioni d’Impresa. L’articolo propone una rinnovata classificazione delle Fondazione d’Impresa, che introduce un modello innovativo, il cosiddetto Edifier, e sottolinea quali campo di attività sono più appropriati a seconda degli interessi delle imprese fondatrici. Il terzo articolo, infine, è volto a indagare in profondità i legami che intercorrono tra Imprese Fondatrici e Fondazioni d’Impresa, con una particolare attenzione ai meccanismi attraverso i quali l’impresa può influenzare l’efficacia delle attività della Fondazione. L’articolo mette in evidenza come l'adozione di un modello di trasferimento delle conoscenze possa avere una notevole influenza in termini di efficacia, con conseguenze rilevanti in termini di proattività, competenze ed efficacia della Fondazione. / This thesis, structured in three logically interconnected papers, aims at achieving a better understanding of the phenomenon of Corporate Foundations (CFs) under a Shared Value Perspective, by determining that these organizations are suitable for creating value for both society and firms, and for addressing multiple stakeholders’ needs. The first paper, through a review of the literature researching on CFs and on Shared Value, analyses in depth the most innovative characteristics of these organizations, and attempts to consider some potentially interesting issues to be stressed, coherently with the perspective adopted. The second paper presents an exploratory study aimed at verifying how the interests of the founder firm influence the model, activities and issues addressed by CFs. The paper proposes a classification of CFs introducing an innovative model, the so-called edifier, and underlines which field of activities are more appropriate according to the objective of the firms. The third paper is aimed at investigating in depth the ties connecting Founder Firms and CFs, with a special attention to the mechanisms through which a firm can impact CF’s effectiveness. The paper puts in evidence that the adoption of a model has a substantial influence on effectiveness, with many consequences on the proactivity, competences and social influence of CFs.

Abstract As the public began to pay more attention to the corporate performances¡¦ impact on the society, more enterprises are actively engaged in charitable activities in order to fulfill corporate social responsibility. By the observation of the development of Taiwan's public service activities, it can be found that most of the companies started to establish foundations as a feedback channel to all stakeholders. Porter said that social philanthropy should have a strategy. Strategic philanthropy is the way which not only intensifies the competitive advantages of the corporate, but also improves the social well-being. Therefore, this study investigates the influence of corporate foundations which takes the strategic philanthropy in the corporate foundations perspective and the research objects will be the foundations of different industries. This study hopes to understand how the different organization culture will have influence on motivation in the strategic philanthropy and the way of collaboration with non-profit organizations. This study is a qualitative study with secondary data collection and a semi-structured interview for the technology industry and financial industry and the subjects were Advantech ABLE Foudation and Chinatrust Charity Foundation, to understand as the practice of conducting strategic charity. The interview process to the recording, supplemented with notes taken down, in order to avoid missing messages, along with secondary data which analyzed according to the interview.   According to the documents, literature reviews and collecting interview results, we can propose the following conclusions: 1. The organizational culture of corporate foundations were affected by the companies, founders and the leaders. 2. The emergence of strategic philanthropy absolutely is the trend for the society nowadays. 3. The corporates can make the charity charitable orientation from the successful experience of strategic philanthropy and also unite the members. 4. Stable source of funding available in the non-profit organizations, a model to study business management and to increase awareness and level of exposure, volunteer working to resolve the plight of human resources.

Analýza firemního dárcovství jako nástroje společenské odpovědnosti firem v České republice a ve Francii / Analysis of corporate philanthropy as a strategic tool of corporate social responsibility in the Czech Republic and France

The subject of this thesis is to point out the growing importance of the corporate social responsibility and the sustainable business concept of firms in the Czech Republic and abroad, integrating corporate philanthropy into their long-term strategy. The basic terms and close connection of the corporate donation policy and social responsibility are explained. Corporate foundations present the strategic tool. First chapter is an introduction to philanthropy with the definition of basic terms. Second chapter deals in detail with importance of social responsibility in the Czech Republic and France, focusing on the role of corporate foundations, their activities and comparing the situation in both countries. Practical chapter analyzes the activities of selected corporate foundations in order to capture examples of good and bad practice. Subsequently, the observation is summarized and future developments are outlined. Last chapter provides practical advice and considerations for companies considering establishing their own foundation. Implementing and improving proposals of the efficiency and quality of their management are finally submitted.

Responsabilidade social corporativa e fundações empresariais no Brasil: estratégias de legitimação polí­tica das empresas / CSR and Brazilian Corporate Foundations: political legitimization strategies by the firms

A Responsabilidade Social Corporativa (RSC) pode ser vista como resultado de forças institucionais e políticas que influenciam a adoção de certas práticas pelas empresas na busca por legitimidade. Tais práticas incluem a colaboração com o Estado a partir de políticas já existentes, além de esforços da empresa para criar novas políticas. Empresas também colaboram com o Estado na sua capacidade administrativa e física para resolver problemas sociais. Isso pode ser feito por filantropia ou participação em programas governamentais ou pelo desenvolvimento de soluções inovadoras por parte da empresa (Zhao, 2012). O objetivo desta pesquisa é analisar como as empresas brasileiras utilizam a RSC em suas estratégias de legitimidade política e qual o papel desempenhado pelas fundações corporativas (FCs) nesse processo. Realizou-se uma análise qualitativa de conteúdo sobre as interações entre empresa-Estado a partir de 104 relatórios de sustentabilidade, no período entre 2015-2017, de empresas listadas na B3 (Brasil, Bolsa, Balcão), em junho de 2017 A análise qualitativa foi realizada para identificar as interações empresa-Estado nos relatórios e para classificá-las em tipos de estratégias de legitimidade via RSC. Por análises de regressão, buscou-se evidenciar as diferenças na adoção de estratégias de legitimação política via RSC entre empresas que possuem fundação e aquelas que não possuem. Foram definidas as seguintes hipóteses: H1 - Empresas que possuem fundações corporativas exercem mais a RSC que cria novos arranjos políticos do que as empresas que não possuem fundações corporativas; H2 - Empresas que possuem fundações corporativas exercem mais a RSC que cria novas capacidades para que o estado responda a questões socioambientais do que as empresas que não possuem fundações corporativas; H3 - Empresas que possuem fundações colaboram de forma mais intensiva com organizações sem fins lucrativos do que aquelas que não possuem fundações. Os dados gerais (empresas com e sem FCs) mostram uma média maior de atividades de legitimidade política via RSC, classificadas como Estratégia: \"Políticas existem, empresas usufruem\", indicando uma dependência das atividades de RSC às leis de incentivo e em conformidade com regulamentações em áreas como meio ambiente. Em relação às FCs, análises de regressão mostraram influência significativa das FCs nas estratégias de \"Mudar arranjos políticos existentes\" e \"Fornecer inovação para a capacidade operacional e decisória do Estado\". Foram encontradas atividades na área de formulação de políticas públicas setoriais, de educação, além da participação das fundações na gestão pública, fornecendo novas soluções para problemas sociais em parceria com o Estado. / Corporate Social Responsibility (CSR) is the result of institutional and political forces that influence the adoption of certain practices by companies in their search for legitimacy. Such practices include collaboration with the state by existing policies, as well as company\'s efforts to create new policies. Companies also collaborate with the state in its administrative and physical capacity to solve social problems. Philanthropy or participation in government programs or the development of innovative solutions by the company can be a mean to do that. (Zhao, 2012). The objective of this research is to analyze how Brazilian companies use CSR in their political legitimacy strategies and what is the role played by corporate foundations (CF\'s) in this process. A qualitative content analysis on firm-State interactions was carried out with 104 sustainability reports, from the period between 2015-2017, of companies listed in B3 (Brazilian stock market) in June 2017. The qualitative analysis was performed to identify the firm-State interactions in the reports and to classify them into types of legitimacy strategies via CSR. Regression analyzes showed the differences in the adoption of political legitimation strategies via CSR between companies that have foundations and those that do not have. The following hypotheses have been defined: H1 - Companies with Corporate Foundations engage in more CSR activities that creates new political arrangements (\"Policy exploration\" strategy) than companies that do not have CF\'s; H2 - Companies that have Corporate Foundations engage in more CSR activities that creates new capacities for the state to respond to socio-environmental issues (\" Capacity exploration\" strategy) than companies that do not have CF\'s; H3 - Companies with Corporate Foundations collaborate more intensively with non-profit organizations than those without CF\'s. The general data (companies with and without CF\'s) show a greater average of activities of political legitimacy via CSR activities classified as \"Policy Exploitation\" strategy, indicating a dependence of CSR activities on incentive laws and in compliance with regulations in areas such as the environment. Regarding to the CF\'s, regression analyzes showed a significant influence of the CF\'s in \"Policy exploration\" and \" Capacity exploration\" strategies. There were found activities in the area of sectoral public policies formulation, education. In addition to those indirect activities on the State, the reports showed the foundations\' involvement in public management, providing new solutions to social problems in partnership with the State.

The study is motivated because foundations have been assuming a prominent role as social policies agents, not just for the resources available, but also for its inclusion in the policies management by their projects. Firstly, foundations were designated just to execute social actions, today they are seen as strategic organizations, able to effect a more sustainable management and increase the dialogue between business and community. Therefore, foundations implement and generate social projects in order to enable better living conditions for poor people and ensure their social rights - right to health, education, housing and other essential terms. It should be emphasized there isn´t a withdrawal of state policymaker and funder role in social policies, on the contrary, the state expanded its functions of planning, assessment and control, ensuring citizens' right to access quality life. To achieve our objective, we provide a literature review on the transformation of state, enterprises and Third Sector roles. The research methodology is qualitative and quantitative interviews were conducted in 6 large and active corporate foundations in education area. The study showed there is a conscious concern from foundations to social problems and several projects are carried out to combat these. There is also an attempt to contribute to state, even if not fully aligned with government programs. The foundations contribute to state but there is no way yet to assess the real impact because the absence of similar indicators, also the dialogue between the sectors is fragile, so the exchange and sharing of skills and knowledge is still small / O presente trabalho se propõe a estudar as fundações corporativas com o objetivo de discutir o seu papel na gestão das políticas sociais. O estudo é motivado pois as fundações vêm assumindo papel de destaque como agentes de políticas sociais, não apenas pelo enorme volume de recursos disponíveis, mas também por sua inserção na gestão de tais políticas através de projetos. A princípio, as fundações foram designadas executoras de ações sociais, hoje são vistas por suas mantenedoras como organismos estratégicos, capazes de efetivar uma gestão mais sustentável e de ampliar o diálogo entre empresas e a comunidade. As fundações, assim, implementam e geram projetos sociais com o objetivo de possibilitar à população melhores condições de vida e garantir seus direitos sociais - direito ao acesso à saúde, à educação, à habitação e a outras condições essenciais. É necessário ressaltar que não há a retirada do papel do Estado de formulador e financiador das políticas sociais, pelo contrário, o Estado amplia suas funções de planejamento, avaliação e controle, garantindo aos cidadãos o direito ao acesso a uma vida com qualidade. Para alcançar o objetivo proposto, promove-se uma revisão bibliográfica referente as transformações do papel do Estado, empresas e do Terceiro Setor. A metodologia utilizada na pesquisa foi qualitativa-quantitativa, foram realizadas entrevistas em 6 grandes e atuantes fundações corporativas na área da educação. O estudo mostrou que há uma preocupação consciente das fundações com os problemas sociais e que diversos projetos são realizados para o combate destes. Há também uma tentativa de contribuição com o Estado, mesmo que ainda não totalmente alinhadas com os programas governamentais. Mas ainda falta uma aproximação entre as organizações com ações planejadas e avaliadas. As fundações contribuem com o Estado mas ainda não há como avaliar o real impacto pela ausência de indicadores similares, além disso ainda é falha o diálogo entre os setores, assim a troca e o compartilhamento de capacidades e conhecimentos ainda é pequena

Transparentnost firemních nadací v České republice / Corporate foundations' transparency in Czech Republic

This thesis discusses the topic of transparency of corporate foundations in the Czech Republic. This aspect of corporate foundations' activity is important mainly for gaining public trust and legitimacy in the society. The transparency is defined and subsequently researched as disclosure and accessibility of information about foundation on the internet. The purpose of this work is to analyse the level of corporate foundations' transparency and the association of the level of transparency with selected characteristics of foundations and their founding firms. The first, theoretical part describes theoretical background of corporate foundations and transparency including its indicators and determinants. The second, empirical part describes the research, its results and conclusions. The research population consists of all corporate foundations founded in the Czech Republic up to 2014. Two types of transparency were analysed; financial and performance transparency, which were made up of selected indicators. Analysed determinants of transparency were foundation size, foundation age, foundation board size, firm's foreign activity, firm size.
