The covenant theology of Zacharias Ursinus

This thesis provides an analysis of the covenant thought of Zacharias Ursinus (1534- 1583) who further advanced the idea of a bi-covenantal scheme in the development of covenant theology in the sixteenth century and seeks to demonstrate how such advancement did not diminish the gratuitous nature of the gospel. Understood within the larger framework of his theological system it becomes evident that his original foedus naturale did not arise out of an overly speculative scholastic methodology. Instead, it served as the corollary of the foedus gratiae he inherited from his Reformed predecessors. An analysis of his teaching on the natural law, the law-gospel dichotomy, the federal headship of Adam and Christ and the imputation of Christ’s righteousness for Adam’s disobedience reveals how the foedus naturale emerged organically from his convictions on these heads of doctrine. The methodology is both systematic and historical. It begins with a study of his theological development as examined in the context of his life and written works followed by a review of the contributions of previous secondary literature that exists on this subject. Both the doctrine of God and the doctrine of the knowledge of God are analyzed as they provide insight into his theological methodology showing it to be biblical rather than philosophically speculative. The heart of the thesis is a close examination of the foedus gratiae and the foedus naturale which demonstrates how the two complement each other and how they relate to other theological distinctives within his thought. The study concludes by showing how his doctrine of justification, namely double imputation, lays the basis for the formulation of his pioneering idea of a foedus naturale.

A teoria levantada aponta que, tanto maiores níveis de monitoramento quanto maiores níveis de transparência, levariam a emissão de debêntures com menor número de covenants uma vez que o monitoramento e transparência atuam preventivamente para evitar o risco que as covenants tentam proteger os debenturistas. A fim de alcançar o objetivo foram analisados 227 contratos de debênture de 133 empresas, emitidos do período de 2011 a 2015. Os índices de transparência e monitoramento foram construídos com base nos componentes do índice de governança corporativa construído por Bortolon e Da Silva Junior (2015) e de IBGC (2014). Para controle do estudo foram utilizadas variáveis relativas aos contratos (série, emissão, incentivo, dispensa, garantia e prazo) e variáveis relativas às empresas (tamanho, controle, rentabilidade, endividamento, desvio de direito e risco). Foram utilizados, para mensurar a relação entre os mecanismos de monitoramento e transparência com o total de covenants nos contratos de debênture, teste de diferença de média e a regressão binomial negativa. Os resultados encontrados mostram que empresas com mais mecanismos de transparência, possuem em geral, um número menor de covenants enquanto o resultado relativo à relação do monitoramento com o número de covenants mostra relação divergente do esperado com mais monitoramento relacionado a maior número de covenants. O monitoramento cruzado, que consiste no monitoramento feito por outras partes relacionadas a empresas podem ter impactado no total de covenants resultando em conclusões diferentes da esperada. / This study aims to test the relation between monitoring and transparency mechanisms with the number of restrictive covenants that, if violated, lead to technical default of the bond. The theory shows that higher monitoring levels and higher transparency levels leads bond issued with less covenants. This happens because monitoring and transparency prevents the risk that covenants try to protect the bondholder from. In order to reach the objective, 227 contracts of 133 companies, issued from 2011 to 2015 were analyzed. The monitoring and transparency test was constructed based on governance index made by Bortolon and Da Silva Junior (2015) and IBGC (2014). As control variables, the study used variables related to contracts (series, issue, incentive, exemption, guarantee and deadline) and related to the companies (size, control, profitability, debt level, ratio of voting rights to cash flow rights and risk). To measure the relation between the monitoring and transparency mechanisms with the number of bond covenants, mean difference test and binomial negative regression were used. The results show that companies with more transparency mechanisms generally have a lower number of covenants, while the relation of monitoring with the number of covenants diverges from prior expectation. The effect of Cross monitoring, in which the monitoring is done by other stakeholders, in total number of covenants may be the reason for the results being different than expected.
