The role of Governing Board under Czech legal regulation and the role of Board of Directors under English law This Diploma Thesis deals with the position and role of Governing Bodies of joint-stock companies under Czech and English law. In the first part, the author sets theoretical and economical reasons behind the management of a joint-stock company via Governing Body by way of descriptive and explanatory method, and concludes, that a Governing Body should be an instrument which mitigates the agency costs and provides for a flexibile system of governance. In the second part of the Thesis, the author deals with structure, position and role of a Governing Board and related interpretation problems of Czech regulation by way of description, analysis and synthesis. The author summarises the second part with a definition of czech Governing Board as a sui generis body with supervisory and managerial powers, whose position stands somewhere between Managing Board and Supervisory Board. The role of the voluntary hospital trustee : a case analysis

The purpose of this study is to provide a critical examination of the concept of hospital governance in a community hospital in British Columbia. The format of the thesis is to model the development of the Canadian health system in an extensive case analysis. The case analysis approach permits the expounding of theoretical concepts of hospital trustee roles and functions. Through the application of qualitative research, the fundamental issue addressed was the involvement of the Lions Gate Hospital trustees with policy issues during a ten year period of analysis from January 1969 through December 1978. The hypothesis was that the hospital trustees were not substantially involved in policy making but were primarily concerned with operational management issues and this suggested that the role of the trustee did not evolve in concert with the change in the Canadian health system under national health insurance. The hypothesis was tested through application of the research methods of content analysis and grounded theory in a review of the minutes of the Board of Management and the annual reports. In tracing the evolution of the Canadian health insurance program, it was shown that the enactment of the hospital insurance components which preceded medical care insurance produced an emphasis on hospital care and diagnostic services rather than ambulant care. Cost sharing provisions initially for capital funding and later for operational costs encouraged and stimulated the demand for hospital facilities across Canada. With the advent of these third party Insurance schemes, the role of the hospital trustee should have changed from one of fundraiser to one of policy maker; however, the trustees at Lions Gate Hospital were found to be predominantly concerned with operational management issues rather than policy issues. National health insurance established the legitimacy of hospital trustees as policy makers and the professionalization of hospital administration established the feasibility of the Chief Executive Officers being held accountable for operational management. The missing link is support from the provincial government of British Columbia and the lack of definitive legislation and requirements embodied in the Hospital Act (RS Chapter 176; 1979). The current legislation inhibits policy making and long range planning and reinforces the conception of a hospital board as an administrative body. The lack of policy development initiatives by the Lions Gate Hospital trustees resulted from the restrictive mandate of the Hospital Act, the inadequate funding system for hospitals, the process of trustee selection, the education process for hospital trustees, the role of the Chief Executive Officer and the interaction with the organized medical staff. Weak and ineffective boundary spanning roles allowed the hospital trustees to function as an administrative board rather than a policy making board. Opleiding in maatskaplike werk in Suid–Afrika is goed ontwikkel en het in die afgelope 20 jaar in verskeie spesialisvelde binne die vakgebied ontvou. Maatskaplikewerk–dienslewering fasiliteer die groei en ontwikkeling van maatskaplike werkers, wat daartoe aanleiding gee dat hulle in so n mate vorder dat hulle hul kort voor lank in bestuursposisies bevind. n Wyer kennisbasis rakende bestuursdinamiek word vereis om die oorgang van maatskaplike werker na bestuurder te kan maak en sodoende doeltreffend as bestuurder te kan funksioneer. Hoofstuk 2 beskryf die navorsingsmetodologie wat gebruik is in die studie. Hoofstuk 3 vervat n literatuurstudie wat handel oor die huidige funksionering van NWOs in Suid–Afrika. Daar word gefokus op die bestuursprosesse en rolspelers binne n NWO, die sosiale, politieke en ekonomiese faktore wat die funksionering van NWOs beïnvloed, bestuursmodelle en –teorieë, leierskap en die oorgang van maatskaplike werker na NWO–maatskaplikewerkbestuurder. Hierdie inligting bied die agtergrond waarteen die funksionering van NWO–bestuurders in Mpumalanga, Gauteng, Vrystaat en Noord–Kaap gekontekstualiseer kan word. In Hoofstuk 4 word die data wat vanuit die situasie analise met die NWO–bestuurders in Mpumalanga terugontvang is, verwerk en gerapporteer. n Profiel word verskaf ten opsigte van die NWOs in Mpumalanga asook die bestuursrolspelers en –prosesse wat geïmplementeer is. Daarna word die profiel van NWO–bestuurders in Mpumalanga voorgehou met spesifieke fokus op bestuurskennis en –vaardighede van NWO–bestuurders in Mpumalanga. Die opleidingsbehoeftes van NWO–bestuurders word opgesom en geprioritiseer. Die beskikbaarheid van bestuursopleidingsprogrammes in Suid–Afrikaanse maatskaplikewerk–opleidingsinstansies word daarna weergegee. At the Intersection of Politics and Higher Education: Policy, Power, and Governing Boards in Oklahoma

This quantitative study examined the perceptions of members of Oklahoma public higher education governing boards and legislators concerning higher education governance. The purpose of this study was to gain a greater understanding among the participants as to the role governing boards should play in the system. The population for the study comprised 142 members of the Oklahoma Legislature and 107 members of 15 Oklahoma public higher education governing boards. The principal investigator used a web-based survey development company to design, collect, and store survey responses. Results from the study were examined using independent samples t tests and one-way ANOVAs. From these tests, 5 out of 15 research questions had statistically significant findings. Analysis of the data revealed that legislators and members of governing boards perceive the role of governing boards differently in some key ways. There were significant differences concerning governing boards primarily serving to promote the interests of individual institutions, with members of governing boards, Democrats, and participants from suburban areas more likely to agree with this position. Members of the legislature were significantly more likely to agree than members of governing boards that the primary role of governing boards is policy implementation. There were also significant differences concerning the role of governing boards serving primarily to keep the expenditure of public dollars as low as possible with participants from urban areas agreeing with this statement.
