The outsourcing market, especially Business Process Outsourcing (BPO), is growing every year. For decades, companies have successfully used outsourcing to generate significant savings. However, discussions with any employee will reveal some resentment of outsourcing. The aim of the study has been first to improve the understanding of some salient difficulties in Business Process Outsourcing relationships, with special reference to the perceived challenges of managing and monitoring Service Legal Agreements in Swiss banking, and second to assist outsourcing banks and service providers in formulating and managing their outsourcing contracts. The study was designed to obtain, through interviews, descriptions and perceptions of experts in Swiss Banking Business Process Outsourcing. Given the nature of the topic but also because of practical constraints, the investigator elected to use a qualitative, interpretative, social constructionist research framework. An extensive review of the literature revealed that a variety of definitions of in- and out-sourcing exist. Some of these terms were used in academic writings and the business press interchangeably and had to be defined. Twenty-two practitioners were interviewed. The data were analysed and interpreted with the help of qualitative analysis software (NVivo). Subsequently, I compared my findings with those of the literature reviewed. Furthermore, a gap in the literature, namely that it generally does not deal with the perceived quality of the relationship, could be addressed and practical approaches for managing BPO relationships are suggested. / Thesis (DoctorateofBusinessAdministration)--University of South Australia, 2007.

A saúde é direito de todos e dever do Estado, conforme dispõe o art. 196 da Constituição Federal de 1988, garantido mediante políticas sociais e econômicas que visem à redução do risco de doença e de outros agravos e ao acesso universal e igualitário às ações e serviços para sua promoção, proteção e recuperação. O meio tradicional pelo qual os Estados democráticos promovem a efetivação dos direitos fundamentais, em especial os de segunda dimensão, como é o caso do direito à saúde, são as políticas públicas. No Brasil, o embrião das políticas de saúde hoje existente foi formulado na Constituição de 1988 e regulamentado pela lei 8.080/90, baseada no acesso universal, equânime e integral aos serviços de saúde. Esse modelo, entretanto, sofreu sensível alteração em 1995 com o Plano Diretor de Reforma do Estado. O plano privilegiava uma atuação estruturada em funções estatais de fomento e parcerias com o setor privado. A presente pesquisa busca avaliar de que forma o modelo das organizações sociais, criado em 1998 pela lei federal nº 9.637/98 se acomodou na estrutura do SUS e abordar alguns desafios que se tornaram evidentes com a sua implementação, especialmente no que tange às escolha das entidades parceiras, ao controle dos recursos repassados e à inserção do modelo no âmbito das políticas de saúde. / Health is a human right and a State obligation according to article 196 of the Federal Constitution. Granted by social and economical policies conceived to reduce disease incidence and to foment universal and equal access to actions and services related to its promotion, protection and recovery. States traditionally see in public policies a way to enforce social rights, especially ones from second and third generation as the right to health. In Brazil, the core of health public policies was formulated by Federal Constitution and ruled by act nº 8.080/90, based on universal, equal and integral access to health care. This agenda, however, was altered in 1995 by the State Reform Plan. The Reform Plan supported structured action based on foment tools and public-private partnerships, included the social organizations desing. This research intends to assess how this design was adjusted in SUS structure, and address some challenges related to its implementation, especially those concerned to the partner selection process, accountability and its lacation on health public policies issues

These contracts were signed with private partners for the execution of health services in the state. The contract modalities approached were: 'Shared Management', represented by the contract signed between SES/RJ and a private company under Law no. 8.666 from June 21, 1993; and 'Social Health Organization (SHO) Management', which is a contract signed between SES/RJ and a SHO, under Law no. 6.043 from September 19, 2011. Regarding compliance with legal and regulatory milestone in relation to the control of management contracts, SES/RJ remodeled its internal organization creating new structures with that purpose. The urgency to implement new mechanisms of offering health assistance services to the state population impaired the evaluation and eventual measuring of transaction costs. Although management contracts generate the greatest public benefit, which is to offer high quality health services to the state population, the principle of efficiency expressed on Constitutional Amendment No. 19 dated 1998 must be pursued by the Public Administration. Considering Transaction Costs Economy, the hypothesis for this study is that the Public Power may incur in unknown losses due to SHO contracts governance structure if transaction costs are not measured. In order to evaluate this proposition, a comparison with the governance structure regarding Shared Management contracts is suggested. / Este estudo objetiva comparar as estruturas internas da Secretaria de Estado de Saúde do Rio de Janeiro (SES/RJ) organizadas para a execução do acompanhamento e controle de contratos de gestão firmados com parceiros privados para prestação de serviços de saúde no estado. As modalidades de contratação abordadas foram: 'Gestão Compartilhada', contratação entre a SES/RJ e empresa privada com base na Lei Nº 8.666 de 21 de junho de 1993 e 'Gestão por Organização Social de Saúde (OSS)', contratação entre a SES/RJ e OSS com base na Lei Nº 6.043 de 19 de setembro de 2011. Visando o cumprimento do marco legal no que tange ao controle dos contratos de gestão, a SES/RJ reformulou estruturas internas, instituindo novas instâncias de acompanhamento de contratos. A premência na implantação dos novos mecanismos de gestão assistencial para atendimento às necessidades de saúde da população fluminense prejudicou a avaliação e possível mensuração de custos de transação. Não obstante os contratos de gestão produzam o bem público maior, qual seja a oferta de serviços de saúde de qualidade à população fluminense, há que se considerar que a eficiência é um princípio expresso na Emenda Constitucional nº 19 de 1998 e deve ser perseguida pela Administração Pública. À luz da Teoria de Custos de Transação, a hipótese deste trabalho é que o Poder Público pode incorrer em perdas desconhecidas com a estrutura de governança de contratos com OSS, se custos de transação não forem mensurados. Para avaliar a pertinência da suposição, é proposta comparação com a estrutura de governança de contratos de Gestão Compartilhada.
