The thesis consists of a brief introduction to this topic and of a theoretical and practical part. The theoretical part discusses general terms (part 2), i.e. subject-matter, failure, subject-matter and territorial jurisdiction, procedural entities, failure hearing and ruling, a debtor's insolvency petition as well as the individual ways of handling a debtor's failure. The part concerning the ways of handling failure through bankruptcy (part 3) discusses the effects of a bankruptcy declaration on in-progress proceedings, the monetarisation of assets, bankruptcy cancelation and the effects of a bankruptcy declaration on the community property of spouses. Part 4 discusses other ways of handling failure, i.e. reorganisation. This part includes court jurisprudence of problematic cases, which concerns the current legal regulations. Part 5 discusses the latest and currently most used way of handling a debtor's failure, i.e. debt relief. The practical part shows a debtor's accounting of a specific accounting case that concerns a debtor's failure through bankruptcy and contains an individual's debt relief petition and a debtor's (business company's) insolvency petition for bankruptcy declaration. The end of the thesis summarises this issue and points out the importance of having basic knowledge of this issue for individuals and legal entities.

The role of different subjects in reorganisation of the debtor's enterprise (comparative study) Abstract This thesis is an analyse of the role of different subjekts involved in reorganization. This thesis is composed of four chapters each of them dealing with one of the key subjects. Different legal systems were compared for this purpose. On one hand reorganisationis a sort of civil procedure, on theother hand it is a sort of contract. This thesis tries to describe this ambiguity in emphasising its contractual basis and judicial framework. Chapter One analyses how the insolvency modifies the position of the management, management is no more completely autonome in its action. In some cases there placement of the management is necessary, especially when the wrongful trading is proven. In most of cases the debt or files for insolvency, prepares a plan of reorganization and becomes a "Debtor in possetion". Different stades of reorganisation in respect with the position of the debtor are examined which shows that the reorganization is a way for thea management how to regain the right to act on behalf of the company. The Structural and Cultural Constraints on Policy Implementation : a case study on further education and training Colleges in South Africa

In its first decade of democracy the South African government embarked on radical reforms to the apartheid education system. One such set of reforms concerned the restructuring of the further education and training (FET) college sector. The implementation plan for the restructuring of the FET college sector, entitled Reform of South Africa’s Technical Colleges (Department of Education, 2001), was released in September 2001. The reorganisation of the FET college sector brought with it the prospect of meeting the objectives of the country’s Human Resource Development Strategy (Department of Education, 2001). Colleges would be transformed so that they offered learners the “high-quality, lifelong learning opportunities that are essential to social development and economic competitiveness in a rapidly changing world” (Department of Education, 2001:5). The study has its origins in a deceptively simple research question: What are the organisational and cultural influences and constraints on policy implementation? Much has been written about why policies fail to be implemented as planned (McLaughlin 1987; Guiacquinta, 1994). Based on the extensive data generated in this research I found explanatory power in a conceptual framework that uses the dual lenses of restructuring, focusing on “changing the use of time, space, roles and relationships to improve learning” (Fink&Stoll, 1998:308); and reculturing, which focuses on “the process of developing new values, beliefs and norms” (Fullan, 1996:420). The new government policy for FET colleges proposed a dramatic re-organisation of the sector through mergers in order to position these institutions so as to meet the socio-economic and human resource needs of a transforming society in line with global trends. Yet, an analysis of the sector revealed system-level problems relating to the structure and culture of the FET colleges that would undermine the implementation of the new policy. The comparative case study method was used to conduct this research on three technical colleges – two state-aided and one state college – as the “cases” under investigation. Data was collected over a one-year period using a wide variety of data collection methods including in-depth interviews (both individual and focus group sessions), document analysis, the review of minutes of meetings and other communiqués, selected photographs and structured questionnaires. The first major finding of this study is that the restructuring of the FET colleges through mergers was constrained by structural or the organisational inefficiencies in the system, that is, the lack or absence of the structures required for effective implementation of policy. The second major finding of this study is that the restructuring process underestimated the depth and resilience of the FET college culture, and that this institutional culture militated against effective implementation. In other words, there was no strategy for reculturing these institutions. This research further demonstrates the consequences of attempted restructuring without reculturing and the implications of not taking into account implementation matters involving institutional culture, values, behaviour and working styles. Successful change has more to do with the professional values, beliefs and assumptions held by implementers than with the voluntary adoption of the reform, irrespective of whether it is mandated at the national or provincial levels. Implementers choose practices and changes that fit best with their pre-existing beliefs and which are consistent with the organisation’s culture. Furthermore, the insights gained from this study that structure and culture are inextricably linked have both practical and theoretical significance. The study not only offers insight into the reorganisation of the FET colleges in South Africa, but also serves to extend our understanding of the importance of culture and structure as two neglected dimensions of systemic reform. In this study I highlighted several issues that could serve as a springboard for future research into this neglected sector (FET colleges) of the education and training system: · longitudinal rather than snapshot studies of institutional cultures and their unfolding effects on college restructuring; · empirical and conceptual accounts of college cultures that examine the impact of micro-political activity on the change trajectory; and · studies on how college systems change or restructure as opposed to individual colleges. In sum this research found that there were several structural (capacity, resource, leadership, support, communication, planning and advocacy) and cultural (beliefs, values, assumptions, understanding and practices) factors that constrained policy implementation. The study further argues that restructuring without reculturing encourages symbolic rather than substantive change. The aim of this thesis is to analyze the process of reorganization under the US laws and accounting standards. The first chapter contains legislation, description of the parties and their role during the insolvency proceedings. It covers the role of the debtor, creditors, creditors' committee, insolvency trustee and insolvency court throughout the insolvency proceedings. The second part focuses on accounting under US GAAP based primarily on the ASC 852, which describes in detail the cases and items that are treated differently during the reorganization. The third part includes legal and accounting analysis of the American paper company NewPage Holdings Inc., which successfully emerged from bancruptcy in 2012.

Critical elements for decision making in business rescue plans

Background: A business rescue plan has to comply with a new and vague set of obligations regulated by South African legislation. Expectations of the plan are largely unknown, yet crucial in determining compliance. Establishing an effective benchmark for the plan is essential for the growth and success of the industry. Purpose: The study set out to answer these questions: What are the most crucial elements needed to fill the gap between the specifics of the Companies Act (2008) and the further elements needed to meet the plan’s primary objective of providing adequate information to stakeholders? What are the international principles applicable to rehabilitation plans and what elements underpin them? Method: Thirteen industry experts were selected and interviewed to identify the most crucial elements of the business rescue plan. Sampling was a combination of convenience and purposive sampling. Data collection obtained data on subjects’ opinions, rankings, agreement and ratings. Results: The study was able to confirm that there is indeed a gap between the mandatory elements prescribed in section 150(2) and the provision of sufficient information required by section 150(1) of the Companies Act No. 71 of 2008. The survey revealed that in the subjects’ expert opinion, the international principles are applicable to the business rescue plan. There was fragmentation in authority structures and inequalities between urban and rural areas as well as along racial lines. This resulted in a situation where there was duplication and inequality in the distribution of resources amongst the different levels of health care which led to costly inefficient and ineffective health services. The introduction of the White Paper Towards the Transformation of Health System in South Africa in 1997, aims at the restructuring of health services towards a unified health system which is capable of delivering quality health care to all in a caring environment. The District Health System (DHS) is featured as the key to ensuring decentralised, equitable Primary Health Care (PHC) to all the citizens of South Africa. This study looks at the reorganisation of health services in the clinics and the day hospitals which are rendered by the Health Department of The City of Tygerberg and the Community Health Service Organisation (CHSO) of the Provincial Administration of the Western Cape(P AWC) in Khayelitsha with the aim of achieving comprehensive PHC services. Inthe absence of legislation for the integration of health services, initiatives for the achievement of quality comprehensive PHC within the district are envisaged. / AFRIKAANSE OPSOMMING: Openbare Gesondheidsdienste in Suid Afrika was voor die demokratieseringsproses gekenmerk deur 'n skeidig tussen kuratiewe en voorkomende gesondheidsdienste. Daar was fragmentasie van bestuurstrukture, ongelykheid tussen stedelike en landelike gebiede asook ongelykheid op grond van ras. Dit het gelei tot duplisering van, en ongelykheid in, die verspreiding van hulpbronne op die verskillende vlakke van gesondheidssorg. Die Witskrif op die Transformasie van Gesondheidstelsels in Suid-Afrika, 1997, fokus op die herstrukturering van gesondheidsdienste en het 'n verenigde gesondheidstelsel ten doel wat daartoe in staat is om gehalte gesondheidsorg in 'n sorgsame omgewing aan almal te lewer. Die Distriksgesondheidstelsel (DGS) word gekenmerk deur gedesentraliseerde, gelykmatige Primêre Gesondheidsorg (PGS) dienslewering aan al die inwoners van Suid-Afrika. Aus der aktuellen Situation, die u.a. durch Globalisierung, verstärkten Kosten- und Zeitdruck, kürzere Produktlebenszyklen, steigenden Kundeneinfluss gekennzeichnet ist, resultieren hohe Anforderungen an Unternehmen im Hinblick auf wirtschaftliche Prozesse und ständige Weiterentwicklung. Beides ist in hohem Maße durch das Verhalten der Mitarbeiter geprägt, welches durch die Gestaltung einer entsprechenden anreizwirksamen Arbeitssituation angeregt wird. Aufgrund der Vielfalt und Komplexität von Aspekten und Einflussfaktoren bei der Anreizgestaltung stellt sich die Forderung nach einer ganzheitlichen Sichtweise von Anreizsystemen sowie nach der gleichzeitigen Berücksichtigung von Innovations-, Produktivitäts- und Persönlichkeitsförderlichkeit. Gegenwärtig vorhandene Ansätze sind nachgewiesenermaßen nicht in der Lage, die Anforderungen aus inhaltlicher und methodischer Sicht zu erfüllen. In der vorliegenden Arbeit wird, aufbauend auf vorhandene Konzepte der Soziotechnischen Systemtheorie, der Handlungsregulation, verschiedener Motivationstheorien sowie weiterer Fachdisziplinen, ein inhaltliches Modell zur ganzheitlichen, mehrfaktoriellen Anreizgestaltung entwickelt, welches die Grundlage für ein Vorgehensmodell bzw. eine Heuristik zur Entwicklung und Implementierung eines Anreizsystems bildet. Die einzelnen Facetten des Anreizsystems betreffen die Gestaltung von individuellen und kollektiven Arbeitsaufgaben, von Autonomie und Partizipation, von Kommunikations- und Informationsstrukturen, von Qualifikation und Lernförderlichkeit, von Möglichkeiten der Arbeitszeitflexibilisierung sowie die Gestaltung variabler. leistungsorientierter Entgeltbestandteile i.V.m. den entsprechenden Zielen und Leistungsbemessungsgrößen.
