Presentación de libro: La sociedad unipersonal

El libro busca ampliar y analizar el concepto de jurídico de sociedad unipersonal, así como describir la importancia de permitir su existencia y regulación en el Perú, en forma total y no para un grupo privilegiado. A lo largo de cuatro capítulos, el autor desarrolla la importancia de la unipersonalidad societaria desde la casuística, la doctrina, el derecho positivo y el derecho, en comparación con experiencias de otros países. / The book aims to expand and analyze the legal concept of sole proprietorship and to describe the importance of allowing its existence and regulation in Perú for all citizen and not noly for a privileged group. Throughout the 4 chapters of the publication, the author develops the importance of the sole proprietorship from the casuistry, doctrine, the positive law and the law compared to other countries’s experiences.

El presente informe desarrollará un análisis de la sociedad unipersonal, a través de la doctrina nacional, comparada y también las legislaciones extranjeras. Además, se analizará el desarrollo de esta figura en el Anteproyecto de la Ley General de Sociedades publicada en el año 2018 para así poder llegar a la conclusión de que si esta figura representa un beneficio u obstáculo para nuestra legislación. Por otro lado, se tomará en consideración los efectos que generaría para las sociedades que incurran en alguna causal de irregularidad, precisando el supuesto de pérdida de pluralidad de socios y las consecuencias que actualmente regula la Ley General de Sociedades y la posible solución que desarrolla el Anteproyecto. Por último, brindará un enfoque de lo que actualmente sucede en las sociedades que incurren en irregularidad, tomando como base la pluralidad de socios, y la posible solución que se podría tomar si se optara por la regulación de la sociedad unipersonal. / The report will develop an analysis of the sole proprietorship, through national, comparative doctrine and also foreign legislation. In addition, the development of this figure in the Draft of the General Law of Companies published in 2018 will be analyzed in order to reach the conclusion that if this figure represents a benefit or obstacle to our legislation. On the other hand, the effects that it would generate for companies that incur in some cause of irregularity will be taken into account, specifying the assumption of loss of plurality of partners and the consequences currently regulated by the General Law on Companies and the possible solution developed by the Draft. Finally, it will provide an approach to what currently happens in companies that incur in irregularities, based on the plurality of partners, and the possible solution that could be taken if the regulation of the sole proprietorship was chosen. / Trabajo académico
