La legislación peruana permite que en la escisión puedan participar sociedades existentes y nuevas; sin embargo, en su mayoría, se realizan con sociedades existentes. Debido a ello, el presente trabajo busca que analizar la escisión como tipo de reorganización societaria en el sistema jurídico peruano y reflexionar sobre las posibles razones por las que no se da la participación de nuevas sociedades en la escisión. El trabajo concluye revelando que la legislación no responde a las necesidades de la escisión como tipo de reorganización societaria y presenta posibles alternativas de solución. / Peruvian legislation allows existing and new companies to participate in the spin-off; however, for the most part, they are carried out with existing companies. Due to this, the present work seeks to analyze the spin-off as a type of corporate reorganization in the Peruvian legal system and reflect on the possible reasons why the participation of new companies in the spin-off does not occur. The work concludes by revealing that the legislation does not respond to the needs of the Spin-off as a type of corporate reorganization and presents possible alternative solutions. / Trabajo académico
