Obchodování s dluhopisy na kapitálovém trhu v ČR / Bonds Trading on the Capital Market in the Czech Republic

Themes my diploma is ,,Bonds trading on the capital market in the Czech Republic``. In introductory part of my thesis I deal with theoretic summary and functioning of capital market, regulation and supervision of capital market and individual subjects acting in this market. In more detail I deal with describeing the Prague Stock Exchange and company RM-System. I further define conception the bond and I describe long bonds, theirs basic kinds and conceptions used in the bonds. I also allude to series of different kinds of the bonds, that the offer on the international markets. Next part of my thesis is aimed to describe the development of the Czech market of bonds. I analyze the development of bonds trading in the last of several years on the regulated markets and the OTC-markets in the Czech Republic. In the close of my thesis I analyze the development of bonds trading on the Czech market of bonds in comparasion with Slovakian, Polish and Hungarian markets. This analysis was take in on comparision of the Stock Exchange of chosen countries.

This thesis compares various attributes of the two stock exchanges that are currently in existence in the Czech Republic: the Rm-system Czech Stock Exchange and the Prague Stock Exchange. Detailed comparisons are made between various specifics of membership policies, trading routines, fees and indices at these exchanges and these are then related to the corresponding attributes at two representative foreign exchanges: the London Stock Exchange and the New York Stock Exchange. A principal question to be answered in the thesis is whether having two independent organizers of stock-market trading is beneficial to the investors and overall practical for the market of the size of the Czech Republic. The first, theoretical part of the thesis is focused on historical evolution and characteristics of the stock exchanges. In this part we give a general classification of stock exchanges, discuss in some detail the kinds of traded financial instruments, describe trading participants and elucidate the nitty-gritty of trading systems. The second, practical part of the thesis then examines detailed facts about individual stock exchanges in the order listed in the theoretical part with the emphasis put on the differences between the stock markets under study. Various representative data is collected in tables and/or recorded in charts and graphs. Particular distinctions between the stock exchanges are analyzed and the distinguished aspects are highlighted. The conclusion summarizes obtained results and finally answers, in the mild affirmative, the question whether it is beneficial to have the stock market in the Czech Republic served by two independent stock exchanges.

This work deals with valuable consideration when changes of ownership of equity securities occur in connection with corporate changes in joint-stock company, especially with unwilling changes -- rise of registered capital with excluding the priority subscription right (§ 204a/5 of the Commercial Code), unwilling transfer of shares on the major shareholder (§ 354 of the "Act on the changes of commercial companies and associations") and squeeze out (§ 183i of the Commercial Code). Valuable consideration defines relatively in detail the Takeover Bid Act. This framework could be to certain extent analogically used for valuable consideration in unwilling transaction. However, its definition itself offers a considerable room for interpretation, so is also seized as the independent secondary topic (chapter 1). The main topic concerns two basic aspects. The first is a company evaluation. In this aspect we will take a look only at the dependence of the expert providing the evaluation on major shareholder (chapter 5). Work aims at the second problematic aspect of unwilling transaction - a premium over the valuable consideration for the infringement of right (chapter 2, especially section 2.4.). The work also deals with unevaluated risks of minority shareholders in the period beginning the day to which the company was evaluated to time of the pay out of ownership (chapter 4).
