La représentation en droit des sociétés: Étude comparative du droit belge et du droit chinois

Tant en droit chinois qu’en droit belge, une société doit recourir au mécanisme de la représentation afin d’entrer dans la vie juridique. Le droit belge et le droit chinois mettent en œuvre des approches différentes pour imputer les engagements accomplis par les représentants à la société. En matière de représentation organique, l’un recourt au système de la Prokura transposé de la première directive, l’autre fait appel à la théorie de la représentation organique apparente. Ces deux approches exercent presque la même fonction même si leur construction juridique diverge. Lors de la transposition de la première directive, le droit belge a émis une réserve à la Prokura, à savoir le dépassement de l’objet social. Pourtant avec les développements doctrinaux et jurisprudentiels, le dépassement de l’objet social ainsi que la violation du principe de la spécialité légale ont tendance à s’approcher du non-respect de l’intérêt social qui constitue un détournement de pouvoir dans le chef d’un organe de représentation. En ce qui concerne la représentation par mandataire, contrairement au droit chinois, l’imputabilité est une condition distincte pour l’application de la théorie du mandat apparent en droit belge. Le champ d’application de cette théorie est un peu plus large en droit belge qu’en droit chinois. En outre, le droit chinois reconnaît au tiers contractant la possibilité d’invoquer la nullité relative de l’acte accompli par le pseudo-mandataire ainsi que d’accorder un délai raisonnable au mandant pour la ratification, ce qui est contraire au « mandat incontesté » en droit belge. Mais ces différences entre les deux droits à cet égard ne sont pas significatives. Diploma thesis - Department of commercial law Procuration as a type of representation in business relations abstract The opening of diploma thesis on the given theme deals with the ways of action of an entrepreneur including it's forms and especially concentrates on the entrepreneur's acts according to § 20 of the Civil Code. Chapter two deals with the institute of representation and briefly try to outline the legal representation of entrepreneurs-legal entities according to the Commercial Code. The major part concentrates on contractual representation and proxy which are subsidiary applicable to the procuration according to § 1 paragraph 2 of the Commercial Code. The first and second chapter forms a necessary basis for the next part of the thesis. A third chapter of the thesis deals with the history of procuration. Chapter focuses on the progression of legislation in the Czech lands since 1863 when the Austrian Commercial Code was adopted until 1st January 1991 when the Czech Commercial Code was adopted. Individual sub-chapters compare regulation of the procuration according to individual acts, quote relevant case law which interprets questionable matters. REPRESENTATION The thesis is focused on the institute of representation in general. It provides an explanation of basic attributes of representation and it's resolution methods. Given the scope of the thesis it was not possible to cover discourse about all forms of representation and therefore it is mainly focused on direct representation in substantive law. The work is based on current regulation contained in Law No. 89/2012 Coll., The Civil Code and it highlights the most significant changes which has occurred since the date of effectiveness of this Code in regulation of representation. It also refers to consequences of these changes and contentious issues which arise with the application of individual provisions. This work deals with contractual and statutory representation including representation of an entrepreneur and representation of legal entities, briefly describes representation in family law. There is also an elaborated issue of guardianship that has been affected by significant changes. It refers to guardian council and guardianship of legal entities that are newly adjusted in Czech legal order. There is also included characterization of preliminary declaration, supported decision making, representation by the member of the household.

REPRESENTATION This theses focused on representation in term sof civil law, family law and business law. This issues is processed komplex and contains all the basic attributes of representation. Theses is based on current treatment of private law and it highlights the changes in new civil Code effective since january 2012. It evaluates legislation in comparison with future changes. It refers to mootness, uncertainties and inaccuracies contained in the current Civil Code. The work focuses on the representation in general and its different types based on the Civil Code. It also contains a modification in the representation of the Commercial Code, which focuses on representing corporate and procuration. The presentation draws on family law representation and guardianship of minors, guardianship.
