Cese smlouvy - srovnávací studie / Assignment of contract - comparative study

The thesis deals with the legal institution of assignment of contract from comparative point of view. The core of contract assignment lies in the replacement of a contractual party by a third person during the existence of a contractual relationship. As a new institution in Czech civil law introduced by the Civil Code as of 1. January 2014, the topic has not been sufficiently covered in legal theory and therefore its academic elaboration is highly actual. Before the 1 January 2014, the assignment of contract was not expressly recognised by the Civil Code 1964 or the Commercial Code, however the practice often pointed out the lack of legal regulation and looked for other ways to achieve the replacement of the contractual party. The goal of this thesis is to identify the diversities between the chosen legal regulations and to provide an evaluation of the Czech regulation based on comparison with foreign approaches. Comparison with the Italian civil law concept of cessione del contratto was chosen because of its major influence on other European codifications of contract law including the Civil Code 2012. A quantitative model for measuring technology transfer potentials at the industrial level - an application towards establishing technology cooperation

International transfer of technology is the key element for the industrialisation and economic development of countries. But the success of any transfer depends on the judicious selection of appropriate technology from the right source and its effective absorption. This depends to a large extent on the selection, adaptation and assimilation capabilities of the recipient of the technology. In technology transfer, adaptation at the transferee end is an important stage. The difference between the technology levels of the transferor and transferee causes a technological gap which creates a potential for technology flow, but the transfer will depend on the assimilating capability of the transferee. In this study, a mathematical function that determines the technological level of a country is developed using the logistic growth pattern. The technological level of a country, in a given industry, is measured by an indicator called 'Technology Index' using the variables that influence and reflect the performance of that industry. The technology index is computed using the factor loadings obtained by the statistical technique factor analysis. In technology transfer, one of the most important problems facing countries is the selection of a transferor. Using the classical optimisation method, optimum transferors for various hypothetical transferees are determined in order to study the optimal partnership in technology transfer. A theoretical framework is provided for technological cooperation among the member countries of APEC based on the technology transfer model and classical optimisation method developed in this study. The theoretical framework can be applied to establish, for each industry, a technology cooperation network among the member countries by identifying the optimum partnership, that will provide an effective technology transfer process. This thesis "Contractual acquisition of ownership" deals with the fundamental questions of contractual acquisition of property law in the Czech Civil Code. Some of the parts of the project are comparative. The author takes into account both the older national regulations of contractual acquisition as well as the different approaches in the same field in some foreign legal systems. In the introduction the author highlights the importance of property law (this right forms one of three fundamental pillars of private law - together with "man" and "contract") as well as the possibility to transfer it to another. First chapter shows that - from the general point of view - acquisition of property law as such may be based on a number of different modes. The paper contains an overview of particular modes and its dividing into relevant categories. The acquisition based on contracts is a type of derivative acquisition. Next chapter is devoted to some general questions of contractual transfer of ownership. Some decisive (general and special) legal principles are offered: namely the principle of the autonomy of the will, the principle of the absence of formality of contracts and finally the "nemo dat" principle (nemo dat quod non habet).
