En el presente artículo, el autor efectúa un profundo análisis sobre el tema del Gobierno Corporativo, esto es del modo en que las sociedades mercantiles deben ser gestionadas. Asimismo, se enfoca en esclarecer, desde su perspectiva, los principales puntos controvertidos que se presentan en el debate internacional sobre el asunto. Para ello expondrá sus argumentos utilizando la diversa normativa internacional, principalmente europea, dirigida a regular el funcionamiento interno de las sociedades. In this article, the author makes an analysis of the issue of Corporate Governance; this is the way that corporations should be managed. Hopt focuses his attention on clarifying, from his perspective, the most controversial points presented in the international debate about this matter. The author expresses his view using the international normative, especially European, which regulates the internal procedures of corporations.
