<p>Bakgrund: Under början av 2000-talet inträffade bolagsskandaler som har fått stor uppmärksamhet världen över. Detta ledde till att många länder tog fram koder och riktlinjer i syfte att stärka förtroendet för bolagsstyrning. I Sverige utarbetades den svenska koden för bolagsstyrning (koden) som en form av självreglerande system, där bolagen antingen ska ”följa eller förklara” hur de tillämpar koden. Koden antogs den 1 juli 2005 av Stockholmsbörsen och tillämpas idag av de största noterade bolagen. För att förklara utvecklingen av koden används den institutionella teorin som teoretisk referensram. I vilken utsträckning efterlevs den svenska koden för bolagsstyrning avseende ”följ eller förklara”? Hur bidrar den svenska koden för bolagsstyrning till förbättrad styrning av svenska bolag?</p><p>Syfte: Syftet är att beskriva koden för bolagsstyrning samt att förklara dess utveckling genom ett institutionellt angreppssätt. Syftet är även att undersöka i vilken</p><p>utsträckning som den svenska koden efterlevs i bolagen, samt hur den bidrar till förbättrad styrning av svenska bolag.</p><p>Metod: Kvantitativ undersökning (dokumentundersökning) av 99 svenska noterade bolags årsredovisningar som tillämpar koden. Komplettering med kvalitativa undersökningar, i form av telefonintervjuer samt sammanställning av publicerade artiklar.</p><p>Resultat: Det institutionella angreppssättet som är använt i studien, påvisar att det adderar och underbygger förståelsen för utvecklingen och användningen av koden. Studien visar även att koden till stora delar följs, vilket tyder på att bolagen anser att det är av betydelse att tillämpa den. Det främsta bidraget som koden ger är att den belyser och visar vad som är god bolagsstyrning, vilket gör att öppenheten ökar och det i sin tur främjar förtroendet för bolagen som tillämpar den.</p> / <p>Background:In the beginning of the 21th century corporate scandals shock the world, and was covered by media worldwide. An interest for corporate governance aroused and</p><p>countries started to develop codes of corporate governance in purpose to fortify trust for the listed companies. Swedish Code of Corporate Governance (the Code) is based on the “comply or explain” principle. The listed companies on</p><p>the Swedish stock market started to apply the Code in first of July 2005. The Institutional theory is used as a frame of reference, to explain the development of the Code. How do the listed companies in Sweden “comply or explain” the</p><p>Code? How does the Code improve corporate governance at the listed companies in Sweden?</p><p>Aim: The purpose is to describe the development of the Code by using the institutional theory. It is also to investigate how the listed companies in Sweden “comply or explain” the Code in their annual reports and how the Code</p><p>contributes to corporate governance.</p><p>Completion: The investigation was conducted by using a quantitative survey of annual reports from 99 Swedish listed companies. In addition a qualitative methods are used and are represented by interviews and publicized articles.</p><p>Results: The institutional theory verifies in this thesis, by showing that it makes a contribution for the understanding of the development of the Code. The companies almost fully complies the Code, which indicates that they consider it</p><p>important to comply the Code. The major contribution of the Code is that it helps to create a focus and draws attention to the matter. It paves the way for openness and acts in a positive way to increase the trust for the listed companies</p><p>in Sweden.</p>
