Previous issue date: 2015-08-24 / This study is inserted into the Constitutional Private Law concentration area, and line of research in constitutional law Relations in Private. Is justified by the importance and need to understand the essential function of the company as a social actor, given the contribution that the simple course of their business activity can bring to the medium in which it is introduced. Necessary is done to analyze the evolution of commercial law combined participation of the state in economic activity, as well as actions from business activity and captained by entrepreneur that sometimes shape in benefits, greater or lesser degree, to society. The essentiality of the conduct of business activity shows up as a contribution to society, when it is configured propulsion instrument of social and economic development. The research examined the various reflections of essential function of the company, especially its social function carefully will be differentiated from corporate social responsibility, as they are similar institutes, but rather distinct. On the other hand, it analyzed the questioned incongruity of the corporate's social function in a capitalist system in which the Brazilian economic environment it operates. The impact, whether positive or negative, the activity headed by the entrepreneur and/or business activity management of the holder were also seen in a broader context, from the perspective of the corporate as a social actor of great importance for contribution to economic growth and human development. The methodology as to the purposes of the objectives was explanatory, and the sources were bibliographical and documentary character, which is make up by consulting the local and foreign doctrines, especially literature and case law analysis and legislation concerning this matter. We sought to investigate the issue of quantitative and qualitative manner, focusing on their mixed nature, theoretical and practical. Examined the accommodation of the subject matter, especially today, to thus observe influences and possible legislative deficiencies. The thesis aimed to point out the social function of the company as necessary and compatible instrument achieving economic growth and human development, which results in undisputed relevance of business activity, either smaller or larger, society and economy in general. Finally, it provided an opportunity synthetic analysis of theory and practice as a way of perceiving slight difference between social responsibility and social function of the corporate, aiming to provide proposal of systematization of this concept. / Este estudo encontra-se inserido na área de concentração de Direito Constitucional
Privado, e linha de pesquisa em Direito Constitucional nas Relações Econômicas. Justifica-se pela importância e necessidade de conhecer melhor a função essencial da empresa como agente social, haja vista a contribuição que o simples desenrolar de sua atividade empresarial pode trazer para o meio no qual se encontra introduzida. Necessário se faz analisar a evolução do Direito Comercial conjugado à participação do Estado na atividade econômica, bem como as ações provenientes da atividade empresarial e capitaneadas pelo empresário que, por vezes, se configuram em benefícios, de menor ou maior grau, para a sociedade. A essencialidade do desenrolar da atividade empresarial mostra-se como contributo à sociedade, ocasião em que se configura instrumento de propulsão do desenvolvimento social e econômico. A pesquisa averiguou os variados reflexos da função essencial da empresa, sobretudo a sua função social que, cuidadosamente, será diferenciada da sua responsabilidade social, por constituírem
institutos parecidos, porém assaz distintos. Por outro lado, analisou-se a questionada
incongruência da função social da empresa em um regime capitalista no qual a conjuntura
econômica brasileira está inserida. Os impactos, sejam positivos ou negativos, da atividade capitaneada pelo empresário e/ou titular da administração da atividade empresarial também foram observados em um contexto amplo, partindo da perspectiva da empresa como agente social relevante para contribuição ao crescimento econômico e desenvolvimento humano. A metodologia utilizada quanto aos fins dos objetivos foi explicativa, e quanto às fontes foi de caráter bibliográfica e documental, as quais se perfazem mediante consulta às doutrinas nacional e estrangeira, sobretudo, literatura especializada, bem como análise jurisprudencial e da legislação pertinente à matéria. Buscou-se investigar o tema de modo quantiqualitativo, com foco em sua natureza mista, teórica e prática. Analisou-se a acomodação da matéria em questão, sobretudo, na atualidade, para, assim, observar influências e eventuais carências
legislativas. A dissertação objetivou apontar a função social da empresa como instrumento necessário e compatível a realização do crescimento econômico e desenvolvimento humano, o que resulta em incontroversa relevância da atividade empresarial, seja de menor ou maior porte, para a sociedade e economia de um modo geral. Por fim, ensejou a análise sintética sobre teoria e prática como forma de percepção da tênue diferença entre responsabilidade social e função social da empresa, com o intuito de fornecer proposta de sistematização do conceito desta.
