Previous issue date: 2017 / O presente trabalho aborda os limites da atuação do Instituto Nacional da Propriedade Industrial (INPI) nos contratos de tecnologia e a sua relação com o instrumento de know-how. O estudo inicia contextualizando o histórico e a evolução do marco regulatório dos contratos de tecnologia, da transferência de tecnologia e da propriedade industrial, em âmbito internacional e no Brasil. Após, apresentam-se os Atos Normativos editados pelo INPI ao longo das suas atividades que tenham relação com os contratos de tecnologia, desde 1975 até 2016. Parte-se, então, para a exposição das modalidades de contratos de tecnologia que são averbados ou registrado pelo INPI. Por fim, discute-se sobre os aspectos relacionados ao exame de mérito dos contratos de tecnologia pelo INPI, mediante pesquisa de processos judiciais, de Projetos de Lei e de iniciativas do setor privado sobre o assunto. Além disso, discorre sobre o exame do contrato de know-how, com base no entendimento adotado pelo INPI. O método de abordagem é o dedutivo e a pesquisa se desenvolve pelo método monográfico. As técnicas de pesquisa utilizadas são as bibliográficas e documentais, por meio do levantamento do histórico dos acordos internacionais, das legislações nacionais e dos atos administrativos editados pelo INPI relacionados aos contratos de tecnologia. A abordagem do entendimento do INPI a respeito das cláusulas do contrato de know-how é feita por meio de dados fornecidos pelo Instituto e pela doutrina. O estudo demonstra que existe uma lacuna em relação ao contrato de know-how que necessita ser preenchida, ante a ausência de norma federal ou administrativa dispondo sobre os critérios e parâmetros da sua contratação.<br> / Abstract : The present work deals with the role limits of the National Institute of Industrial Property (NIIP) within technology contracts and their relationship with the know-how instrument. The study begins at a context setting through historical background and the evolution of the regulatory framework of technology contracts, the transfer of technology, and industrial property, within the international environment and in Brazil. Thus, the Normative Acts edited by the NIIP throughout their activities related with the technology contracts, since 1975 until 2016. Moving forward, then, to the arrangements for technology contracts stated or registered by the NIIP. Finally, it looks at aspects related to merit examination of technology contracts by the NIIP, through the research of Lawsuits, Draft Bills, and private sector initiatives on the subject. In addition, it talks about the examination of the know-how contract, based on the understanding adopted by the NIIP. The approach method is deductive and the research develops through the monographic method. The bibliographic and documentary research techniques were applied for the assembly of international agreements, national legislation, and administrative acts published by the NIIP concerning technology contracts. The INPI's understanding of the know-how clauses agreement is based on data provided by the Institute and literature. The study demonstrates that there is a gap in relation to the know-how contract in need of being filled, due to the absence of a federal or administrative law on the criteria and parameters of its contracting.
