本論文其內容大致如左： 第一章緒論：敘述研究之動機、目的、範圍、方法及限制等。 第二章說明發行公司財務公開之意義及證券法令之有關規定，並敘述如何發展健全的 財務會計原則，俾發行公司公正表達其資料。 第三章首先說明企業管理舞弊之意義及其對財務公開之影響，其次探討證券管理機關 所採行的各項管理發行公司的措施。 第四章探討管理機關所採取的各種提高會計師財務簽證品質的方法。 第五章對前數章所討論之內容作一彙總說明，並提出改善建議。
