Evidências de insider trading em eventos de descoberta de petróleo e reservas de gás no Brasil

No mercado de capitais, o acesso e a negociação de informações privilegiadas é uma das manifestações da ineficiência de mercado, assim como a assimetria informacional. A prática de insider trading inicia-se quando o insider possui informação não pública e a negocia no mercado antes dos outsiders. Essa informação sob o aspecto da propriedade corporativa leva ao debate acerca da ilicitude ou não dessa prática. No Brasil, os fatos relevantes devem ser imediatamente comunicados à CVM e à Bovespa, a fim de evitar a negociação no mercado com base em informação privilegiada. Mas, em razão da característica de algum evento gerar expectativas de fluxo de caixa futuros, como a descoberta de petróleo e gás, torna-se extremamente difícil manter essa informação sob sigilo, pois é possível que ela tenha sido conhecida antecipadamente por muitos indivíduos: funcionários, engenheiros, gerentes, diretores da companhia, etc. É provável, portanto, que ocorra insider trading por ocasião da descoberta de petróleo e gás. Por esses motivos, o trabalho procura responder se há possíveis evidências de insider trading em eventos de descobertas de petróleo e gás natural entre 2001 e 2008 pela Petrobras. Para o alcance deste objetivo, foi utilizada a técnica de estudo de evento. Inicialmente, foi verificada a ausência de outliers nos modelos de regressão. No trabalho, ainda que se tenha assumido a normalidade por meio da adoção do modelo ajustado ao risco e ao mercado, os resíduos das equações referentes ao período da janela de estimação foram submetidos ao teste de normalidade dos resíduos (Kolmogorov-Smirnov), que não a rejeitaram, o que reforça a sustentação para aplicação de testes paramétricos. Após essa etapa, foram realizados os testes paramétricos t-student para os retornos anormais, cujos resultados apresentaram possíveis evidências de insider trading nos anos de 2001 a 2003 e em algumas datas dos eventos da descoberta de petróleo, além do período mencionado. A análise e a conclusão do trabalho confirmam a teoria da prática de insider trading quando da divulgação de novas informações ou da ocorrência de eventos relevantes. _________________________________________________________________________________ ABSTRACT / Insider trading is a historical and still current subject, which takes on economic and legal debates. On the stock market the access to diversified and private information is one of the manifestations of the inefficiency of the market, as well as informational asymmetry and conflict of agencies. The practice of insider trading begins when the insider has non-public information and negotiates it on the market before the outsiders. Under an aspect of cooperative ownership this information leads to debate about the unlawfulness or not of this practice. In Brazil, relevant facts must be immediately communicated to CVM and BOVESPA, so as to avoid the negotiation on the market, based on privileged information. Nevertheless, due to the characteristic of events being able to promote expectations of future cash flow, like the discovery of petroleum and gas, maintaining this information under secrecy is extremely difficult, as it is possible that it is already known to many people: employees, engineers, managers, company directors, etc. It is therefore probable that insider training will occur when petroleum and gas are discovered. For this reason, the work tries to answer to the possible evidence of insider trading in the events of petroleum and natural gas discovery between 2001 and 2008 by Petrobras. To reach this goal, a methodology in the study of events was used. Initially, was verified the absence of outliers in the regression model. In this work, even that the normality has assumed through adoption of market model the residue’s equations related to the period of the estimation window were submitted to assumption tests of the normality (Kolmogorov-Smirnov) which admitted normality, that supports the application of parametric tests. After this stage, parametric tests were performed (t-student) for the abnormal returns, whose results presented possible evidence of inside trading in the yearly tests from 2001 to 2003 and in some dates of events of discovery of petroleum, besides of period mentioned. The analysis and conclusion of the work confirm the theory of insider trading practice at the time of the publication of facts and events.
