LL.M. (Civil Procedural Law) / In this dissertation various topics regarding inchoate documents will be analysed and discussed. A brief historical background will set the scene, showing the development of bills of exchange in various countries around the world. Although the origins of the earliest bills of exchange can be traced back to Arabic traders in the eighth century, the development of the bill of exchange is generally traced back to the lex mercatoria, i~ the rules which were adopted by medieval traders, especially the Lombards in Italy, to conduct their business. As the lex mercatoria was absorbed into various countries, differences developed. It is clear that the English Bills of Exchange Act 1882 had a marked influence on the law relating to negotiable instruments in most Commonwealth countries and the United States of America. In the second chapter the distinction between the common law and statute law will be analysed. The recent Appellate Division judgment in the case of Thompson v Voges 1988 (I) SA 747 (A) will be discussed. In that case Acting Chief Justice Rabie held that an automatic estoppel could not operate against the signatory of an inchoate document who had signed a document and had handed it to another with the intention that it be issued and used as a negotiable instrument. A detailed analysis of Thompson's case, and the cases referred to by the learned Acting Chief Justice in the course of his judgment, will show that the conclusion reached by him can only be applied to holders who qualify as mere holders, and not to holders in due course. Magistro darbas nagrinėja vekselių civilinės apyvartos Lietuvoje teisinius aspektus. Darbe įvedama į problemos kontekstą pateikiant trumpą istorinę apžvalgą apie vekselius ir jų naudojimą Lietuvoje, užbaigiant prisijungimu prie 1930 m. Ženevos konvencijos dėl Vieningo įsakomųjų ir paprastųjų vekselių įstatymo ir atnaujinto Įsakomųjų ir paprastųjų vekselių įstatymo bei poįstatyminių aktų priėmimu. Toliau aprašoma vekselio, kaip abstraktaus vienašalio sandorio prigimtis, tipinė vekselių apyvarta, nagrinėjamas vekselių atskyrimas nuo kitų panašias savybes turinčių instrumentų. Probleminėje darbo dalyje nagrinėjamos teorinės ir praktinės vekselių apyvartoje kylančios problemos, atsižvelgiant į įstatyminį reguliavimą, teisės doktriną bei teismų praktiką. Pradedama nuo vekselio formos problemų, vekselį išrašiusio subjekto trūkumų, ydingai (su trūkumais) atliktais įrašais vekselyje, išnagrinėjama įsakomojo vekselio galia mokėtojui. This diploma thesis deals with the topic of the accounting solution on bills of exchange. It solves this topic both from the point of view of the Czech accounting and the International accounting represented in IFRS. The first part concentrates on the legal aspects of the bills of exchange, like sorts of the bills of exchange, their requirements, expression of the amount. The second part deals with the development of the Czech accounting rules related to bills of exchange from 1993 till the present time. The source for this are the Czech accounting manuals, which were valid between the years 1993-2003. The thesis documents the development of their comprehension and their accounting solution. The third part concentrates on the current accounting rules represented in Czech accounting standards (CAS) and International Financial Reporting Standards.

The topic of my diploma thesis is "The Concept and Types of Bills of Exchange and Promissory Notes". The reason, why I chose this theme, is my interest in business law and in particular in the securities law. However, the main motivation which led me to analyze this legal sphere, were anteriorly my previous work experiences. From the plenty of cases I have had the opportunity to see, emerged for me a surprising conclusion, namely that the participants of the bill relationships are often not in a significant amount familiar with the essential content requirements of a bill of exchange as a security, which in the case concerned led to serious and thoroughly negative consequences. It is obvious that a bill of exchange represents for a general public not easily understandable problematic which requires precision and excellent knowledge of law. For this reason I have paid attention to the issue of essential appurtenances of a bill of exchange whose presence is demanded by law and without their remark a bill of exchange is fundamentally not valid document. Although, with few exceptions represented apparently only by Slovak and Swiss legal order, there is no general definition of concept of security, it does not hinder to define its characteristics, which are the instrument, respectively any material substrate able to capture a written declaration of will and incorporated subjective property right originating in the private area. Of the above may be deduced the close connection between right and document, which is it's materialization. In connection with the development of social needs, especially in the area of trade, disadvantages of document that was originally considered as a necessary condition of the existence of a valid security, appeared. As a result, the process of dematerialisation of securities started and the document has been replaced by the entry in the register of securities. The aim of this text is to describe questions of securities in the Czech republic. Characteristics of individual kinds of the securities and their dividing are mentioned here. My attention is mainly addressed to stocks, obligations, bills of exchange and cheques. Farther I am engaged in accounting of the securities and their evaluation to balancing day. There are specific accounting examples of particular securities in the end. Also I talk about financial crisis and its impact on the securities.
