The effectiveness of traditional due diligence practices and whether they contribute to Merger and Acquisition (M&A) success or failure is an ongoing debate in finance research. This research report contributes to the debate by examining the effectiveness of traditional due diligence using a qualitative research approach. A dataset of traditional due diligence practices was compiled from the literature, which formed the basis for an interview which was conducted with corporate finance practices. The findings indicate that the traditional due diligence process is considered to be an evolving process, where due diligence practices of the last decade are considered to be significantly different from the due diligence required in acquisitions today. Due diligence is also considered to be indispensable, and its scope and importance underestimated. Furthermore, any perceived deficiency in a due diligence is not necessarily in concept, but rather in execution, with excessive focus on the accounting and legal aspects of a M&A, while neglecting the macro-environment, marketing, production, management and information systems. It is also concluded that most stakeholders have understood that failure to carry out proper due diligence could be financially damaging to the parties transacting. In an attempt to determine what due diligence means for the current as well as the future, this study uncovers a critical trend in the forms and manner of flawed due diligence practices and paves the way to a more strategic due diligence, which are useful for practitioners in the present and in the future for M&A success.

So-called 'honour killings' have become an issue of concern for the international community. In Turkey, in particular, the practice still exists despite the adoption of the relevant human rights instruments. This study evaluates how effective current international human rights law, and in particular the recent Istanbul Convention, have been in eradicating so called 'honour killings' on Turkey. The thesis argues that the improvement of the status of women in Turkey in accordance with gender equality as well as the application of the principle of state due diligence, both requirements of the Istanbul Convention and international human rights law, are fundamental means towards eradicating the killing women in the name of 'honour'. The study looks at the application of such standards as well as the current obstacles using the feminist approaches, in particular the intersectionality approach. Through such lens, the study discusses the strengths and weaknesses of the Turkish Constitution, Turkish Civil Code, Turkish Penal Code and Law to Protect Family and Prevent VAW and questions the judicial approach to the implementation of the women's right to life. It identifies the lacunae in the Turkish legislation that allow inadequate legal protection for women and the inconsistency of the judicial approach to the definition of the so-called honour killings in the judgements. The study then recommends some concrete amendments to the relevant legal provisions in order to better reflect the international framework and the feminist approaches.

Syftet med uppsatsen är att beskriva och analysera hur företagsbesiktning genomförs i praktiken av revisions- och advokatbyråer samt hur och varför företagsbesiktning används i beslutsprocessen hos fallföretagen när ett företagsförvärv är aktuellt. Vi har även som syfte att diskutera hur företagsbesiktningen kommer att utvecklas i framtiden. Studien var av kvalitativ karaktär där tonvikten låg på tolkning och beskrivning av data inom ämnet företagsekonomi. Som datainsamlingsmetod användes personliga intervjuer med sex olika företag för att få en beskrivning av hur den praktiska delen ser ut i verkligheten. Studien visar att en företagsbesiktning är i de flesta fall komplext, tids-och resurskrävande. Likheter i arbetsgången och prioriteringar har funnits hos samtliga konsulter. En företagsbesiktning är ett starkt stöd i slutförhandlingarna och olika förvärvsstrategier formar en företagsbesiktning men även faktorer som åt vem den genomförs för, förvärvets omfattning samt i vilken industri företaget verkar inom. Den rationella beslutsmodellen i kombination med soptunnemodellen är mest lämplig. Standardisering av företagsbesiktningen är lämplig i vissa fall.

Syfte: Under de senaste 20 åren har hyresbostäder visat stabilitet gällande hyror, fastighetspris och avkastning. För kontorsfastigheter har situationen varit annorlunda. Svängningar har skett i takt med rådande konjunkturläge. Trots detta väljer investerare att investera i kontorsfastigheter. Studiens syfte är att undersöka hur ett investeringsbeslut fattas vid förvärvav kontorsfastigheter. För att besvara syftet utgår vi från en huvudfråga som i sin tur delats in i underfrågor enligt nedanstående frågeställning: Hur ser beslutsprocessen ut?              - Vilka beslutskriterier förekommer?        - Vilken information beaktas?        - Vilka modeller används? Metod: Studien har genomförts med en kvalitativ metod och en abduktiv ansats där intervjuer har genomförts. Resultat & slutsats: Studien har visat att en beslutsprocess likt Henneberry och Roberts normativa beslutsmodell förekommer i olika typer av fastighetsbolag. Även ett mindre strukturerat tillvägagångssätt förekommer för att fatta beslut inför förvärv avkontorsfastigheter. Vi konstaterar att en stor del av informationen som beaktas insamlas genomen due diligence-liknande process, samt andra typer av analyser som makro-, orts- och fastighetsmarknadsanalys. Modeller förekommer för att beräkna avkastning, kassaflöden, risk och portföljval. Vi uppmärksammar att allmänna beslutskriterier kan vara svåra att uppge, men ofta går att härleda utifrån företagets strategi. Förslag till fortsatt forskning: Endast en person intervjuades i det största fastighetsbolaget, Vasakronan. I bolaget fanns specifika avdelningar för olika delar i beslutsprocessen. Att genomföra en fallstudie vore i sådant fall intressant för att få en klarare bild av hur ett stort fastighetsbolag med specialkompetens inom varje område genomför beslutsprocessen. Uppsatsens bidrag: Studien ger läsaren en överblick i hur hela beslutsprocessen inför förvärvav en kontorsfastighet kan se ut i fyra olika fastighetsbolag.
