El modelo de resolución de disputas FIDIC (libro rojo) como alternativa eficiente al actual diseño de solución de conflictos en los proyectos de infraestructura pública en el Perú

La tesis cuestiona la realidad partiendo de la observación de un problema recurrente en la solución de conflictos durante la ejecución de las obras públicas, que incide en la gestión eficiente de los proyectos de construcción en especial los destinados al desarrollo de infraestructura pública. Obras paralizadas mientras se solucionan los conflictos, mayores costos para el Estado y los contratistas para resolver conflictos sobre materias no arbitrables en el Poder Judicial, conciliaciones deslegitimadas o denunciadas por atisbo de corrupción, arbitrajes extensos más allá del plazo de ejecución de obra, y en suma la insatisfacción de la población por no acceder a servicios públicos comprometidos, son la muestra de un problema grave que en nada ayuda a dinamizar el sector y por ende la economía del país. Ante este problema, es necesario identificar alguna fórmula que ayude a gestionar de manera eficiente los conflictos en el desarrollo de proyectos de construcción y por ende sus contratos; y con ello, a su vez, contribuir a cerrar la brecha de infraestructura pública. La tesis focaliza su investigación en el sistema de resolución de disputas implementado en las cláusulas estándar de los formatos contractuales para el sector de la ingeniería y construcción publicados por la Federación Internacional de Ingenieros Consultores y su aporte de eficiencia en el manejo del conflicto en los proyectos de infraestructura y obra pública en el Perú. Este trabajo se centra en el actual tratamiento del sistema conflictual convencional de resolución de disputas de la última edición del Libro Rojo de la FIDIC de 1999, aplicado a los trabajos de ingeniería y construcción diseñados por el propietario de la obra. La tesis fijó como objetivo central confrontar un modelo de gestión de conflictos internacionalmente aceptado para el sector de la construcción con el modelo peruano, y conocer su grado de adaptabilidad en 4 regímenes jurídicos que regulan la ejecución de proyectos de infraestructura pública en el país, y con ello conocer si es posible su aplicación o no; y esto, con la finalidad de dar una solución práctica al problema observado. Las conclusiones de esta investigación arrojaron que este sistema internacionalmente estandarizado FIDIC para el sector de la construcción es una alternativa idónea y adaptable en 3 de los 4 regímenes jurídicos evaluados, no logrando superar su adaptabilidad en el régimen de contratación de obra pública bajo la Ley de Contrataciones del Estado, por aspectos competenciales de los árbitros. Sin embargo, se proponen algunos aportes que puedan ayudar a mejorar el modelo peruano, para contribuir a superar las ineficiencias y simplificar el sistema de solución de controversias aplicado actualmente a la ejecución de proyectos de construcción de interés público.

FIDIC Conditions of Contract and their Application in the Czech Republic Resume in English The goal of this thesis is, mainly by the mutual comparison, to describe the differences between each kinds of contractual forms of FIDIC and also to put the main forms into the context of their application in Czech Republic, especially by enumeration of examples of some modifications which are made through the Particular Conditions by various public employers, including the general assessment of such modifications. The basic structure of the thesis consists of two main sections, which are split into the four chapters. The content of the thesis goes from the general description of the contractual forms of FIDIC, including the brief description of organization's history, thru the international contextualization of its forms and general introduction to their application in Czech Republic, to the comparison and description of the application of each chapters of FIDIC forms in Czech and partially also in the Central Eastern European context. The main aim of this thesis is to analyze variations and adjustments under FIDIC contractual conditions, especially in relation to the private law limits of the Czech legal order. The goal of this analysis is to answer the question whether variations as a special contractual institute are permissible and validly applicable in the framework of construction projects realized in the Czech Republic. The thesis is clearly divided into five main chapters, which are systematically structured from the general introduction to basic issues through the main analysis of variations and adjustments to specific examples of their use in practice. The first and the second chapters briefly present the FIDIC organization and its issued sample contractual conditions, with a brief discussion of most of the sample books. The contractual conditions are also set in the context of Czech law, where emphasis is placed on distinguishing the business terms from FIDIC contractual conditions. Magistro darbe tema „Rangovo atsakomybė už darbų trūkumus pagal statybos rangos sutartį“ išsamiai ir visapusiškai išnagrinėtas rangovo sutartinės atsakomybės už atliktų statybos darbų pagal statybos rangos sutartį klausimas pagal Lietuvos nacionalinę teisę bei pagal Tarptautinės inžinierių konsultantų federacijos (FIDIC) standartinius statybos sutarčių modelius, taip pat pateiktas nacionalinės teisės aktų ir FIDIC leidinių lyginimas. Pirmojoje darbo dalyje nagrinėjami bendri klausimai, susiję su statybos rangos sutartimi kaip specifine sutarties rūšimi: dalykas, šalys bei statybos rangos sutarties kvalifikavimo problematika. Antrojoje darbo dalyje išanalizuota „darbų trūkumų“ sąvokos problematika. Be to, išnagrinėta rangovo atsakomybė už darbų trūkumus pagal FIDIC Raudonąją ir Geltonąją knygas. / Master's work on „The Constructor’s Liability for Work Defects under a Construction Contract” is thorough and full examination of the contractor's contractual liability to carry out construction work on construction works contract issue under Lithuanian national law and the International Federation of Consulting Engineers (FIDIC) standard contracts, as well as the national law and FIDIC publications ironing. The first part of the work deals with general issues relating to construction contract as a specific type of contract: the object, parts of the contract and the construction contract classification problems. In the second part there are analyzed problems of the concept of „defects“. Also investigated by the contractor to carry out construction deficiencies, and evidence of regulation on the basis of Lithuanian national legislation, judicial practice and doctrine, examined the contractor's liability for the dependence of the construction defects depending on identification of defects in time. The third part analyzes FIDIC standard building contracts and the emergence of patterns and genesis, the applicability of FIDIC publications in Lithuania and problems of it. In addition, examination of the contractor's liability for defects in accordance with FIDIC Red and Yellow Books.

1 Abstract The main aim of this thesis is to analyze available information on the claim management in the international capital construction. The thesis also describes how the claim management should work and makes a comparison and evaluation of the real situation in practice. This comparison and evaluation is based on FIDIC conditions of contract available to the experts in implementation of construction projects. The thesis is divided into five chapters. The chapters deals step by step with the basic terms, the FIDIC conditions of contract, the contract price, the time for completion, the claim and the claim management. Chapter One clarifies essential terms for understanding the solved theme, the project of construction, the unification of obligations, the foreign business and the construction project organization. Second chapter deals with the FIDIC conditions of contract, which can be classified as a part of lex mercatoria, factually lex constructionis. The FIDIC conditions of contract are used in the foreign construction, but also domestically. Participant d'un mouvement global d'élaboration du droit par des organismes privés, la Fédération Internationale des Ingénieurs Conseils (FIDIC) élabore et diffuse les contrats FIDIC. Il s'agit de contrats-types utilisés dans les grands projets de construction internationaux par les acteurs du secteur de la construction internationale. Les contrats FIDIC participent à la transnationalisation du droit applicable à ces projets. Cette transnationalisation pose la question de l'existence d'une lex constructionis, dérivée spécifique de la lex mercatoria.Pour répondre à la question de l'existence de la lex constructionis, l'auteur procède à l'étude de la formation et de l'application des contrats FIDIC. / The FIDIC ContractsThe International Federation of Consulting Engineers (FIDIC), participating in a global trend of creation of the rule of law by private organizations, elaborates and issues the FIDIC contracts. These contracts are standards widely used in major international constructionn projects by the main actors of international construction market. The FIDIC contracts participate to the transnationalization of the applicable law to such major projects. This transnationalization raises the question of the existence of a lex constructionis, a specific derivative of the lex mercatoria. Les modèles du contrat FIDIC sont parmi les conditions de référence les plus couramment utilisées dans les projets internationaux. Le contrat FIDIC est calqué sur des conceptions juridiques enracinées dans le système de Common Law. Cependant, il y a une augmentation dans l’utilisation des modèles FIDIC dans les systèmes du code civil. Ainsi, les employeurs, les entrepreneurs, les organismes de financement internationaux, les ingénieurs, les avocats et les parties prenantes des projets, utilisant les modèles FIDIC dans les systèmes du code civil, doivent comprendre l'interprétation des dispositions FIDIC dans le contexte du droit civil. Dans cette recherche, l’application des provisions concernant le temps et le paiement supplémentaires sous l’auspice d’un contrat FIDIC (CONS) sera étudiée dans le contexte du droit civil, avec une attention particulière pour l’application spéciale de telles provisions sur le droit civil Egyptien. Les ressemblances et différences entre les provisions concernant le temps et le paiement supplémentaire sous l’auspice d’un contrat FIDIC (CONS) et le droit civil Egyptien seront identifiées. Des recommandations concernant les provisions concernées seront faites quant aux modifications à apporter soit au Code civil Egyptien soit au modèle FIDIC (CONS), selon le cas. Cette recherche vise à illuminer les employeurs, les ingénieurs et les entrepreneurs concluant des projets fondés sur le modèle FIDIC (CONS) et ayant élu le droit Egyptien en tant que loi applicable; gérer correctement les délais, retards et risques entraînant des paiements supplémentaires dans les contrats de construction. Cela devrait permettre de minimiser, autant que possible, les litiges associés aux retards et aux demandes de prorogation de délai et/ou du paiement supplémentaire. Étant donné que la plupart des systèmes juridiques du Moyen-Orient sont fondés sur les principes du droit civil et sont fortement influencés par le droit civil Egyptien, il est envisagé que cette recherche soutienne l'administration effective et efficace des contrats de construction dans la région. / The FIDIC forms of contract are one of the most commonly used standard conditions of contract in international projects. The FIDIC is based on legal concepts rooted in the Common Law system. However, there is an increase use of the FIDIC in Civil Law jurisdictions. Thus, employers, contractors, international financing organizations, engineers, lawyers and stakeholders of projects, using FIDIC in Civil Law jurisdictions, need to understand the interpretation of the FIDIC provisions against a Civil Law background. In this research, the application of time and additional payment provisions of the FIDIC (CONS) will be studied in the context of the Civil Law, with special application on the Egyptian Civil Law. Similarities and differences between the relevant provisions of time and additional payment under the FIDIC (CONS) and the Egyptian Civil Law will be recognised. Recommendations will be yielded as to amendments to be made either to the Egyptian Civil Code or to the FIDIC (CONS), as the case may be, in relation to the provisions at issue. It is envisaged that this research would help employers, engineers and contractors, entering into projects based on the FIDIC (CONS) and with the Egyptian Civil Law as the applicable law, properly manage time provisions, delays and risks leading to additional payment in the construction contracts. This should help minimize, as much as possible, disputes associated with and/or resulting from the delays and claims for extension of time and/or additional payment. Since most of the legal systems of the Middle East are founded upon Civil Law principles, and are most heavily influenced by the Egyptian Civil Law, it is envisaged that this research would support effective and efficient contract administration of construction projects among the region.

Large industrial works represents an interesting subject of foreign trade in which countries may have competitive advantage. These industrial works also forms a large part of the state economy. Contracts that covers such transactions are very difficult, whether due to the volume and duration of supply, and because of possible problems with funding, with the political situation at the place of delivery, etc. Contracts covering such a transactions could be very tricky to draft because of either volume and duration of supply, funding issues or political instability in the region etc. The aim of this thesis is to introduce basic concept and principles that are linked to international trade with large industrial works.
