Šiame magistro darbe, pasitelkiant analizės, lyginamąjį, loginį, sisteminį ir ekonominį tyrimo metodus, išsamiai analizuojama nuostolių, kilusių dėl akcijų pirkimo–pardavimo sutartyse numatytų patvirtinimų ir garantijų pažeidimo, nustatymo ir išieškojimo problematika. Darbe tiek teoriniu, tiek praktiniu aspektu pateikiamos pagrindinės problemos ir siūlomi jų sprendimo variantai, kurie palengvintų nuostolių apskaičiavimą ir užtikrintų teisingą jų atlyginimą paaiškėjus, jog pardavėjo patvirtinimai ir garantijos, perleidžiant verslą akcijų pirkimo–pardavimo būdu, buvo klaidingi. Siekiant užsibrėžtų tikslų pirmoje darbo dalyje nagrinėjami verslo perleidimo akcijų pirkimo–pardavimo būdu ypatumai, aiškinamasi, kokį akcijų kiekį perleidus bus laikoma, kad įvyko viso verslo perleidimas, taip pat lyginamos sandorių rūšys verslą perleidžiant akcijų ir turto pardavimo būdais. Atsižvelgiant į tai, kad patvirtinimai ir garantijos jau tapo neatsiejama akcijų pirkimo–pardavimo sutarties nuostatų dalimi, o verslo įsigijimų praktikoje ginčai dažniausiai kyla dėl šių sutarties nuostatų pažeidimo, antroje darbo dalyje gilinamasi į jų teisinę prigimtį, esmę, tikslus bei vietą Lietuvos sutarčių teisės sistemoje. [toliau žr. visą tekstą] / This master thesis, through the use of analytical, comparative, logical, systemic and economic methods forms a thorough analysis of problems concerning estimation and recovery of losses caused by the breaches of representations and warranties provided for in share sale–purchase agreements. This paper in both – theoretical and practical standpoints presents the core of the pending problems while suggesting the eventual rules, which if addressed, could ease the estimation of losses and safeguard the fair-minded compensation in the situations when seller’s representations and warranties provided for in share sale–purchase agreements were false. In order to achieve the selected goals of this master thesis, the first part of the paper analyses peculiarities of business transfer through the purchase of shares. It also examines what amount of transferred shares can be considered as a transfer of full business as well as compares the nature of business transactions through the sale of shares and assets. Due to the fact that representations and warranties have become an integral part of share sale–purchase agreements and disputes in business acquisitions are most often caused by the breach of above clauses, the second part of the paper examines their legal nature, substance, goals and place in the Lithuanian law of contracts. Previous issue date: 2008-07-25 / Néctar; entomofauna; Merremia aegyptia / O objetivo deste trabalho foi o de investigar se os diferentes horários de coleta de néctar em áreas apícolas influenciam no volume, concentração de açúcar e açúcar total produzido por suas flores, no momento da antese, bem como verificar possíveis alterações nas características do néctar ao longo do tempo e discutir as conseqüências no potencial apícola das áreas de jitirana-branca (Merremia aegyptia). E ainda, a relação entre esta produção de atrativos florais e o comportamento dos polinizadores potenciais, dentre estes a Apis mellifera L. (abelha africanizada), e os requerimentos de polinização da jitirana branca. A pesquisa foi realizada em uma área de preservação de Caatinga, no Campus da FATEC Sertão Central, Quixeramobim-Ceará. Foi constatado que: A jitirana branca é uma cornucópia; sua densidade floral por m² foi em média 33,7 flores; apresentou ampla gama de visitantes florais (hymenopteros, coleópteros, hemípteros, dípteros, e pássaros); seu volume de néctar variou de acordo com o horário de coleta e não há reposição de néctar na flor após as 11:00 horas (A.M.); e a polinização mais eficiente corresponde a autopolinização.

Occupational Health and Safety focuses on the well-being of individuals or groups of people in the workplace. Barnett-Schuster (2008:1) states that Occupational Health and Safety is a concept compiled from many different disciplines. Among others, it includes: biological hazards, physical hazards, chemical hazards, mechanical/electrical hazards and psycho-social hazards. The employer has to understand that Occupational Health and Safety should follow a holistic approach.
Occupational Health and Safety is a Constitutional imperative – a command, - not a request. Chapter 2 of the Constitution of South Africa no. 108 of 1996, The Bill of Rights provides protection to such an extent that human dignity may remain intact. Therefore, compliance with Occupational Health and Safety legislation is of cardinal value to any organization or business. An organization or business can also improve their financial standing and public image by complying with Occupational Health and Safety legislation. Occupational Health and Safety in the workplace is guided by the Occupational Health and Safety Act of South Africa no. 85 of 1993, which was implemented in 1994.
The Occupational Health and Safety Act further aims to present clear explanations on concepts related to Health and Safety and enables both employers and employees to gain an understanding of their distinct responsibilities. Occupational Health and Safety is a concept that has been around for decades – especially focusing on the mining sector of South Africa. Occupational Health and Safety is observed in the South African technical schools. Statistics from the Children’s Institute show that 350 000 of these children are currently not attending school. In most cases, many parents/guardians do not take the time to assess the safety of their children at school before enrolling their child. This assessment should not only be looking at security measures applied in the school, but if and how true Occupational Health and Safety measures are in place. Occupational Health and Safety (OHS) is measures put in place so that learners/children are free from risk, injury, disease or harm. The lack of Occupational Health and Safety in South African schools is in direct conflict with the Constitution of South Africa. As stated earlier, Occupational Health and Safety is a Constitutional imperative which is the responsibility and the right of each individual in South Africa. The lack of Occupational Health and Safety in South African schools is a human rights issue based on the dignity of children.

Esta tese tem como objetivo investigar os limites constitucionais ao emprego de normas tributárias extrafiscais, contribuindo, de maneira original, com o desenvolvimento de métodos que possibilitem que estes instrumentos sejam controlados de modo mais preciso pelo Poder Judiciário. Para a consecução deste objetivo central, trabalhou-se a partir de quatro blocos de investigação. Primeiro, a pesquisa centrou-se em discutir a importância de segregação das normas tributárias entre fiscais e extrafiscais, analisando as diversas propostas de métodos para a separação entre estas. Ao final, a tese sugere que as normas tributárias extrafiscais devem ser identificadas a partir das suas finalidades, conforme venha a ser interpretado pelo aplicador da norma. Superada a questão, passa-se à investigação dos fundamentos constitucionais que legitimam o emprego das normas tributárias extrafiscais, quando se debate em que sentido normativo se pode falar em neutralidade tributária. Em um terceiro módulo de investigação, as normas tributárias extrafiscais são contrapostas às limitações constitucionais ao poder de tributar, ao conflito entre competência regulatória e competência tributária, ao conceito constitucional de tributo, bem como aos limites ínsitos às espécies tributárias previstas pela Constituição Federal. Por fim, apresenta-se um modelo de protocolo decisório que pode ser utilizado para fins de controlabilidade das normas tributárias extrafiscais pelo Poder Judiciário, colocando-se em destaque os princípios da igualdade e da proporcionalidade. / The main goal of this thesis is to investigate the constitutional limits on the use of non-fiscal purpose tax laws, contributing, with originality, to the development of methods that allow a more precise control of these instruments by the Judiciary Branch. To achieve such goal, the thesis was divided into four parts. The first part focuses in discussing the importance of segregation of tax laws in two groups: fiscal and non-fiscal, and analyzes the numerous methods proposed for such classification. The thesis suggests that non-fiscal purpose tax laws must be identified by their purpose, as interpreted by those responsible for applying the law. The second part investigates the constitutional basis that legitimates the use of non-fiscal purpose tax laws and discusses to what normative extent one can speak of tax neutrality. In the third part, the non-fiscal purpose tax laws are compared to the constitutional limits on taxation, to the conflict between regulatory competence and fiscal competence, to the constitutional concept of tax, as well as to the limits involving the tax species provided by the Federal Constitution. Finally, a model of decision making protocol is presented for use a mean of control by the Judiciary Branch of the non-fiscal purpose tax, highlighting the principles of equality and proportionality.

Hypertension is a global disease that many effected people in developing countries is not aware of. Hypertension is linked with cardiovascular disease. Prehypertension is not a disease but if not correctly treated, it could develop into hypertension. The aim of the study was to investigate if there are any differences in circadian blood pressure between two study groups, one group with normal blood pressure and one group with prehypertension. This study was a explorative study and its design is based on measurements of blood pressure values and a questionnaire was used to help get the data collection. 51 students volunteered to have their blood pressure taken from them and out of these 51, 24 where selected into two groups of 12 each for the Ambulatory blood pressure monitoring. hese 24 students would be a part of our study and an ambulatory (Schiller-102 plus) blood pressure monitor was used to collect the data. The prevalence of prehypertension findings in the clinical testing phase was 37% of the population. There was a variation between the groups during the day (systolic) but there was not a significant difference during the night.

Dans ce travail de thèse, on s'intéresse é l'emploi de techniques de traitement de signal de systèmes de communication MIMO (Multiple Input Multiple Output) pour des applications aux réseaux de capteurs sans fil. Les contraintes énergétiques de cette classe de réseau font appel à des topologies particulières et le réseau peut être perçu comme étant un ensemble de grappes de nœuds capteurs. Ceci ouvre la porte à des techniques avancées de communication de type MIMO. Dans un premier temps, les différents aspects caractérisant les réseaux de capteurs sans fil sont introduits. Puis, les efforts engagés pour optimiser la conservation de l'énergie dans ces réseaux sont résumés. Les concepts de base de systèmes MIMOs sont abordés dans le deuxième chapitre et l'exploration par voie numérique de différentes pistes de la technologie MIMO sont exposées. Nous nous intéressons à des techniques de diversité de polarisation dans le cadre de milieux de communication riches en diffuseurs. Par la suite, des méthodes de type beamforming sont proposées pour la localisation dans les réseaux de capteurs sans fil. Le nouvel algorithme de localisation est présenté et les performances sont évaluées. Nous identifions la configuration pour la communication inter-grappes qui permet pour les meilleurs compromis entre énergie et efficacité spectrale dans les réseaux de capteurs sans fil. Finalement, nous envisageons la technique de sélection de nœuds capteurs afin de réduire la consommation de l'énergie dans le réseau de capteur sans fil. / The aim of this work is to study from a signal processing point of view the use of MIMO (Multiple Input Multiple Output) communication systems for algorithms dedicated to wireless sensor networks. We investigate energy-constrained wireless sensor networks and we focus on cluster topology of the network. This topology permits for the use of MIMO communication system model. First, we review different aspects that characterize the wireless sensor network. Then, we introduce the existing strategies for energy conservation in the network. The basic concepts of MIMO systems are presented in the second chapter and numerical results are provided for evaluating the performances of MIMO techniques. Of particular interest, polarization diversity over rich scattering environment is studied. Thereafter, beamforming approach is proposed for the development of an original localization algorithm in wireless sensor network. The novel algorithm is described and performances are evaluated by simulation. We determine the optimal system configuration between a pair of clusters that permits for the highest capacity to energy ratio in the fourth chapter. The final chapter is devoted to sensor nodes selection in wireless sensor network. The aim of using such technique is to make energy conservation in the network.

To (1) investigate the organisation, provision and practice of oral care in typical UK stroke units; (2) explore stroke survivors', carers' and healthcare professionals' experiences and perceptions about the barriers and facilitators to receiving and undertaking oral care in stroke units.
Cerebrovascular disease and oral health are major global health concerns. Little is known about the provision, challenges and practice of oral care in the stroke unit setting, and there are currently no evidence-based practice guidelines.
Design
Cross-sectional survey of 11 stroke units across Greater Manchester and descriptive qualitative study using focus groups and semi-structured interviews.
Methods
A self-report questionnaire was used to survey 11 stroke units in Greater Manchester. Data were then collected through two focus groups (n = 10) with healthcare professionals and five semi-structured interviews with stroke survivors and carers. Focus group and interview data were recorded, transcribed verbatim and analysed using framework approach.
Results
Eleven stroke units in Greater Manchester responded to the survey. Stroke survivors and carers identified a lack of oral care practice and enablement by healthcare professionals. Healthcare professionals identified a lack of formal training to conduct oral care for stroke patients, inconsistency in the delivery of oral care and no set protocols or use of formal oral assessment tools.
Conclusion
Oral care post-stroke could be improved by increasing healthcare professionals' awareness, understanding and knowledge of the potential health benefits of oral care post-stroke. Further research is required to develop and evaluate the provision of oral care in stroke care to inform evidence-based education and practice.
