This master thesis deals with possibilities and conditions of entry on challenging market in Russian Federation from the point of view of setting up of company or purchasing of a existing one and also from the point of view of specifications, which are existing only just in Russia. The assignment is geographically defined on Leningrad region with focus on the urban center St. Petersburg and with branch specified on construction industry. On basis of analyzed facts in the field of accounting standards, taxation and law environment this assignment contains the recommendations in which way and with help of which procedures enter the market.

The subject of this dissertation is to do a fundamental analysis based on chosen shares on the czech capital market. The chosen corporations are Telefonica O2 Czech Republic, a.s. and ČEZ, a.s. In this dissertation I have set the share value, the prediction of the progression of dividends and the amount of ratio index. Further I have made a recommendation for future investors and the timing of their commerce.

This Master‘s Thesis is focused on the analysis of the company Kovolit. It is a joint-stock company, which is engaged in industrial production - smithery, foundry. The aim of my thesis is to analyze a company and propose appropriate solutions to improve the situation. Among the analysis include: internal and external environment, Porter's model, fundamental and financial analysis. Lastly, the SWOT analysis. Before practical part is the theoretical section, witch includes the characteristics of these analysis. The outcomes are proposals to improve the efficiency, effectiveness and financial situation.

This thesis deals with the determination of the value of the joint-stock company ŽĎAS using the income approach. To determine the value of the yield method was used the DCF method in variant entity and EVA also in variant entity. The theoretical part is mainly focused on describing the procedure of determining the value of the company from the definition of the enterprise, the categories of value and purposes awards to description of methods and their specific process. The practical part is attended of determining the value of the company ŽĎAS at the level of an objective value that can be considered generally acceptable. Determining of the value is preceded by processing of strategic and financial analysis and compilation of value drivers and financial plan. Determination of value is made at the date of the first 1st 2014, and should be only used for internal needs of the stock company ŽĎAS.

This thesis is focused on the transformation of hospitals into joint stock companies from 2010 to the end of 2011. It is primarily aimed at actors, their actions, positions, attitudes and interests in this process. Furthermore, it is concerned with the question of the public vs. private interests in terms of health protection, ensuring the availability and quality of healthcare. The transformation process of hospitals and the position of actors is explained by the combination of economic and public policy theory - neoliberalism, economic globalization, New Public Management and Advocacy Coalition Framework. We explain actions, attitudes and interests of actors in the transformation process of hospitals by using research methods such as an analysis of selected events in health care and research of actors' actions. These research methods are based on different methods of data collecting such as semi-structured and informal interviews, a questionnaire survey and the study of secondary sources. The main aim of this thesis is an analysis of the transformation process of hospitals into joint stock companies in context of selected events in health policy, with a focus on research of actors' actions, attitudes and interests in this process. The purpose of this dissertation is to provide its readers with a detailed and comprehensive look at the institute of duty of care, business judgment rule and related civil and partly also criminal liability of members of (not only) statutory bodies of capital business companies, and in this respect also to introduce an internal compliance program as one of the main instruments of good and effective corporate governance. The main objective of this dissertation is therefore to verify or refute the hypothesis whether, and if so in what particular form, can an internal compliance program be seen as an institute helping members of statutory bodies of capital business companies in fulfilling specific requirements and obligations of their duty to carry out the statutory function with due (managerial) care. The existence (implementation) of an internal compliance program is quite commonly connected with so called regulated markets and also with individual business corporations whose ownership structure extends the boundaries of the Czech Republic (typically British or American business corporations seated in the Czech Republic). But what about a wide neutral zone of Czech business corporations, i.e. especially small and medium-sized capital business companies? Shall these implement an internal compliance program as well? And, if so, on what grounds and with what benefits?

New legal regulation of the private law contained in the New Civil Code and the Business Corporations Act has brought plenty of changes also in the status of a board of directors' member in a joint stock company. Both codes have brought new terminology, new institutes and clarification of the rules known from the legal regulation before the recodification. On one hand there is certain loosening in the decision making of statutory bodies of business corporations, on the other hand there is tightening of sanctions for cases of failure. This diploma thesis introduces major institutes of legal regulation related to the status of a board of directors' member and provides a basic comparison with the legal regulation before the recodification.

Master´s thesis deals with possibility of choice different legal forms of business in the economic environment of Czech republic and choice of the enterprise which is the most suitable from the sight of income tax. I deal with choice of an appropriate type of partnership and comparison of different legal forms, which are based on the analysis of individual types of partnership by important criteria. Especially I focused on the criterion of the tax burden. Besides of the criterion of the tax burden it´s necessary also mention and judge the proper place - seat of an individual/a legal entity which is connected with taxation to the individual country. And take possibility of international tax planning into consideration. The aim of the thesis is to find and choose the most appropriate legal form of the enterprise to the potential entrepreneur.
