Právní postavení akcionáře dle zákona o obchodních korporacích / Legal status of shareholder pursuant to the Business Corporations Act

Shareholder is an essential part of a joint stock company. No joint stock company can exist without its shareholders. Although, due to the nature of a joint stock company shareholders are not entitled to direct exercise of executive functions in the company, they may influence the operation of the join-stock company using their shareholder's rights. In connection with participation in the company, shareholders have also other rights, in particular right to a profit share or to a liquidation share. Special rights are granted to a minority shareholders (or qualified shareholders), due to their weaker position in the company. In addition, shareholders must fulfill certain obligations towards the company, in particular to fulfill a contribution obligation and to behave loyally towards the company. The aim of this thesis is to describe in general all the rights and obligations of shareholders, i.e. to describe its legal status in the company pursuant to the Business Corporations Act. The Business Corporations Act is effective for a relatively short time (as of 1 January 2014) and though it is largely based on the repealed Commercial Code, the interpretation of certain provisions may raise more questions than answers. Therefore, this thesis also seeks to point out possible ambiguities of this new legislation and to offer a solution to them.

The purpose of my thesis is to analyse new legal regulation of squeeze-out in the Business Corporations Act, the act that replaces former legal regulation of corporations contained in the repealed Commercial Code. The reason for my research is, apart from introducing the new legal concept of squeeze-out, to focus on new features of particular aspects of the squeeze-out process, explain reasons for their implementation into the Czech legislation and interpret problematic provisions of the new legal squeeze-out regulation in the light of existing Czech case-law and interpretations of Czech legal theorists. The thesis is composed of introduction, four chapters, each of them dealing with different aspects of the squeeze-out process and conclusion. Chapter One is introductory and deals with constitutional establishment of squeeze-out in the Czech legislation. Chapter Two examines legal premises for realization of squeeze-out. The chapter consists of two parts. Part One focuses on the person entitled to initiate squeeze-out and on legal conditions that the person must match. Merger of a parent company and its subsidiary and its specificity compared to the general regulation of mergers The topic of this diploma thesis are the mergers between parent companies and subsidiaries. In my view, this is a very relevant topic nowadays which can be often faced in practice. The aim of this thesis is above all to describe the differences between this type of mergers and the other types (it is not my aim to describe the whole process of mergers between parent companies and subisdiaries step by step as a large part of regulation of this process is similar to the general merger process regulation). This thesis is divided into eight main chapters. In the first chapter current regulation and its historical development are outlined. The aim of the second chapter is to compare the incentives which lead to mergers between parent companies and subsidiaries and the incentives which lead to the other mergers. Of course, both partly overlap. However, there exist some differences, which are described in this chapter. Chapter three deals with the mergers between parent and subsidiary joint stock companies. This interpretation is based on extensive research of original sources and other secondary literature. The work includes not only analysis of Shibusawa's management style, but also puts Shibusawa's thoughts into a broader historical context. The work also includes a comparison of Shibusawa's thoughts, influenced by Confucian ethics, with modern Western management theories. A Lei nº 6.404, de 15 de dezembro de 1976, foi concebida tendo como um de seus objetivos o estímulo à formação da grande empresa nacional. Para tanto, o legislador utilizou duas premissas: o estímulo à concentração empresarial e o fomento do mercado de capitais (tanto o mercado acionário, quanto o de títulos de dívida). Isto resultou em um modelo legal, calcado na figura do acionista controlador, de quem a lei reconhece poderes e, em contrapartida, institucionaliza deveres e atribui responsabilidades. Ainda, face à extremação dos poderes do acionista controlador, visando ao fomento do mercado de capitais, a lei atribui aos acionistas minoritários verdadeiros direitos compensatórios, sintetizados em direitos de saída da companhia e direitos de informação. Com a dispersão acionária e o consequente enfraquecimento, ou até desaparecimento, do acionista controlador, o poder desloca-se para os administradores, resultando em modelo essencialmente diverso daquele originalmente concebido pela Lei das Sociedades Anônimas. Relativizam-se, assim, os direitos compensatórios face ao controle acionário, ganhando força os mecanismos de monitoramento adequado dos administradores para assegurar a realização do interesse social. Isto implica modificações não apenas na esfera de direitos individuais e coletivos dos acionistas como principalmente mudanças na própria estrutura orgânica da sociedade anônima e nos negócios jurídicos envolvendo a disputa pelo controle societário. O presente trabalho, portanto, irá discutir até que ponto a Lei nº 6.404/76 está apta a lidar com este fenômeno recente em território brasileiro. Palavras chave: Lei nº 6.404/76, sociedade anônima, poder de controle, dispersão acionária, OPA. / One of the objectives guiding the development of Law 6,404, of 15 December 1976, was that of stimulating the formation of large-size Brazilian companies. The legislator set about this task using two premises: stimulating corporate concentration and boosting the bond markets (both the stock market and the government bond market). This resulted in a legal model, based on the figure of the controlling shareholder, to whom the law grants authority and, in return, imposes obligations and allocates responsibilities. Moreover, in view of the extreme nature of the controlling shareholders authority, and in order to boost the bond markets, the law grants genuine compensatory rights to the minority shareholders, which can be summarized as rights to leave the company and rights to information. Stock dispersion and the consequent weakening, or even disappearance, of the controlling shareholder, has led to authority shifting to the management, leading to a model that is, in essence, very different from the one originally conceived in the Brazilian Companies Law. Hence, compensatory rights have become relative to shareholder control, with the managers monitoring mechanisms gaining force in ensuring compliance with the corporate interest. This implies modifications not only in the sphere of shareholders individual and collective rights, but also changes to the very structure of the joint stock company and to legal business dealings concerning disputes for corporate control. This study will, therefore, debate just how well Law 6,404/76 is able to deal with this recent phenomenon in Brazil.

O tema desenvolvido na tese diz respeito à suspensão do exercício de direitos do acionista, por deliberação da assembleia geral, na hipótese de descumprimento de determinados deveres societários pelo sócio. A suspensão de direitos tem como fundamento legal os artigos 120 e 122, V, da Lei n. 6.404, de 15 de dezembro de 1976 (Lei de Sociedades Anônimas). Não há previsão legal homóloga em direito comparado. No Brasil, a temática não foi objeto de estudo monográfico específico e detalhado. A tese procura, assim, sistematizar a matéria e oferecer contribuição original para o desenvolvimento do tema investigado. Na primeira parte, apresenta-se o tratamento normativo em matéria de suspensão de direitos do acionista a partir de escorço histórico da legislação brasileira e analisam-se os fundamentos teleológico e dogmático do instituto. A segunda parte estrutura-se em torno das posições jurídicas subjetivas passivas e ativas do acionista. Identificam-se, nesse contexto, quais são os deveres do acionista que, uma vez violados, constituem-se como hipótese de aplicação do art. 120 da Lei de Sociedades Anônimas e quais direitos, poderes e faculdades podem ter o seu exercício suspenso pela assembleia. Na terceira e última parte são destacados os aspectos controvertidos em torno da assembleia geral na qual se pretende deliberar sobre a suspensão dos direitos do acionista. Em especial, os problemas vinculados à competência privativa da assembleia, ao método assemblear e aos efeitos da deliberação e o controle desta. / The subject developed in this thesis regards the suspension of shareholders rights, through deliberation in shareholders meetings, in the event of failure to comply with corporate duties by the partner. The suspension of rights has as a legal basis the articles 120 and 122, V, of Law 6,404, of December 15, 1976 (Brazilian Companies Law.). There is no analogous legal provision in comparative law. In Brazil, the subject has not been the object of specific and detailed monographic study. The thesis therefore aims at systematizing the subject and offering an original contribution to the development of the subject investigated. In the first part, the regulatory treatment of the suspension of shareholders rights is presented by means of a historic foreshortening of Brazilian legislation and the teleological and dogmatic foundations of the institution are analyzed. The second part is structured around shareholders subjective legal positions, active and passive. In this context, we identify the shareholders duties that, once violated, provide grounds to the application of Article 120 of the Brazilian Companies Law and which rights, powers and faculties might have their exercise suspended by the shareholders meeting. The third and last part highlights the controversial aspects around shareholders meetings which deliberate upon the suspension of shareholders rights. In particular, the problems related to the assembly jurisdiction, the assembly method and the effects of its deliberation and control.

Bodies of limited companies in liquidation Abstract This diploma thesis shows the position of the liquidator and the relation with other bodies of the stock corporation in process of liquidation of the stock corporation (further referred as "company"). There is an ambiguous interpretation of current legal regulations about the liquidation of legal entities, liquidator itself and particularly terms of reference of company authorities in liquidation. There are also a lot of arguably legal question about this relation that is answered in this thesis. The purpose of this thesis is not a just definition of liquidator or valuation of problematic areas according to liquidator's position. The thesis is also targeted on the activity of liquidator inside and outside the company related to solving reciprocal relation between liquidator and authorities of the company. The thesis is using critical analysis method of existing law regulations and contemporary legislation, judgments, articles to solve controversial questions which have not been removed during recodification of civil law which united civil and commercial adaptation of liquidation of the company.
