Notre sujet de thèse procède d'une observation, sur le terrain, des postulats et des conséquences auxquelles prétend parvenir la "rationalisation" des modes d'organisation et de gestion, après le passage à la privatisation de CAMRAIL et AES-SONEL, deux des entreprises les plus importantes du tissu productif camerounais. De par les structures nouvelles, les dispositifs inédits et les mutations organisationnelles, techniques et disciplinaires qui en découlent, se configure un imaginaire spécifique qui oblige les managers venus d'Occident à adapter leurs méthodes aux réalités locales, afin de mieux gérer les incertitudes, les enthousiasmes et surtout, les résistances qui mobilisent, auprès des salariés, les "réformes" promues. Le discours sur la "gouvernance" est ainsi, à la fois, un point de rupture et une recherche d'équilibre qui, de bout en bout, tente de redéfinir l'identité globale de l'entreprise, en modelant autrement les formes de coordination, de coopération et les modalités de production de la confiance collective. Cela, parce que la combinaison des facteurs de production ne tient pas seulement de l'application de quelques recettes de "bonne gestion" occidentale, mais aussi, de leur ajustement avec les "cultures" locales, du moment où les individus et groupes qui y vivent lisent les situations de bien et de mal, régulent les conflits de pouvoir et de répartition, conçoivent les notions de liberté, d'équité et de justice de façon très particulière. Toute une façon d'analyser les enjeux de la mondialisation qui travers depuis toujours les pratiques de gestion et qui contraint les entreprises africaines à une "modernisation" aujourd'hui dessinée sous l'angle de la "bonne gouvernance". / Our thesis is fully based on a deep observation of the hypothesis and consequences derived from the implementation of an "external" corporate governance ideology in a company rooted in a continent and culture that have always been described as different, if not, opposite to the capitalistic production behaviour. We're therefore investigated to find out how well the "occidental" and the "Cameroonian" cultures are being combined and organised in a sense that keeps satisfied the main objective oh the company, that is to foster the global productivity of factors and, of course, the weelth of the company, of the workers and of the nation.That was the very panoramical goal, highlighted by the privatization and drawn her by the Wordld Bank, the IMF and other major international economic institutions during the 90s. The operation was seen as an attempt to overcome most of the African economic illnesses. That's why it now appears good see, analyse and understand if this operation has finally been a success, not necessarily in terms of economic output, but in the new cultural and ethical roadmap which has been concretly redesigned by those who are, for the most, in charge of the daily production in the company. That's the reason why we went to investigate on the terrain: we carried up a huge oraland writter documentation. We could thus capture the main vision that's shapes the representation of their own interests of the company, and all associated notions of legitimacy,authority, equality, profit, solidarity and, even, punishment. For African cultures, sometimes seen as reluctant to change, these questions seemed to be, for us, the real source where it is much more fruitful to understand the succes or weakness African "medernization".
