Previous issue date: 2009-05-15 / Among many forms of devolving public services to the private business, franchising is
the most common tool deployed by the government in order to enhance public
utilities financing, which is essential to the country´s development. Such public
contracting is more complex than other forms of public contracting, due to its usually
longer term, to its financial arrangement, and to its necessity to adapt to the ongoing
technological development, among other idiosyncrasies. Therefore, franchising is
subject to a multiple array of elements that can entail economical problems. Hence,
questions like the maintenance of the economical balance between the parties of the
contract and the assurance of amortization of the investments that are made at the
end of the franchising contract, which are part of a higher theme, such as the rule of
protection of the investments made by the private party, are a matter of conflict
between the franchisor and the franchisee or between the latter and the Parquet. On
the whole, such conflicts are dealt with by the judicial branch. The essay at hand
purports to understand the conflicts that are dealt by the judicial branch and which
entangle matters about the protection of the investments made by the franchisee.
From that perspective, we conclude presenting how and in which terms those
investments are actually secured. Moreover, we attempt to verify whether the courts
are deploying a progressive conception in its legal reasoning / Dentre as modalidades de delegação da prestação de serviços públicos à iniciativa
privada, a concessão é a forma tradicionalmente mais utilizada pelo Poder Público
como instrumento para viabilizar a realização de investimentos em setores
essenciais para o desenvolvimento do país. Este tipo de contrato, em razão do longo
prazo de sua duração, da modelagem financeira que o acompanha, da evolução
tecnológica a que precisa se adequar, dentre outras características, apresenta uma
complexidade muito maior que os demais contratos administrativos, estando sujeito
a uma multiplicidade de fatores que podem provocar problemas econômicofinanceiros.
Assim é que temas envolvendo a manutenção do equilíbrio-econômico
financeiro dos contratos celebrados, bem como a garantia da amortização dos
investimentos realizados ao final da concessão, os quais se inserem num contexto
maior, referente à proteção dos investimentos das concessionárias, são objetos de
conflitos entre poder concedente e concessionária ou entre esta e o Ministério
Público, sendo frequentemente levados ao Judiciário. O presente trabalho objetiva,
justamente, compreender os conflitos que chegam ao Poder Judiciário envolvendo
questões relativas à proteção dos investimentos das concessionárias e, mais
especificamente, como os tribunais superiores têm decidido os conflitos versando
sobre este tema. A partir desta análise, concluimos como e em que termos tais
investimentos são efetivamente garantidos e se a argumentação dos tribunais está
imbuída de alguma concepção desenvolvimentista

Previous issue date: 2009-10-16 / The port sector, as well as other sectors of infrastructure, has suffered significant
alterations in its regulation in recent years. Since 1993, with the edition of the Law nº
8.630, known as the Law of Modernization of the Ports, which profoundly modified
the legal regime of installment of the services, several government measures has
been edited bringing modifications to the norms of regency of the activity. So it was
with edition of the Law nº 10.233/2001, that it established principles and general lines
of direction for management and operation of the infrastructure of transports, created
the National Agency of Waterway Transports (ANTAQ) and tacitly revoked some
provisions of the Law nº 8.630/1993; and, later, with the Law nº 11.518/2007, that
created the Special Secretariat of Ports (SEP), instituted as plus an instance of
regulation of the sector. Recently, the Decree nº 6.620/2008 traced the politics and
lines of direction for the development and the promotion of the sector, rising again
new debates of the legal regime of the public ports and privative terminals of mixing
use, and, in consequence, causing the emergence of new proposals, by the ANTAQ,
which now are in phase of public consultation / O setor portuário, assim como os demais setores de infraestrutura, tem sofrido
significativas alterações em sua regulação nos últimos anos. Desde 1993, com a
edição da Lei nº 8.630, denominada Lei de Modernização dos Portos, que alterou
profundamente o regime jurídico de prestação dos serviços, têm sido editadas várias
medidas governamentais trazendo modificações à normatização de regência da
atividade. Assim foi com edição da Lei nº 10.233/2001, que estabeleceu princípios e
diretrizes gerais para gerenciamento e operação da infraestrutura de transportes,
criou a Agência Nacional de Transportes Aquaviários (ANTAQ) e revogou
tacitamente algumas disposições da Lei nº 8.630/1993; e, posteriormente, com a Lei
nº 11.518/2007, que criou a Secretaria Especial dos Portos (SEP), instituída como
mais uma instância de regulação do setor. Recentemente, o Decreto nº 6.620/2008
traçou as políticas e diretrizes para o desenvolvimento e o fomento do setor,
reascendendo novos debates a propósito do regime jurídico dos portos públicos e
terminais privativos de uso misto, e, via de consequência, acarretando o surgimento
de novas propostas, pela ANTAQ, que ora se encontram em fase de consulta
pública
