L’expression de la « bilatéralisation du cautionnement » suggère que ce dernier ne serait plus un contrat unilatéral par lequel seule la caution s’oblige. Dans un premier temps, l’étude de cette hypothèse permet de revenir sur le critère de l’unilatéralité du cautionnement, afin d’en proposer une définition et d’examiner dans quelles conditions ce caractère unilatéral peut varier. La démarche entreprise à l’endroit de la qualification du cautionnement se prolonge ensuite dans le but de vérifier ce qu’il reste du régime du contrat unilatéral en la matière. Il apparaît ainsi que le cautionnement est toujours un contrat unilatéral, et que le droit continue de le traiter comme tel. Dans un second temps, l’étude propose d’analyser la qualification et le régime des sujétions légales et prétoriennes qui sont à la charge de la plupart des créanciers cautionnés depuis une trentaine d’années. En droit du cautionnement, les sujétions légales sont des incombances, une qualification puisée dans les droits suisse, allemand, et belge. En droit commun, le créancier est assujetti par le devoir de bonne foi, de loyauté ou encore de cohérence comportementale, qui exprime la force obligatoire du cautionnement mais ne révèle aucune obligation contractuelle à proprement parler. Quant au régime de l’assujettissement du créancier, il est guidé par la déchéance en droit du cautionnement, et par la responsabilité civile en droit commun. En somme, ce n’est pas le caractère unilatéral du cautionnement qui change, mais les éléments qui en font douter qui doivent être appréhendés autrement, dans la théorie du droit des obligations comme dans la pratique du procès. / The expression « bilatéralisation du cautionnement » (« Bilateralisation of Suretyship ») implies that the contract of Suretyship is no longer a unilateral contract whereby the Surety is the only obliged party.. First, the study of this hypothesis enables to reexamine the criterion of the unilateral feature of the suretyship contract, in order to propose a definition and to examine in what conditions this unilateral feature may vary. The approach chosen for the characterization of the suretyship is then carried on, in order to verify what is left from the regime of unilateral contracts in the domain of suretyships. It appears that suretyship is always a unilateral contract, and that French law continues to treat it that way.. Second, the study is carried on by the analysis of the characterisation and the regime of the legally- and judicially-imposed duties on the beneficiaries of a suretyship for thirty years. In suretyship law, the legal duties are « incombances », a norm inspired from the laws of Switzerland, Germany and Belgium. In civil law, the creditor is bound by the duty of good faith, loyalty or even behavioral consistency, which all exprès the binding power of the contract of suretyship but hide no contractual obligation per se, strictly speaking. As for the régime of duties imposed upon the creditor, it is dominated by the sanction of forfeiture in suretyship law, and by civil liability in civil law. In the end, changes do not affect the unilateral aspect of the suretyship contract ; they should alter the way we approach the elements that cast a doubt on it, be it in the law of obligations of in the judicial practice.

Suretyship and financial guarantee - abstract As a topic of my Thesis I chose two civil and earlier also business law institutes Suretyship and Financial guarantee. I have analyzed the actual meaning of the debt security and its legal instruments in first part of my paper. There was a significant change in the Czech legal order since the new civil code came into power. Before the change, the institute of Suretyship was referred to in the "old" civil code Law no. 40/1960 Coll. for civil right purposes and in business code Law no. 513/1991 Coll. for business law purposes. After the recodification of private law, all legal obligations are now jointly in the "new" civil code Law no. 89/2012 Coll. The second part of my paper was dedicated to an analysis of this change and its impact. I went thru the effective legal treatment of the debt security, explained the effective debt security legal system in the civil code (analyzed the general provisions joint for all security institutes) in the next chapter. Furthemore, I dealt with the first of the security institutes being the topic - suretyship. First, I explained the meaning historical evolution since the Roman law, thru middle age, Austria-Hungary and the last century till today. The Consumer Loan Contract and its Securing by Suretyship As is self-evident from the title of the thesis, the subject matter of the thesis is the analysis of the concept of consumer credit and the securing thereof through suretyship. The starting point of the thesis was the newly-adopted Consumer Credit Act, which came into force on 1 January 2012. The aim of this thesis is to acquaint its readers with the relevant legislation, point out its shortcomings, and analyse the concept of suretyship as the most typical instrument used to secure consumer credit obligations, thus giving the reader a full picture of these legal concepts. The thesis is divided into nine chapters. The first chapter describes a contractual relationship under the credit contract, which is governed by legal regulations similar to those governing a consumer credit contract or a loan contract. This chapter analyses the essential terms of a credit contract, its origination and termination. Also analysed are the differences between a credit contract and a loan contract under the Civil Code. Le cautionnement, modèle des sûretés personnelles par excellence est depuis toujours au cœur d’enjeux antagonistes. Si le propre d’une sûreté est d’être au service du créancier, la caution tient cependant une place de plus en plus centrale dans la relation contractuelle, comme l’illustre l’importance du dispositif protecteur instauré tant par la loi que par la jurisprudence. A ce titre, la responsabilité civile apparaît comme une technique particulièrement utilisée par les tribunaux et constitue un axe d’évolution majeur en la matière, comme le montrent par exemple le développement du devoir de mise en garde ou encore l’exigence de proportionnalité. Face à ce constat, le rôle de la responsabilité, son influence et son utilité sont autant de questions d’un intérêt tant théorique que pratique. A la fois facteur d’évolution du contrat de cautionnement et du droit du cautionnement, les relations entre cautionnement et responsabilité civile sont riches d’enseignement. / The suretyship, archetypal model of personal guarantees, has always been the centre of antagonistic stakes. If the main characteristic of a guarantee is to be at the service of the creditor, the guarantor holds however an increasing significance in the contractual relation, as the importance of the protective framework established both by the law and caselaw illustrates it. As such, civil liability appears as a technique particularly used by the courts and constitutes a major development axis on the subject, as, for example, the development of the duty to warn or the requirement of proportionality illustrate it. In view of this, the role of the responsibility, its influence and its utility are all core issues as to regard their theoretical and practical interests. A bill of exchange was historically used for payment purposes. However, over time it was figured out that it can designate as a securing instrument. Such a usage of a bill of exchange brings as well a series of theoretical and practical confusions. Therefore, one of the main aims of this thesis is to analyze a securing bill of exchange and examine and describe the different attributes and specifics that bind to it. Another main aim of this thesis is securing bill of exchange to be compared with another hedging instruments which are provided by civil law, such as the pledge and the suretyship. Because of this comparison it is easier to show if the bill of exchange is an appropriate securing instrument, and what are its strengths and weaknesses. As a working method is using analysis and comparison. The thesis is divided into nine chapters.
