Les manipulations qui ont faussé les résultats des grandes entreprises françaises ont remis en cause l‟efficacité des systèmes de gouvernance et ont suscité de multiples interrogations relatives à la fiabilité et la qualité des informations qu‟elles diffusent.Afin de trouver les éléments qui permettront d‟instaurer à nouveau un climat de confiance, cette thèse a pour objectif de déterminer les mécanismes de gouvernance explicatifs de la qualité de la communication financière. Pour répondre à cette problématique de recherche, nous avons analysé le lien entre la communication financière et la gouvernance puis, nous avons formulé, à partir des théories financières, un ensemble d‟hypothèses relatives à l‟influence du marché financier, de la géographie du capital et du conseil d‟administration sur la qualité de la communication financière.Pour tester ces hypothèses de recherche, nous avons construit un indice de mesure de la qualité de la communication financière. Une fois cet indice appliqué aux entreprises de notre échantillon, nous avons procédé à une analyse univariée et une analyse multivariée pour au final construire un modèle empirique des mécanismes de gouvernance explicatifs de la qualité de la communication financière des entreprises du SBF 120. / The big French companies, which have inadvertently falsified their results, are asking for efficient governance systems, especially on the reliability of the information they are spreading.In order to reinitiate new confidence for stake holders, this thesis aims to explain the influence of governance mechanisms on the quality of financial communication. To answer this research question, we have analyzed the link between financial communication and governance. Then wecreated a formula, from current financial theory, using a set of hypotheses related to the influence ofthe financial market, the flow of capital and the board of directors on the quality of financial communication. To test these hypotheses, we have built a model to measure the quality of financial communication. After our empirical study on companies of the SBF 120, we built an empirical model explaining governance mechanisms of the financial communication‟s quality.

There are two tasks of this dissertation. Firstly, it will make a contribution from a theoretical perspective. Some Western scholars conclude that rules and institutions transplanted from Western jurisdictions have not worked well in the Chinese legal system so far. This is because the level of consistency between the transplanted rules or institutions and the local context is still at a low level. However, this dissertation takes a different position. By solving a series of unanswered questions, it will make a theoretical contribution to the scholarship on comparative corporate governance in the context of the transitional economy. By and large, it will answer the question: "why can China, as representative of a transitional economy, not escape from the faith of legal transplant in its legal reform of corporate governance". Secondly, this dissertation will make a contribution from a practical perspective. Many Chinese lawyers and Western scholars complain that Chinese company law is suffering deeply from the problem of ambiguity. Indeed, it is poorly and inconsistently drafted. There is, nevertheless, no systematic study on how to solve this problem in a pragmatic manner. In light of the proposed theoretical research, this dissertation will provide an important response on this issue. It rebuilds the director's fiduciary duties and shareholder's fiduciary duties by inserting some workable legal rules from the UK into the existing legal regime in China.

The thesis examines the role of responsibility and responsiveness in the state governance. Governance as a theory is paying attention to studying a political process according to current situation. The political process deals with institutionalization of the governance system, through which citizens, institutions, organizations and groups in a society articulate their interests, exercise their rights and mediate their differences in pursuit of the collective goods. The role of responsiveness and responsibility of politicians before a society in such case become more and more higher, because by having a political power, they need to govern a state in properly, correct way. Institutional analysis, which is using in this work, is aimed to analyze a specific reform - decentralization of power in Ukraine, through which is easier to find how responsiveness and responsibility are relate with the governance. Moreover, the analysis helps determine where were made mistakes by politicians, which led to a slowdown of implementation of reform. This transformation could be regarded as a change from an institutional to a more organic functioning of the church, based on Biblical metaphors relating to the church. The primary aim of this thesis is to conduct a comparative analysis of the former and the current private law regulations concerning governance of joint-stock companies. What this thesis mainly focuses on are practical impacts of the change and problematic areas which are uncertain to interpret. This work is divided into two parts, theoretical and practical application. The former deals with the definition of the term corporate governance, theoretical bases of corporate governance and governance models and theories. In the latter the most fundamental changes brought by the recodification are taken into consideration, these being the possibility of choice between monistic and dualistic corporate governance systems, adaptation to the new regulations and the changes regarding the statutory representative.
