The influence of M&A regarding the integration of the supporting line--A case study of the human resource department in financial holdings

The purpose of M&A usually directs to the exploration of business scale and the decrease of operation cost. The post-merge integration not only emphasizes on the integration of business unit to increase the profit, but also on the centralization of supporting lines regarding similar function, in order to decrease the duplicated cost of workforce. Most of the research papers focus on the performance of M&A or the integration manners of business unit, however, few of the research points out how the supporting lines integrate with each other. Thus, this report intends to figure out the key points of the centralization of supporting lines thorough the integration of human resource division. The practice of the case study reveals that the success of the integration relies on the determination of senior management, which helps to facilitate the execution part. Meanwhile, the similarity of the operation process within the subsidiaries also contributes to the success of the integration. However, the failure of the integration results from the characteristics of the different industries and the resistance of the subsidiaries¡¦ HR managers rather than the issues concerned by the senior management or the project execution.

An enterprise's survival and development relies on executive manager's quality and performance. In order to equip the executive managers with the abilities they need at work, most of the companies will provide them with related training program including knowledge, skills, and behaviors which aims to enhance employees' capability. The case company has conducted such managerial training for long which is used to be held by different business units, but after the case company's reorganization, top executives decided to integrate the training program within the whole group. However, is this training schemes proper for different business units based on diverse industries? This research intends to reveal the effectiveness of the managerial training before and after the timing of company's reorganization. This research used case study as a method to analyze the merits of integrating managerial training. It concludes the following findings: the consolidation of training program, the connection among different business units' trainee in financial holdings, the consistency of training program, and the simultaneously reduce of the administrative cost. However, the implied factors to be further discovered in this research refers to the irrelevance of the training program and promotion, the failure of retention potential employees, and the fewer support from trainee's direct supervisor during the process, and etc.

The purpose of this thesis is to analyze the development of financial holdings companies in china. As china joined WTO, it gradually has to open its domestic financial market. As a result, for financial holdings companies in china to compete with large foreign financial groups, their business modal has to change. We will discuss how chinese local financial holdings were reacting towards the presence of large foreign financial groups and the outcome of this reaction , taking all factors that account. This thesis will also explore and compare the strengths and weaknesses as well as advantages and disadvantages between local chinese companies and large foreign companies.

我國金融控股公司子銀行經營績效之研究 / -資料包絡法之應用

資料包絡分析法乃是利用數學規劃模式求取決策單位之相對效率,故本研究針對本文針對競爭激烈之金控環境下,14至15家金控子銀行進行推估其經營效率。 銀行經營效率評估,主要以財務比率法、資料包絡法及隨機生產(或成本)邊界法。財務比率法大多利用單一投入與產出之比值,不符合生產函數之理論架構;DEA已經針對投入與產出之關係,作一嚴謹的分析,而能推估數個投入與產出之效率指標,此一效率指標,較能評估各廠商之經營績效。本文運用Farrell對於多項投入及多項產出效率衡量的概念,去推估各金控子銀行從1999年至2004年的經營效率,並建議這些銀行如何去配置最佳技術效率組合。 本研究的結論得出公營金控公司子銀行的績效不如民營金控子銀行來的佳。且金控公司子銀行未來應加強創新,增進風險管理的能力,促使銀行、證券及保險平台的結合,以便提高競爭力。 / Data Envelopment Analysis (DEA) is a mathematical programming approach to accessing relative efficiencies within a group of Decision Making Units (DMUS). therefore this research controls the environment in view of this article in view of the competition intense gold next the bank to carry on,14 to 15 Financial company bankings pushes estimates its management efficiency. This article utilizes Farrell delivers the efficiency weight regarding many investments and many items the concept, pushes estimates various Jin K'ungtzu the bank from 1999 to 2004 management efficiency, and suggested how these banks do dispose the best technical efficiency combination.
