The thesis analyzes competitiveness and related business environment in the Czech Republic and Germany, also examines the legislative environment prevailing in both countries. The work is divided into three chapters. The first chapter determines the position of the two states in international competitiveness rankings. In the second chapter selected areas of the business environment are described, evaluated and compared. The final chapter is about starting a business in the Czech Republic, Germany. The thesis analyzes problems of cross-border activities of employees. Common features of both states and their differences are compared in order to be the inspiration for legal changes.

The description of the legal system of Limited Liability Company in Czech republic and in Germany

The first chapter briefly describes forms of entrepreneurship in Czech republic and Poland. The second up to the eleventh chapter focuses on comparison of different legal institutes of limited liability company from establishment till termination.

The diploma thesis describes the position of partner (member) in the limited liability company in the Czech Republic. First of all I analyzed the basic characteristics of the limited liability company including the historical development. Then I focused on its partners (members), I described who can become a partner, how and under what circumstances. Special attention was paid to the capital contribution and the business share. The most important part of the diploma thesis focuses on the legal aspects of partner's rights and obligations. I pointed out the advantages of being a partner (such as not being liable for the company's debts) as well as disadvantages. Various ways of leaving the company are briefly covered in the last chapter.

Presents a comparison of individual entrepreneurs and companies with limited liability. It deals with the tax burden, red tape and-registry duties above types of businesses. It also aims to evaluate the advantages and disadvantages.

My Master's Thesis is focused mainly on entrepreneur who decides to change the legal form of businness and to establish a limited liability company. For this reason I started with the characteristics of both legal forms of business firstly and then I stated all possible ways to establish limited liability company concernig legal, accounting and fiscal point of view. At the same time I was aiming to point out pros and cons of setting up a limited liability company which may affect the future profitability of business.

A vacant membership interest is not an emerging concept in Czech law; disposition of vacant membership interest was regulated already by Section 113(5) and 113(6) of the then applicable Commercial Code. The legislative rules, however, were criticised for being incomplete and hence difficult to be applied: regulated as transferable to the company, the vacant membership interest could be transferred by the company to another company member or third party; if the membership interest was not transferred, the company was required to reduce its registered capital or distribute the vacant membership interest among the remaining company members. The newly enacted amendments have impacted a number of related concepts, introduced a liberalised company law regime and weakened the relationship between company members and companies. The calls on the government from the professional public to introduce a more flexible company law regime, give way to contractual freedom and expand the circumstances in which the company members have a right to withdraw from the company have been heard. In this diploma thesis are discussed the consequences caused by entrepreneurship transformation, especially from the tax and law aspect, related with the intended transformation from the associations of natural persons to a limited liability company. It contains process of implemetation by changing the enterpreneurship form. Process by fundation a limited liability company and the opportunities how transfer property by enterpreneurship transformation.
