Další determinanty fondů soukromého kapitálu / Further Determinants of Private Equity

This thesis examines determinants of two variables important in evaluating private equity investments. First of them is the price of companies acquired by private equity funds expressed as a multiple of a profit indicator and the impact of primary and secondary buyouts. The second variable researched is the internal rate of return, a popular tool to measure profitability of private equity funds. The internal rate of return is studied for different groups of private equity funds and is reflected in a post-crisis perspective. The first conclusion stemming from the research is that the profit multiples in secondary buyouts are estimated to be higher compared to primary buyouts. The second conclusion proves the underperformance of real estate funds and the outperformance of distressed debt, turnaround and secondaries funds.

Potenciál institucionálního prostředí v České republice pro realizaci PPP projektů

Public-private partnership (PPP) projects form a relatively new dimension of funding and implementation of public services. In just a few decades since their inception in the United Kingdom, PPP projects have spread to other highly developed economies and developing countries have tried to implement this concept as well. The concept of Public-private partnership (PPP) and its benefits and potential risks are explained through literature research. From the study of the risks involved I derived demands on the institutional environment that would minimize them. Follows an assessment of the condition of the institutional environment of the Czech Republic and its comparison with other countries. The current situation in the country is so inhospitable to this type of delivery of public services that the promotion of its implementation would, with a high probability, be associated with waste of public resources and delays in the implementation. The institutional environment of the Czech Republic appears to be problematic in terms of corruption, transparency, law, the state of public finances, existence of institutions and government support. At the same time by their very nature, many of these unfavorable parameters of the institutional environment cannot be changed with any one-off action, therefore it wouldn't be useful to try to determine the potential horizon of the Czech Republic's readiness to implement the concept of Public-private partnership.

-1- Summary The aim of the thesis is to assess the impact of the recodification of private law on the phenomenon of moral hazard. In order to achieve the goal, the old and new legislation were compared in order to identify key changes and analyse their nature, in terms of their positive or negative impact on the potential occurrence of moral hazard. In the theoretical part, moral hazard was defined and systematized in the context of so- called "old" and "new" market failures. The author also offered a key contemporary definition of the term. Increased attention has also been paid to the issue of incomplete and asymmetric information that often coexists with or potentially enhances moral hazard. In the second part of the theoretical part, the author of the thesis focuses on defining the specifics of moral hazard, taking into account the Czech practice. The phenomena of insurance, health, monetary policy, banking, financial consulting and corporate governance are gradually being mentioned. The issue of representation and black passenger is also accented. The difference between moral hazard behaviour and fraud is also described. 68 Abstract The principle of autonomy of will is a fundamental principle of private law. It is impossible to imagine the functioning of private law without it. The principle is primarily based on the principles of equality and freedom, the key principles on which the foundations of a democratic legal system and free society are built. The aim of my thesis is to define the autonomy of will, compare the principle of autonomy of will with other fundamental doctrines and principles from which it arises and/or principles which are closely related to. I believe that most of the legal relationships based on private law are founded on the principle of autonomy of will, therefore, I decided to describe some of these institutes in more detail in my dissertation as well. The thesis is divided into a general part and a specific part. In the general part I deal predominantly with the inclusion of the principle of autonomy of will into the principles of private law. This part also contains some theoretical concepts and is closely linked to constitutional law, the Bill of Fundamental Rights and Freedoms and the principles on which the Civil Code is built. The Diploma thesis is dealing with the usage of the private-public partnerships in the form of PPP projects. The main aim of this work is an evaluation of the PPP method whilst providing the public good as one of the main tools of financial projects from the public sectors. The thesis is briefly introducing the principles of public sector, its role and functions along with securing public good and their financing. The first part discusses the history of PPP projects, its characteristics and typology, as well as various advantages and disadvantages compared to traditional public contract model. The analytical part is dedicated to the implementation of the private projects and to public partnership in Czech Republic. The pilot projects are the D3 motorway and judicial complex in Usti nad Labem. Foreign projects are represented by M1/M15 motorway in Hungary and its comparison with the D3 motorway. The main section of the analytical part then focuses onto the analysis of the PPP projects, in terms of their effectiveness, financial aspects and the overall merits. In particular, a critical stance on the subject guarantees its objective evaluation. The conclusion of the thesis is evaluated whether it has indeed an effective method as it's sometimes called.

The thesis deals with Public Private Partnership in the European Union and Czech Republic. On the grounds of analysis, it aims to asses impacts of providing public goods especially by course of PPP projects. PPP issue is defined generally, considering all basic elements by way of theoretical information. A comparative view of current PPP situation and development in Czech Republic and Great Britain was an important contribution while handling the selected topic. An analysis of EU task of implementing PPP projects in member states and financing these projects from EU funds is no less important. In the analytical part, emphasis is put on the origins and history of PPP, legal regulations of PPP and the institutional framework in particular countries. Number of instances of practice are mentioned too. As regards Czech Republic, one part of the thesis is devoted to the barriers to development.

The dissertation describes the current situation of Public Private Partnership (PPP), and then analyzes the development of this concept in the Czech Republic from 2004 to the present time, especially regarding to the implementation of Governmental policy in the field of Public Private Partnership declared in the key resolutions of the Government, institutional ensure and number and volume of the implemented projects. This dissertation also defines the main causes of failure of Public Private Partnership in the Czech Republic. Moreover, the thesis also includes a comparison of Public Private Partnership in the Czech Republic and in selected European countries (Slovakia, Croatia, Portugal) and formulation of the preconditions for successful implementation of Public Private Partnership in the Czech Republic in the future.

The diploma thesis deals with the topic of the Private-Public-Partnership (PPP) projects, as a tool for mutual financing of the public projects by private sector. Its main goal is to confirm or disprove the hypothesis, that the PPP projects are more effective form of the financing of the public projects and solve the problem of the debt trap into which countries entered in last decades. The thesis also defines the problem of the PPP project, their advantages and disadvantages and possible risks, analyses their usage in the Czech Republic and compares the experiences from the Great Britain in first two decades of the 21st century. The theoretical part of the thesis copes with the topic of financing of the projects of public sector and PPP projects. The descriptive and comparative methods will be used. In the practical part of the thesis will be performed the comparison of the chosen projects by synthetic analysis and the recommendation for the Czech Republic will be formulated based on the findings.
