Corporate governance research suggests that boards of directors play key roles in governing company
strategy. Although qualitative research has examined board-management relationships to describe board
involvement in strategy, we lack detailed insights into how directors engage with organizational members
for governing a complex and long-term issue such as product innovation. Our multiple-case study of four
listed pharmaceutical firms reveals a sequential process of board involvement: Directors with deep expertise
govern scientific innovation, followed by the full board's involvement in its strategic aspects. The nature of
director involvement varies across board levels in terms of the direction (proactive or reactive), timing
(regular or spontaneous), and the extent of formality of exchanges between directors and organizational
members. Our study contributes to corporate governance research by introducing the concept of board
behavioral diversity and by theorizing about the multilevel, structural, and temporal dimensions of board
behavior and its relational characteristics.

In this study directors of public listed companies around Australia gave their perceptions of best practice in corporate governance. A qualitative methodology within the constructivist paradigm was used along with a questionnaire thus making it a linked study. Mechanisms to assist in demonstrating rigour in the research process were developed and implemented as part of the research. The findings presented a description of best practice in corporate governance and a definition of corporate governance. Emerging from the findings was a model of best practice that was consistent with complex adaptive systems theory. Stakeholder theory was seen to provide the mechanism for developing activities that support the best practice model.

In this study, we examine the impact of political factors in corporate governance on the performance of firm. The major difference between this study and other corporate governance studies is use of three stage least square method, which can estimate the cause and effect between endogenous variable. Our sample consists of 100 firms listed in Taiwan Stock Exchange. We find that the political directors harm the performance of firm.

CEO duality has been the subject of debate for over twenty years and shows no signs of abating. With conflicting theoretical and empirical evidence underpinning the debate the practice has fluctuated, investor perception of board leadership structure has altered, international regulation has reacted, scholarly conceptualizations of duality have become overly complex, and the need to understand duality and conclude the debate has increased. This thesis explores duality in listed corporations and aims to form an appropriate solution to end the dichotomy. My solution requires one to confront misunderstandings which have led to a traditional insistence towards structural reform and prolonged the contentious debate, and recognize an underlying contention which needs to be resolved to bring finality to the debate. I argue finality is possible if a process oriented approach is adopted and corporations recognize the need to be technically equipped to deal with leadership structures in the modern corporate arena.
