Previous issue date: 2016 / O objeto da tese são as relações decorrentes da interação entre os agentes da Tríplice Hélice no Parque Científico e Tecnológico Chapecó@. Assim, será proposto um modelo jurídico que contemple a personalidade jurídica e o arranjo institucional do empreendimento, além de diretrizes para a cooperação científica e tecnológica e proteção dos direitos decorrentes de Pesquisa, Desenvolvimento e Inovação, sobretudo, os Direitos de Propriedade Intelectual e Transferência de Tecnologia. Com base na delimitação do objeto, problematizou-se a pesquisa para apresentar, considerando as relações de inovação aberta e as experiências analisadas, um modelo jurídico adequado para a colaboração e o compartilhamento do conhecimento, no Parque Científico e Tecnológico Chapecó@. A hipótese preliminar apresentada é que o êxito da inovação aberta das inter-relações que ocorrerão no Parque Científico e Tecnológico Chapecó@ residirá na estratégia contratual da cooperação, que se dá através de processos de colaboração e de compartilhamento de ativos intangíveis, de infraestrutura, incluindo ou não a utilização comum de pessoal, de facilitação de serviços e de utilização de outros bens, partindo-se da premissa de que o compartilhamento de ativos intangíveis, como insumo, os resultados das atividades de pesquisa, desenvolvimento e inovação e de outros processos criativos requerem proteção por regime jurídico de propriedade intelectual. Justifica-se o tema em razão de sua importância prática, pois oferecerá uma contribuição original, tanto para a academia, e, sobretudo, para o Parque Científico e Tecnológico Chapecó@, que poderá formular suas políticas com base nesse estudo. A tese tem por objetivo geral propor um modelo jurídico, que atenda os requisitos da eficiência, eficácia, celeridade, autonomia e flexibilidade na transferência de inovação e tecnologia, para o Parque Científico e Tecnológico Chapecó@, considerando a natureza jurídica e os limites da Universidade Comunitária da Região de Chapecó, garantindo a segurança jurídica necessária para a manutenção de cooperação científica e tecnológica com outras instituições. Considerando o objetivo geral, os objetivos específicos da pesquisa compreendem em analisar o papel dos parques científicos e tecnológicos, na atual sociedade do conhecimento, como instrumento da promoção de relações entre universidades, empresas e governo; identificar diferentes modelos e experiências brasileiras de parques científicos e tecnológicos, na construção do modelo jurídico para o Parque Científico e Tecnológico Chapecó@; apresentar as características e o modelo de governança desenvolvido para o Parque Científico e Tecnológico Chapecó@ e apresentar um modelo jurídico para o Parque Científico e Tecnológico Chapecó@. Para alcançar os objetivos propostos a tese foi dividida em quatro capítulos. O primeiro capítulo é dedicado à fundamentação teórica da pesquisa, a partir dos estudos da Teoria da Tríplice Hélice e do modelo de Inovação Aberta, além dos Parques Científicos e Tecnológicos como instrumentos de fomento à inovação, competitividade e revitalização econômica de regiões. O segundo capítulo apresenta uma análise descritiva de Parques Científicos e Tecnológicos brasileiros, com formatos jurídicos distintos. O terceiro capítulo apresenta o Parque Científico e Tecnológico Chapecó@, que corresponde a uma unidade operativa da Universidade Comunitária da Região de Chapecó. O quarto capítulo analisa o problema da tese, apresentando um modelo jurídico para o Parque Científico e Tecnológico Chapecó@, compreendendo a proposta de um arranjo institucional que inclui a constituição de personalidade jurídica na modalidade de Fundação, e diretrizes para regulamentar os direitos decorrentes das cooperações científicas e tecnológicas nele estabelecidas, abrangendo os Direitos de Propriedade Intelectual, Transferência de Tecnologia e repartição de ganhos econômicos.<br> / Abstract : The thesis' object are the relations arising from the interaction between the agents of the Triple Helix in the University Research Park Chapecó@. Thus, it will be offered a legal model that includes the legal personality, institution of venture arrangement, as well as guidelines for scientific and technological cooperation and protection of the rights under Research, Development and Innovation, especially the Intellectual Property Rights and Technology Transfer. Based on the definition of the object, problematized to research to present, considering the open innovation relationships and experiences analyzed, a legal model suitable for collaboration and knowledge sharing, in the University Research Park Chapecó@. The primary hypothesis presented is that the success of open innovation of the interrelationships that occur in the University Research Park Chapecó@ resides in the contractual strategy of cooperation, which takes place through collaborative processes and sharing of intangible assets, infrastructure, including or not the common use of personnel, facilitation services and the use of other goods, starting from the premise that the share of intangible assets, as input, the results of research, development and innovation and other creative processes require legal protection for intellectual property regime. Justified the theme because of its practical importance, it will offer an original contribution both to the academy, and, above all, to the University Research Park Chapecó@, which may make its policies based on this study. The thesis has the objective to propose a legal model that meets the requirements of efficiency, effectiveness, speed, autonomy and flexibility in the transfer of innovation and technology for the University Research Park Chapecó@, considering the legal nature and the limits of Universidade Comunitária da Região de Chapecó, ensuring legal certainty necessary for the maintenance of scientific and technological cooperation with other institutions. Considering the general objective, the specific objectives of the research include in analyzing the role of science and technology parks, in today's knowledge society, as a means of promoting relations between universities, business and government; identify different models and Brazilian experiences of science and technology parks, the construction of the legal model for the University Research Park Chapecó@ present the characteristics and the governance model developed for the University Research Park Chapecó@ and present a legal model for the University Research Park Chapecó@. To achieve the proposed objectives the thesis has been divided into four chapters. The first chapter is devoted to theoretical basis of the research, from studies of the Triple Helix theory and Open Innovation model, in addition to the University Research Park as funding instruments for innovation, competitiveness and economic revitalization areas. The second chapter presents a descriptive analysis of Brazilian Science Parks and Technology, with different legal formats. The third chapter presents the University Research Park Chapecó@, corresponding to an operating unit of the Universidade Comunitária da Região de Chapecó. The fourth chapter analyzes the problem of the thesis, presenting a legal model for the University Research Park Chapecó@, including the proposal for an institutional arrangement that includes the corporate structure of the constitution in the form of foundation, and guidelines to regulate rights arising from cooperation scientific and technological it established, including the Intellectual Property rights, Technology Transfer and distribution of economic gains.
