This thesis aims to introduce alternative dispute resolution within international business relationships and it subsequently focuses on one of them, which is mediation. This topic was chosen with regards to its recency and an evolving trend of alternative dispute resolution both in Czech Republic, and abroad. The thesis is divided into eight chapters. Introductory chapter introduces the issue of ADR, their characteristics, advantages and the division. The second chapter focuses on the definition of business relationships, international business relationships and suitability of application of ADR in these cases. The third chapter is dedicated to the characteristics of individual types of ADR such as negotiation, conciliation, collaborative law, arbitration, med-arb, medaloa, minitrial and expertise and their mutual comparison. The fourth chapter is devoted to the legislation of ADR within Czech Republic and subsequently to the international legislation of ADR. The fifth chapter focuses on mediation, its characteristics, definition, its forms, history and both national, and international legislation. The purpose of this thesis is to present mediation as an Alternative Dispute Resolution (ADR). The selection of this topic is influenced by the currency of this issue. This currency can be seen in the adoption of mediation act, which is first of its kind. The thesis is composed of five chapters. The first chapter deals with the general concept of ADR and presents different types of ADR. The second chapter then presents mediation as one of the types of ADR, and focuses on the concept of mediation, its history, the role of mediator and the mediation process in its four sub-sections. The crux of this thesis is then in the following chapters which addresses how mediation is utilised in the European, Czech and Australian legal environments. The third chapter of this work shows the development of mediation in the EU, which led to the adoption of the Directive on certain aspects of mediation in civil and commercial matters (2008/52/EC). This Directive is an essential guide for the development of mediation in the EU Member States, including the Czech Republic. This thesis is dedicated to mediation as an alternative dispute resolution method and as a possibility to prevent long lasting court disputes which occur more than necessary. The aim of this thesis is to point out the advantages of mediation and the possibilities of its wider implementation in Czech Republic, while comparing with the Australian system, where mediation is widely used. The thesis is separated into six parts. The first part is focused on a brief introduction of some ADR methods, in particular renegotiation, mediation, pre-arbitration settlement methods, arbitration and hybrid ADR methods. Furthermore, this part focuses on the history of mediation around the world and in the Czech Republic. The end of the first part focuses on a detail analysis of various forms of mediation based on several criteria of division. The second part compares mediation to court proceedings from three different points of view. These are the ability of each method to fulfil the aims and needs of the parties, the aspects of the dispute and of the parties which affect the suitability of each method and lastly the ability of each method to eliminate the barriers to an effective resolution of the dispute. Mexican ADRs, market efficiency and insider trading

acase@tulane.edu / The relationship between microstructure, efficiency and data frequency give us a new opportunity to test information (e.g. events and news) efficiency assimilation for Mexican ADRs and their underlying Bolsa Mexicana de Valores (BMV) stocks It also allows to corroborate whether in emerging markets, specifically in the Mexican market, insider trading could be present but it may not be necessarily detected by market efficiency tools only. Using a proprietary dataset of Mexican Stock Exchange (Mexican Bolsa) intraday prices for underlying stocks and their respective Type II and III ADRs quoted in NASDAQ, AMEX and New York Stock Exchange, time series analysis related to price dynamics and event studies methodologies were applied. Non-linearity of the prices was tested, finding no statistical evidence of such behavior, which led to conclude linearity in them. Volatility transmission was also analyzed, finding that external shock can impact both markets having a recursive behavior; shocks in Mexican market has an impact also in American Market and vice versa. Using a standard Event Studies methodology we tested for nine different corporate events (dividends, changes in capital structure, acquisitions, mergers, takeovers, spin offs, sell offs, joint ventures and privatizations) and seven different classes of stocks in both markets, looking for parallelism in cumulative abnormal returns, volatility, trade volume and Granger causality. The results are a statistically significant behavior similar in both markets (for both CARs and volatility). The evidence of Granger-causality in ADR / underlying stock was detected in both ways: underlying stocks Granger cause the ADRs and vice versa. The results corroborate a non-arbitrage behavior in both markets and no evidence of insider trading in ADRs / underlying stocks in both markets / 1 / Polux E. Diaz Ruiz

The dynamics of ADR prices and underlying stocks

ADRs are negotiable certificates,which represent the ownership of foreign corporations and are traded in the U.S stock market. As a potential alternative to direct investment in foreign stocks,ADRs have become popular tools for international diversification. In our paper,we focus on the price transmission mechanism amongst the ADR and it¡¦s pricing factors as well as the global diversification effect of ADRs. Specifically,three topics are examined in our paper¡R First we apply several multiple regression models to identify what factors affect ADR returns and the returns on underlying stocks. These factors we used to incorporated included foreign exchange rate, S&P 500 Index and world Index. Due to possible common factors not incorporated in our models, we apply SUR to yield more robust results. Second, we apply VAR to investigate how ADR returns and returns on underlying stocks interrelated and augmented by lagged U.S. equity index and world index on a daily basis. Finally, we apply vector-error-correction model to investigate how ADR returns and returns on underlying stocks interrelated with deviations from long run relationships. We first implement Augmented Dickey-Fuller tests to see if they are integrated of the same order. The residuals are then used as error-correcting terms for VECM. Due to the fact that these markets do not close synchronously, VECM with different error correcting terms documented in this study does provide important information regarding how ADR or stock returns react to the deviations from the long-run equilibrium.

Seminario para optar al grado de Ingeniero Comercial, Mención Administración / El presente seminario de título tiene por objetivo testear de forma empírica la reacción de los ADRs chilenos frente a shocks noticiosos generados tanto en Estados Unidos como en Chile. Se pretende dilucidar si la reacción en términos de retorno y volatilidad, se asemeja al selectivo local modificado1 o al índice Dow Jones del mercado americano. A través de la implementación de modelos de la familia GARCH se detecta que el índice INTER 10 (selectivo que agrupa a los títulos que tranzan en ADRs), posee una reacción similar al índice IPSA ajustado, frente a shocks macroeconómicos inesperados de Chile y Estados Unidos.
