Aktieägaravtal är ett frekvent använt sätt att mellan delägare i ett aktiebolag reglera frågor avseende det gemensamma aktieägandet. Aktieägaravtalet reglerar många gånger frågor som även i bolagsordningen reglerats. Vid ingående av ett aktieägaravtal riskerar en normkollision uppstå: är det bolagsordningsnormen som ska gälla eller är det aktieägaravtalet? Då rättsläget rörande sådana normkollisioner är oklart, är det av intresse att undersöka om en jämförelse mellan bolagsordning och aktieägaravtal kan klargöra rättsläget. Analysen har möjliggjorts genom insamling av historiska argument rörande bolagsordningens likhet med aktieägaravtal. Dessa argument härleds sedan till nu gällande rätt i den mån det är möjligt. Analysen baserar sig även på en beskrivning av aktieägaravtalet samt vissa avtalsrättsliga aspekter rörande tolkning. Resultatet av framställningen är att bolagsordning och aktieägaravtal uppvisar sådana likheter att en jämförelse kan göras för att lösa normkollisioner genom tillämpning av vissa avtalsrättsliga aspekter rörande tolkning. Vad som härvidlag framkommer är för det första att bolagsordningen genom dess tvingande normer begränsar vad som med aktiebolagsrättslig verkan kan föreskrivas i aktieägaravtal. För det andra, när alla aktieägare inte är part till aktieägaravtalet får parterna istället göra vad de kan för att söka uppfylla avtalets innehåll. Slutligen kan lojalitetsplikt användas för att fastställa hur aktieägaravtalet ska tillämpas för att så långt som möjligt undgå normkollisioner mellan bolagsordning och aktieägaravtal. / Shareholders agreements are a frequently used form for regulating issues arising as a result of a common interest as owners in a joint-stock company. The shareholder agreement often regulates issues already regulated in the articles of association. When entering into a shareholders agreement standard collisions may occur: shall the articles of association or the shareholders agreement supersede? As the legal situation as regards such standard collisions is unclear, it is of interest to find out if a comparison between the articles of association and shareholders agreement can clarify the legal situation. The analysis has been made possible by looking at the history. In the retrospective, arguments regarding the similarity of the articles of association and shareholders agreement are identified. Then these arguments are derived to current law to the extent possible. The analysis is also based of a description of the shareholders agreement and certain contractual aspects of interpretation. The result of the thesis is that the articles of association and shareholders agreements are similar to that extent that a comparison between the two can be conducted in order to solve standard collisions through an application of certain contractual aspects of interpretation. In this respect, firstly, the articles of association limit through its mandatory standards the issues that can be legally regulated in a shareholders agreement. Secondly, if not all shareholders are part to the shareholders agreement the parties have to do what they can to make sure the agreement is fulfilled. Finally, the duty of loyalty can be applied to determine an application of shareholders agreement that avoid standard collisions between the articles of association and the shareholders agreement.

The goal is to analyse process of formation and incorporation of business companies according to the Czech legislation. The incorporation of new juridical person consists of two-stage process of establishment. This thesis is primarily based on the analysis of definitions of laws, expert publications and on examples of judicial decisions. Identification and definition of the Bank's Articles and practical analysis of two effective Bank's articles. The aim of this thesis was to emphasize the special treatment of banking statutes and to point to the importance of requirements for the banking statutes of the Commercial Code and Law on Banks. The thesis analyses shareholders' agreements in limited liability and joint stock companies. In a broader sense, both the agreements concluded by shareholders outside the articles of association or bylaws and the provisions of the constitutional documents which are not attached to shares but only bind the individual shareholders can be classified as shareholders' agreements. The thesis consists of a general and a special part. The objective of the general part is to describe the legal nature, effects, usual content and practical use of shareholders' agreements. Particularly, I intend to detail the main legal issues surrounding shareholders' agreements included in the constitutional documents and to suggest the methods of coping with these problems in the legal practice. Further, I will describe the corporate advantages of the shareholders' agreements as separate legal documents as well as their limits. The objective of the specific part of this thesis is to characterize the selected types of shareholders' agreements in terms of their practical use and legal regulation. Limits of shareholders' agreements - Resumé This diploma thesis deals with the limits of shareholders' agreements. Its goal is not only to introduce the legal concept of the shareholders' agreements themselves, with regard to their content, forms or types, but above all to point out the limits which restrict their validity. The shareholders' agreements as an obligatory legal institute have their limits, which must be respected by the parties to the agreements. This thesis focuses primarily on the contractual autonomy of the parties to the agreement, together with other limits resulting from the stock law such as the prohibition of disadvantage shareholders, limitation of types of stocks or possible establishment of an internal shareholder's company. This diploma thesis also describes the key institute that stands side by side the shareholders' agreements - the articles of incorporation. Since the parties to the shareholders' agreements can be and most often are the shareholders themselves, I focus on the relationship between the agreements and a certain loyalty of shareholders to the joint stock company. 1 One-tier organisational structure of Czech joint-stock companies and British public limited companies Abstract This thesis deals with selected issues of one-tier board structure of a joint-stock company in the Czech and British legislation. The emphasis is placed on the position and regulation of the Board of directors, its members, shareholders, and their mutual relationship. Not only has the present legal regulation been monitored, but also its historical roots, which significantly influenced the evolution of the institute and its present form. The first chapter deals with corporate governance. It includes all aspects and theories, which as a whole have completed the position of a shareholder as well as a joint-stock company itself. "Suffering in the Common Cause": The Continental Association and the Transformation of American Subjects to Citizens during the Coercive Acts Crisis, 1774-1776McGhee, Shawn, 0000-0003-0768-7282 January 2022 (has links)
This dissertation explores the point and process by which American colonists transformed from subjects to citizens. Upon learning of Boston radicals’ destruction of East India tea, Parliament passed the Coercive Acts, a collection of punitive measures designed to rein in that seaport town. In response, American communities from Massachusetts to Georgia drafted resistance resolutions calling on colonists to refrain from importing British merchandise, exporting American resources, and partaking in frivolous pastimes. Boston’s suffering, these communities declared, presented a threat to every colonist. Grassroots activists next called for a Continental Congress to coordinate and enforce a pan-colonial resistance movement to pressure Parliament’s repeal of the Coercive Acts. Once convened, delegates of the First Continental Congress drafted the Articles of Association which incorporated many directives already circulating in the town and county resolutions. Traditionally presented as a colonial boycott of British manufactures, the Association regulated cultural as well as commercial practices. It advised colonists to avoid waste and extravagance and singled out horse racing, cockfighting, theatergoing, and other displays of leisure as examples of moral decay. Echoing the grassroots resolutions, Congress also urged colonists to commit to nonimportation and non-consumption of British wares and nonexportation of American goods.
Through these directives, Congress sought to achieve imperial reconciliation and colonial moral regeneration, yet its commitment to self-preservation reveals it focused more on restoring American virtue than returning harmony to the empire. To enforce the Articles of Association, Congress recommended towns and counties to create Committees of Inspection and Observation. Composed of locally elected men, these committees
regulated their neighbors’ behavior and condemned violators of the Association as enemies of America. Using colonial newspapers, private letters, pamphlets, Congress’s official journals, Peter Force’s American Archives, and a wealth of other primary and secondary literature, this dissertation reveals how the Continental Association organized local communities of suffering. Members of these communities voluntarily suspended cultural and commercial practices to protect political identities they felt were in danger. Le droit des sociétés est marqué par un phénomène de "contractualisation", lequel témoigne de la multiplication de l'aménagement des rapports entre associés, qu'il concerne les modalités de direction de la société ou l'exercice de leurs prérogatives et obligations. Ces aménagements peuvent revêtir deux formes : l'une statutaire, l'autre extrastatutaire. L'étude du statutaire et de l'extrastatutaire en droit des sociétés se consacre donc à la comparaison de ces deux formes d'aménagement et propose d'identifier leurs deux traits caractéristiques : une finalité commune et un caractère distinct.Les actes statutaires et extrastatutaires partagent une finalité commune : ils concourent à la réalisation de l'opération sociétaire. Parmi tous les actes relatifs à la société, ils se caractérisent par leur but qui est de permettre à leurs signataires de satisfaire leurs intérêts spécifiques par le truchement de l'intérêt social, à savoir par la réalisation d'une entreprise commune en vue de l'enrichissement collectif des associés. Cette finalité commune exerce alors une influence sur leur régime juridique car les actes statutaires comme ceux extrastatutaires sont soumis aux règles du droit des sociétés. Plus fondamentalement, il doit être distingué entre les aménagements du statut d'associé, applicable à toute personne ayant la qualité d'associé, et ceux extérieurs au statut, lesquels ne sont que l'expression des engagements personnels des associés et applicables à leurs seuls signataires. Le caractère statutaire d'une stipulation emporte alors deux conséquences spécifiques. Parce que le statut d'associé a vocation à s'appliquer à tout associé de manière identique, il peut être modifié à la majorité. Cette règle doit cependant être appliquée en tenant compte des situations de conflit d'intérêts susceptibles de se présenter lors de la création de différentes catégories d'associé ou de l'octroi d'avantages particuliers. Parce que le statut d'associé a vocation à s'appliquer à tout associé présent et à venir, seules les stipulations statutaires s'appliquent à l'acquéreur de titres sociaux. / Corporate law is characterized by a trend of "contracting", which reflects the multiplication of the systems of relationship between partners, whether this involves the management rules of a company or the application of their rights and obligations. These systems can take two shapes: statutory or non-statutory. The study of statutory and non-statutory in corporate law is devoted to comparing these two forms and identifying their two key features: a common purpose and a distinct nature.Statutory and non-statutory acts share a joint purpose : they contribute to the accomplishment of the corporation. Among all acts in connection with a company, they are characterized by their purpose which aim to enable their signatories to meet their specific interests through the interest of the corporation, i.e. through a joint enterprise targeting the joint enrichment of the partners. This common purpose influences their legal regime because both statutory as well as non-statutory acts are subject to corporate law. This influence can be mainly felt towards non-statutory acts, which have to comply with the corporate public order, are governed by the lex societatis in international private law and fall under the competence of commercial courts in business corporations. Even though they share a common purpose which makes them fall under the category of corporate agreements, statutory and non-statutory acts remain distinct. Traditionally, these two sorts of acts can be distinguished by applying a formal criteria, namely whether they can be found in the document named articles of associations or outside of those, but this criteria doesn't express the essence of this distinction. More fundamentally, one has to distinguish between the adjustments of the partners' statutes, which apply to any partner, and those outside the statutes, which only represent the personal commitment of the partners and only apply to the signatories. The statutory nature of a clause triggers two specific consequences. Since the partner statute is meant to apply equally to all partners, it can be modified with a majority vote. However, this rule must take into account potential conflicts of interest which can arise when creating different categories of partners or when granting special benefits. Title: Comparison of sport clubs in Radotin and Zbraslav Targets: This thesis aims at producing an overview of the sport associations in Prague's district no. 16, namely in Radotin and Zbraslav. The thesis is to compare the differences in ensuring and carrying on sports activities within the association sphere in the given areas. Methods: For the purposes of the thesis the following methods have been used, namely a structured nonstandard interview, descriptive analysis and comparison. Results: It follows from the thesis that the associations based in Radotin do, indeed, function better that those situated in Zbraslav. That is especially true as regards their price policy, financing by way of subsidies, coaching stuff, organising of sports events as well as the cooperation with the public. On the contrary, Zbraslav associations have developed better cooperation with schools. Sport clubs in Zbraslav are more focused only on children and youth. In contrast, the Radotín sports clubs are trying to involve in its work all ages. For the purpose of presenting the sports overview we have created systematisation of sports facilities, database of contacts of executive directors of associations and comparative table of certain Radotin and Zbraslav sport associations.
