1 One-tier organisational structure of Czech joint-stock companies and British public limited companies Abstract This thesis deals with selected issues of one-tier board structure of a joint-stock company in the Czech and British legislation. The emphasis is placed on the position and regulation of the Board of directors, its members, shareholders, and their mutual relationship. Not only has the present legal regulation been monitored, but also its historical roots, which significantly influenced the evolution of the institute and its present form. The first chapter deals with corporate governance. It includes all aspects and theories, which as a whole have completed the position of a shareholder as well as a joint-stock company itself. Moreover, diffuse and concentrated ownership is explained, as well as separation of ownership of the company from its management, and the related "principal"-"agent" problem. Also, the basic characteristics of Anglo-Saxon and continental approach to the law have been reflected. The second chapter describes and clarifies the essence and the form of one-tier board structure as it is regulated in the UK. Lobbying is an integral part of political decision-making processes. It is a relevant way of communication, during which lobbying companies and lobbyists try to influence different policy areas for the benefit of their clients. This also applies to foreign lobbying, where a given country tries to influence the foreign policy of the target state to its advantage through lobbying companies. This tool is also used by Taiwan, for which it is one of the crucial tools to break out of international isolation and to ensure one's own security. Thus, Taiwan has invested millions of US dollars over the years, and this trend continued in the period 2017-2020, the administration of Donald Trump. The work analyzes Taiwan's lobbying activities in the U.S. between 2017 and 2020 using publicly available reports from the US Department of Justice. It evaluates the number of companies hired by Taiwanese government entities, the funds they have received for their services, and the contacts made by these companies with U.S. lawmakers. At the same time, it maps political contributions made in favor of sponsors and co-sponsors of selected laws. The thesis also deals with the activities of the American organization Formosan Association for Public Affairs, which contributes significantly to the promotion of Taiwanese issues...

Previous issue date: 2010-10-15 / Conselho Nacional de Desenvolvimento Científico e Tecnológico / The aim of the present work is to propose reflections for the outlining of the legal
system of the health services management by Third Sector entities, in light of the
Brazilian legal system. The interest for the theme may be justified by the following
reasons: i) dissemination of the Third Sector in Brazil deriving from the neoliberal
ideological context and from the State Reform; ii) rediscovery of the principle of
subsidiarity and retaking of the administrative activity of fomentation by the Public
Administration; iii) recent legislative amendments in constitutional and infraconstitutional
levels promoted with the intention of justifying new models of relation
between the State and society, often in flagrant violation to the constitutional
principles; iv) substitution of the state initiative for the private initiative for the
performance of activities which are primarily State s responsibility to provide and
which constitutional permissive admits only complementary activity from the
individuals; v) wide doctrinal dissent regarding the legal limits of administrative
activity of fomentation and the distortions of the legal system reality connected to this
administrative function, as an escape mechanism of the administrative legal system.
In the attempt to reach the outlined objectives, we shall primarily establish the
contextualization of the surfacing of the Third Sector in Brazil, as well as the
necessary assumptions in order to establish the logical premises of our
understanding regarding the theme; Then, we shall identify the constitutional outlines
of the administrative activity of fomentation and the legal tools which enable this
administrative function, including the identification of the entities that are part of the
Third Sector and the titles that are given to them by the Public Power. In possession
of all these elements, which outlines are necessary for the research presented
herein, we will pass to the study of the theme itself, presenting the legislative scenery
which the health service is included, and, finally, identifying the legal system of the
health services management by the Third Sector entities, seeking, then, to present
the conclusions obtained from the confrontation between the legislative and doctrinal
aspects regarding the theme / O presente trabalho tem por objetivo propor reflexões para o delineamento do
regime jurídico da gestão do serviço de saúde pelas entidades do Terceiro Setor, à
luz do ordenamento jurídico brasileiro. O interesse pelo tema pode ser justificado
pelas seguintes razões: i) disseminação do Terceiro Setor no Brasil a partir do
contexto ideológico neoliberal e de Reforma do Estado; ii) redescoberta do princípio
da subsidiariedade e retomada da atividade administrativa de fomento pela
Administração Pública; iii) recentes alterações legislativas nos planos constitucional
e infraconstitucional promovidas no intento de justificar novos modelos de
relacionamento entre o Estado e a sociedade civil, muita vezes em flagrante violação
aos ditames constitucionais; iv) substituição estatal pela iniciativa privada no
desempenho de atividades sociais cuja prestação lhe incumbe com primazia e cujo
permissivo constitucional admite apenas atividade complementar dos particulares; v)
ampla divergência doutrinária no tocante aos limites jurídicos da atividade
administrativa de fomento e as distorções na realidade do regime jurídico afeto à
esta função administrativa, como mecanismo de fuga do regime jurídico
administrativo. No intento de alcançar os objetivos traçados, buscaremos,
primeiramente, estabelecer a contextualização do surgimento do Terceiro Setor no
Brasil, bem como os pressupostos necessários a fim de estabelecermos as
premissas lógicas de nosso entendimento acerca do tema; em seguida,
procuraremos identificar os contornos constitucionais da atividade administrativa de
fomento e os seus instrumentos jurídicos viabilizadores, passando pela identificação
das entidades que compõem o Terceiro Setor e os títulos que lhes são conferidos
pelo Poder Público. De posse de todos esses elementos, cujos contornos faz-se
necessário para a pesquisa que ora apresentamos, passaremos ao estudo do tema
propriamente dito, apresentando o panorama normativo que está inserido o serviço
de saúde, e, por fim, identificando o regime jurídico da gestão do serviço de saúde
pelas entidades do Terceiro Setor, buscando, em seguida, apresentar as conclusões
obtidas do confronto que faremos entre os aspectos legislativos e doutrinários sobre

Le pouvoir de décision unilatérale de l’administration entretient avec la démocratie administrative des rapports ambivalents. Appréhendée comme l’ensemble des règles qui tendent à la participation des administrés à l’élaboration des décisions administratives, la démocratie administrative est de prime abord contradictoire avec la dimension de contrainte et de commandement que l’unilatéralité manifeste. Faisant figure d’oxymore, elle s’est pourtant imposée à un pouvoir dont la légitimité semblait remise en cause. Le principe d’une participation des administrés irrigue désormais, à travers des procédés multiples et utilisant les nouvelles technologies, la relation entre le « public » et l’administration : la démocratie administrative a saisi le pouvoir de décision unilatérale.Pourtant, loin de remettre en cause ce pouvoir, la démocratie administrative vient en réalité le conforter. En se limitant à une ouverture du processus d’élaboration de certaines décisions administratives, le droit actuel de la participation des administrés n’atteint pas les caractères mêmes de l’unilatéralité. Les participants n’accèdent que très exceptionnellement au rang de coauteurs et leur influence sur le contenu de la décision est limitée. La sollicitation du public s’avère être un instrument de légitimation du volontarisme de la puissance publique. Avec le renfort du juge administratif, la participation des administrés demeure un simple moment procédural. La démocratie administrative se révèle être en définitive une notion malléable, dont l’administration tire profit dans l’exercice de son pouvoir de décision unilatérale. / The unilateral decision-making power of the administration maintains an ambivalent relationship with the administrative democracy. Understood as the set of rules which tend to the governed participation in the development of administrative decisions, administrative democracy is prima facie contradictory to the dimensions of constraint and command that are part of unilaterality. Standing as an oxymoron, it has yet imposed on a power which legitimacy seemed compromised. The principle of participation of the governed irrigates now, across multiple processes and through the use of new technologies, the relationship between the "public" and the administration: the administrative democracy has seized the power of unilateral decision.Yet far from questioning this power, the administrative democracy has actually strengthened it. Limiting itself to opening up the process of drafting of certain administrative decisions, the current right of participation of the governed does not reach the characters of unilateralism. Participants only access exceptionally to the rank of co-authors and their influence on the content of the decision remains limited. Public solicitation proves to be a legitimizing instrument of the voluntarism of the public authority. With the reinforcement of the administrative judge, citizen’s participation remains a simple procedural time. The administrative democracy ultimately proves to be a malleable concept, of which the administration benefits in exercising its power of unilateral decision.

Analýza trhu PR agentur v ČR v letech 2013-2015 / Market analysis of PR agencies in Czech Republic in the period 2013 - 2015Jakubcová, Klára January 2016 (has links)
The work analyzes market of public relations in the Czech Republic in the period from 2013 to 2015 based on the available data. Data come from research for The Association of PR Agencies (APRA) and from the balance sheets of selected agencies. The main hypothesis says, there is a monopolistic competition on the Czech market of PR agencies, because there is homogenous product, a large number of agencies, no entry barriers and agencies don´t have market power. I tested the hypothesis by calculating the Concentration coefficient and the Herfindahl Hirschman Index. Both methods confirmed the main hypothesis of monopolistic competition in this market. Work also includes the TOP 10 of PR agencies in the Czech market according to turnovers. It shows that the largest agency in the 2013 was Bison & Rose and in 2014 and 2015 it was AMI Communications. I also compared the changes in income and in prices of services by agencies that are members of APRA. So I can say that between the period from 2013 to 2015 there was a 18% growth in income of agencies, which was caused by higher quality of orders and not by raising prices.
