Transaction in securities and their legal regulation The aim of this thesis is to define transactions with securities which are executed on capital market by investment firm. Theses is composed of 7 main chapters. Introductory chapters briefly provide evolution of securities in history. Afterwards the thesis focuses on the definition of securities according to contemporary legal regulation and reflects recent multiple changes in legal regulation. Attention is concentrated also to classification of securities in legal regulation. Types of contracts used in transactions with securities are also described. Consequently thesis concentrates on capital market regulation and supervision from the perspective of European and national law and reflects ongoing harmonization process. Primary attention is concentrated on position and activities of investment firm. It is the investment firm which provides investment services to customers and executes transactions with securities on capital market. The role of financial market development in foreign direct investment and foreign portfolio investment in selected African economies

Thesis submitted in fulfilment of the requirements for the degree of Doctor of Philosophy in the Faculty of Commerce, Law and Management, Wits Business School at the University of Witwatersrand, Johannesburg 2016 / The primary objective of this study was to investigate the role played by financial market development (FMD) in harnessing international capital flows of foreign direct investment (FDI) and foreign portfolio investment (FPI) in nine selected African economies, from 1980 to 2014. The study employed various econometric techniques such as the Generalised Method of Moments (GMM) for the dynamic panel data, Autoregressive Distributed Lag (ARDL) bounds testing approach to cointegration, Vector Error Correction Models (VECM) as well as Granger-causality tests. Using Principal Components Analysis (PCA), we also developed an infrastructural development index, as well as one for financial market development. The results highlighted that FDI to sampled African countries are determined by agglomeration effects, FPI, human capital development, real gross domestic product (GDP) growth, interest rates, inflation, infrastructure, trade openness, institutional quality, natural resources, and only certain individual financial market variables. FDI determinants are magnified by the application of the infrastructural and financial market development indices. FPI inflows, on the other hand, are influenced by FDI, exchange rates, stock market capitalisation, financial system liquidity, FPI agglomeration effects, capital account openness, and real GDP growth rates. The composite FMD index has a positive and highly significant effect on both FDI and FPI inflows to the selected African countries. There is reasonable evidence of bi-directional Granger causality between FDI and FPI, and FPI and overall FMD (FMD index), thus implying complementarity, as well as uni-directional Granger causality emanating from FDI to stock market capitalisation, FDI to domestic credit to the private sector by banks and also from FDI to overall financial market development in Botswana, Cote d’Ivoire, Egypt, Kenya, Mauritius, Morocco, Nigeria, South Africa, and Tunisia. In light of these findings, the policy implications are that African governments need to be conscientised on the benefits of financial market liberalisation and development. An open economy, complemented by adequate infrastructural and financial market development, plus appropriate regulation would play a significant role in attracting the type of international capital flow desired by the African host country’s level of economic development, without the concern of depleting other non-renewable natural resources. / GR2018

Fatores determinantes para abertura de capital de empresas brasileiras / IPO determinants of Brazilian Companies

A literatura internacional sobre abertura de capital é ampla e vários artigos foram publicados a respeito do tema. No entanto, no Brasil, ainda são poucos os pesquisadores que se dedicam ao estudo de tal fenômeno, haja vista que o crescimento relevante do mercado de capitais nacional ainda é recente. O objetivo deste trabalho é identificar, com base em indicadores contábeis, de mercado e características das empresas, quais são os fatores determinantes para a abertura de capital de empresas brasileiras. A metodologia utilizada no estudo foi de regressão logística com dados agrupados e de regressão logística com dados em painel. A amostra total contém 1720 empresas-ano entre os anos de 2004 e 2010, dos quais 182 são relativos a empresas que abriram o capital no período. Os resultados apontados indicam que as firmas que fizeram oferta de ações no período foram aquelas que vinham investindo significativamente, que possuíam maior nível de rentabilidade e aquelas que aumentaram seu nível de endividamento. O IPO foi uma alternativa para adequar a estrutura de capital e/ou captar recursos para continuar investindo no seu crescimento. Adicionalmente, as empresas que abriram o capital foram aquelas que aproveitaram janela de oportunidade (Market timing) oferecida no período e iniciaram a negociação de suas ações em Bolsa de Valores. O tamanho das empresas não foi estatisticamente significante para o IPO, haja vista que algumas companhias relativamente pequenas e outras pré-operacionais iniciaram a negociação de suas ações. Além disso, diversas outras empresas com porte suficiente, por algum motivo, não fizeram IPO. A pesquisa apontou que o tempo de mercado da empresa (idade desde a fundação) afeta negativamente a probabilidade de abertura de capital, tendo em vista que o mercado já dispõe de regras de governança corporativa bem estabelecidas e que tais regras contribuiriam para que investidores tivessem confiança mesmo em empresas com pouco tempo de mercado. Outro resultado da pesquisa aponta que as companhias localizadas na região Sudeste do país tem maior propensão para realizar o IPO, uma vez que os empresários de outras regiões estão mais distantes do polo financeiro do país, vivem em um ambiente de negócios menos intenso, e, consequentemente, têm menos atitude para buscar alternativas de financiamento (menor importância é dada por eles aos benefícios de captar recursos em mercado de capitais). Por fim, o trabalho identificou que empresas subsidiárias e estatais são menos propensas à abertura de capital, conforme esperado. O trabalho abrange a discussão de possíveis argumentos para diminuição do potencial de crescimento do mercado de capitais e das razões pelas quais muitas empresas ainda não se motivaram a vender suas ações no mercado. / IPO has a wide international literature with many papers published on this subject. However, in Brazil, there are a few researchers who are dedicated to study this phenomenon, considering that the relevant growth of the national capital market is still recent. The objective of this study is to identify, based on accounting and market indicators and firm characteristics, which are the determining factors for the IPO of Brazilian companies. The methodology used in this study was the pooled logistic regression and the panel logistic regression. The total sample contains 1720 firm years between 2004 and 2010, of which 182 belongs to companies that went public on this period. The results indicate that the companies which made an equity offering in the period were investing on their expansion, increased their debt structure and/or had higher profitability. IPO was an alternative to adjust their capital structure and/or to raise funds to continue investing on their growth. In addition, the firms that went public took advantage of the windows opportunity (market timing) they had in the period to sell their shares. The size of companies was not statistically significant, since relatively small and preoperating firms began trading their shares. Also, several other companies with relevant size did not do their IPO due to any specific reason. Moreover, the age of the company affects negatively the probability of going public, since the Brazilian market already has well established corporate governance regulation and these rules contribute to increase investor\'s confidence on the companies, even if they are still young firms. Another result of this research indicate that firms located in the Southeast of Brazil are more likely to go public, because the entrepreneurs of other regions are far away from the Brazilian financial center, with a less intense business environment and, consequently, with less attitude to search for funding alternatives (less importance is given for the benefits to go public). Finally, the study has identified that subsidiaries and state-owned companies are less likely to go public, as expected. This work also includes the discussion of possible arguments of the potential growth decrease of stock markets in Brazil and the reasons why many companies are still not motivated to sell their shares in the market.

O Sistema Financeiro de um país tem como uma de suas funções principais a de permitir a eficiência alocativa de recursos da sociedade, ou seja, viabilizar a transferência de recursos entre agentes superavitários e agentes deficitários, de maneira que os benefícios sejam adequadamente distribuídos, incentivando tanto a poupança quanto o investimento produtivo. O Mercado de Capitais, por sua vez, como um dos segmentos do sistema financeiro, atua na intermediação financeira de médio e longo prazo, disponibilizando recursos para investimentos com prazos de maturação mais longos, assumindo um relevante papel no desenvolvimento econômico. No Brasil, o mercado de capitais se especializou, historicamente, no repasse de recursos de dívida (debt). No entanto, nos últimos 4 anos, especificamente a partir de 2004, um segmento do mercado de capitais aflorou novamente: o de recursos de capital (equity). De fato, o volume de aberturas de capital via emissão pública de ações (initial public offer IPO) cresceu mais de 600% entre 2004 e 2007, saltando de um volume de R$ 9,2 bilhões naquele ano para cerca de R$ 67,3 bilhões em 2007. Para que se torne uma alternativa de financiamento permanente às empresas brasileiras, objetivo historicamente sempre perseguido pelas autoridades econômicas, é fundamental que os benefícios decorrentes do funcionamento desse mercado estejam sendo adequadamente distribuídos entre tomadores e doadores de recursos. Nessa lógica, o presente estudo possui dois objetivos específicos: (i) traçar um quadro geral do processo de abertura de capital via oferta pública de ações ocorrido no período 2004/2007 e (ii) verificar se os benefícios de tal processo estão sendo adequadamente distribuídos entre vendedores e compradores desses papéis. Para tanto, numa abordagem exploratório-descritiva, o trabalho foi estruturado em duas linhas: (i) análise comparada do atual ciclo de emissão de ações com os ciclos anteriores de abertura de capital, e (ii) análise dos retornos gerados por essas ações após sua emissão, a curto e longo prazo, analisando seus efeitos e conseqüências para vendedores e compradores, bem como para a sociedade em geral. Pela análise comparada com os ciclos anteriores, verificou-se a repetição do mesmo conjunto de características, com destaque para os indícios de especulação financeira. Na análise dos retornos dessas ações, verificou-se a ocorrência do underpricing no primeiro dia, enquanto que, no médio e longo prazo, observou-se a ocorrência de overpricing. Já quando comparadas com o retorno do Ibovespa, essas ações apresentaram retornos inferiores, enquanto o esperado seria um retorno superior, em função do risco mais elevado das novas ações. Em termos de retornos nominais, essas novas ações apresentaram retornos positivos enquanto o mercado estava em um ciclo de alta (20.05.08, pico de Ibovespa), e forte retorno negativo quando o mercado mudou para um período de queda (data-base 31.10.08). Por fim, foram apurados, mediante consulta aos prospectos de emissão, os valores patrimoniais das novas ações antes da emissão, identificando-se um conjunto de preços bem inferiores aos respectivos preços de lançamento. Tal realidade indica que as empresas e sócios que fizeram a venda desses papéis via oferta pública inicial obtiveram preços bastante elevados, que dificilmente obteriam em negociações privadas de ativos. Nessa lógica, a questão do underpricing perde consistência, cuja perda seria compensada pelo ganho com a abertura de capital. Esse conjunto de análises aponta que o atual ciclo vem trazendo ótimos retornos para os vendedores (empresas e sócios), mas retornos negativos aos compradores (investidores), com o que não estaria sendo benéfico para a sociedade como um todo. / The Financial System of a country has as one of its main features that of allowing the efficient allocation of resources of the society, that is, promote the transfer of resources between superavitary and deficitary agents, so that the benefits can be suitably distributed, fostering both savings and the productive investment. The Capital Market, on its side, as one of the segments of the financial system, acts in the financial intermediation of medium and long term, making resources available for investments with longer maturity terms, taking over a relevant role in the economic development. In Brazil, the capital markets historically specialized in the transfer of debt resources (debt). However, during the last 4 years, specifically as of 2004, a segment of the capital market has once again come up: that of capital resources (equity). Actually, the volume of the capital openings through public issue of shares (initial public offer - IPO) grew more than 600% between 2004 and 2007, jumping from a volume of R$ 9.2 billion during such year to around R$ 67.3 billion in 2007. In order to remain a permanent finance alternative for the Brazilian companies, the object which has been historically pursued by the economic authorities, it is essential that the benefits originated from the operation of such market are suitably distributed among receivers and donors of resources. Within this logic, the present study has two specific purposes: (i) trace a general picture of the capital opening process by public offer of shares occurred during the period 2004/2007 and (ii) check whether the benefits of such process are being suitably distributed among sellers and buyers of such papers. For such purpose, in a descriptiveexploratory view, the work was structured in two lines: (i) comparative analysis of the current cycle of issue of shares with the previous cycles of capital opening, and (ii) analysis of returns generated by such shares after their issue, at short and long term, analyzing their effects and consequences for sellers and buyers, as well as for the general society. From the compared analysis with the previous cycles, we found the repetition of the same set of characteristics, with emphasis for the indications of financial speculation. From the analysis of the returns of such shares, we found the occurrence of underpricing on the first day, whilst at the medium and long range, overpricing was determined. When compared with the Ibovespa return, such shares showed inferior returns, whilst the expected would be a higher return, as a consequence of the higher risk of the new shares. In terms of nominal returns, such new shares showed positive returns whilst the market was in a height cycle (05.20.08, Ibovespa peak), and strong negative return when the market changed to a drop period (base date 10.31.08). Finally, there were determined, by means of consultation of the issue prospectus, the book values of the new shares prior to issue, identifying a set of prices quite lower than the corresponding launching prices. Such reality indicates that the companies and partners performing the sale of such papers through initial public offer obtained quite high prices, which would seldom be obtained in private negotiations of assets. Under such logic, the issue of underpricing looses consistency, which loss would be offset by the gains due to the open capital. This set of analysis points out that the current cycle has been producing excellent returns to the sellers (companies and partners) but negative returns to the buyers (investors), reason why it would not be beneficial to the society as a whole.

An analysis of the effects of financial liberalisation on capital formation and economic growth in sub-Saharan Africa

This thesis empirically investigates the effects of two main financial liberalisation policies namely interest rate liberalisation and capital market liberalisation on capital formation and economic growth in ten Sub-Saharan African countries for the period 1970 to 2014. The empirical analysis employs revised time series and panel estimation techniques. The time series methodology allows for structural breaks in the multiple regression analysis, unit root tests, cointegration tests as well as Granger causality tests. The panel data methodology employs both fixed effects and random effects estimation techniques. A major novelty of this thesis is that it incorporates the so-called Mundlak procedure in the panel data methodology that enables the decomposition of the effects of each of the two financial liberalisation policies on capital formation and growth into transitory effects and permanent effects. Overall, the time series results provide evidence of mixed effects. Although, interest rate liberalisation and capital market liberalisation have significant positive short run effects on capital formation and economic growth in majority of the countries, there is evidence that the long run effects of both liberalisation policies are insignificant. The Mundlak decomposition provides evidence that the transitory effect of interest rate liberalisation is to boost capital formation and economic growth, and that capital market liberalisation tends to be insignificant to capital formation and growth in the short run. The Mundlak decomposition also provides evidence that both interest rate liberalisation and capital market liberalisation have a permanent effect on economic growth, but the permanent effect of both liberalisation policies on capital formation is insignificant. On the balance of evidence, there is an indication that the introduction of both financial liberalisation policies may not be as beneficial as the World Bank and the International Monetary Fund claim and may not be a safe road to capital formation and growth, at least in the Sub-Saharan African region.

The reform of the split share structure in China and its effects on the capital market: an empirical study

This thesis investigates the impact of the reform of the split share structure on the Chinese capital market. It adopts an event study methodology to examine the share price performance around the announcements of the reform and its predicted determinants, the type and level of consideration by using a sample of the top 300 companies listed in the combined Shanghai Stock Exchange (SSE) and Shenzhen Stock Exchange (SZSE). I find the three-day cumulative abnormal returns (CAR) to be negative and significant around government announcement of the reform on 29 April 2005, but the three-day CAR around company???s announcement of the reform to be positive and significant. I attribute this change of sentiment by the market to the release of information about the reform process concerning features such as type and level of consideration. I also regress the company???s CAR on the type and level of consideration and find evidence to suggest that type of consideration matters, where investors prefer payment of shares from capital reserves or retained profits, cash, warrants or any combination of these methods as opposed to payment of shares from non-tradable shareholders. However, I observe no relation between level of consideration and CAR. I interpret this reaction to be that investors perceive that the consideration level is fair and reasonable based on the company???s financial and operating conditions. These results imply that the reform of the split share structure exerts a positive impact on a company???s share price and the extent of impact is a function of the type of consideration.
