El Buen Gobierno Corporativo y la creación de valor en la empresa

En los últimos años, el tema del Gobierno Corporativo [GC] ha tomado mayor relevancia, debido a al rol que ha asumido frente a sucesos a nivel mundial relacionados con malversación de fondos, corrupción, conflictos de intereses de compañías con gran trayectoria y reconocimiento. Sin duda, esta situación ha motivado el interés de diversos investigadores para realizar estudios que permitan determinar el nivel de repercusión que posee su adopción en diversos ámbitos de las empresas. Por tal motivo, el presente trabajo tiene como objetivo principal determinar, a partir de la literatura e investigaciones encontradas, el impacto de la aplicación del buen GC en la generación de valor de las empresas. Los estudios expuestos en el presente constituyen un referente, puesto que se han realizado en diferentes países y en determinados periodos de tiempo, en el que se presentan resultados variados y se pone en evidencia la controversia que envuelve el nexo entre estos conceptos, considerados variables de investigación. Algunos de los resultados señalan la existencia de una relación significativa entre ambas variables; sin embargo, a su vez, existen indagaciones que no definen un vínculo significativo entre estas. Por ello, con el fin de identificar la relación, en principio, se expondrán los conceptos principales en torno al tema a través de la revisión de la literatura entrelazada al GC y valor de la empresa. Posterior a esto, se describen las posturas de diferentes autores frente al vínculo entre estos dos conceptos, con el fin de obtener las conclusiones pertinentes y acordes a los objetivos del presente trabajo. / In recent years, the issue of corporate governance has become more relevant because it has played an important role in the face of global events concerning embezzlement, corruption, conflicts of interest of companies with great track record and recognition; which has motivated the interest of various researchers to carry out studies to determine the level of impact that its adoption has in various areas of companies. For this reason, the main objective of this work is to determine, from the literature and research found, the impact of the application of Good Corporate Governance on the generation of value of companies. The studies presented herein are a reference, since they have been carried out in different countries and in certain periods of time, presenting varied results and highlighting the controversy surrounding the relationship between these concepts, considered research variables. Some of the results indicate a significant relationship between the two variables; however, in turn there is research that does not define a significant relationship between them. Therefore, in order to identify the relationship, the main concepts around the topic will initially be presented through the revision of the literature related to Corporate Governance and company value, and then describe the positions of different authors against the relationship between these two concepts in order to obtain the relevant conclusions and according to the objectives of this work. / Trabajo de Suficiencia Profesional

Corporate Social Responsibility (CSR):s påverkan på lönsamhet : En kvantitativ studie av 208 amerikanska börsnoterade bolag och 253 europeiska börsnoterade bolag

Nivå: Examensarbete på grundnivå (kandidatexamen) i ämnet företagsekonomi.  Författare: Ruaa Mohammed & Suhaib Nasrallah Handledare: Jan Svanberg Datum: 2023-Maj Syftet: Frågor kring miljö och hållbarhet har blivit alltmer intressant hos företag och intressenter. Därför blev CSR viktig för företag att ta hänsyn till och för att kunna legitimera sig. Denna studie syftar till att studera sambandet mellan CSR och lönsamhet, mätt med lönsamhetsmåtten (ROA och ROE) inom två geografiska områden. Vi kommer att undersöka i vilket område är sambandet mellan variablerna starkast för året 2021. Metod: Studien bygger på en kvantitativ undersökning, där sekundära data har samlats in för 461 bolag inom USA och EU från databasen Refinitiv Eikon för året 2021. Därefter används statistikprogrammet SPSS för att behandla beräkningen av studiens resultat. Resultat & Slutsats: Resultatet för denna studie jämfört med tidigare studier visar att det råder ett svagt negativt samband mellan CSR och lönsamhet i både USA och EU mätt i ROA som inte kan statistiskt säkerställas på grund av att signifikans saknas. Däremot är sambandet neutralt i USA och EU mätt med ROE, det vill säga att det inte alls finns något samband mellan variablerna. Sammantaget för denna studie förekommer det ingetsamband mellan CSR och lönsamhet då signifikans saknas. Studiens slutsats finner att det inte går att påvisa att CSR kan bidra till förbättrat lönsamhet i båda länderna. Dessutom visar det framkomna resultatet att sambandet inte påverkas av skillnaderna i deinstitutionella systemen. Studiens bidrag: Denna studie bidrar till en ökad förståelse av företagsekonomiskforskning genom att göra en omfattande studie om huruvida tillämpning av CSR påverkar företags lönsamhet mätt utifrån lönsamhetsmåtten. Samt ger ytterligare förståelse för sambandet mellan CSR och lönsamhet genom en jämförelse mellan EU och USA. Förslag till framtida forskning: Eftersom studien har sina begränsningar kan det finnas möjligheter för framtida forskning. Ett förslag för framtida studier är att studera forskningsämnet under flera år med flera modeller och flera variabler, ett tips är att studera lönsamhet utifrån andra mått.

The practical part consists of strategic analysis, financial analysis, SWOT analysis, financial plan construction and final calculation of company value via DCF entity and EVA methods. The result of the thesis is the ekvity value of TSS company.

Темой диссертационной работы «Факторы повышения конкурентоспособности международных компаний в современных условиях». Исследование является актуальным, так как энергетика находится на этапе всеобщего перехода к возобновляемым источникам энергии. Enel глобализирует распространение новых технологий и нуждаются в иностранных инвестициях стран потенциального будущего присутствия. Целью выпускной квалификационной работы является разработка рекомендаций для компании, находящейся в стадии подготовки к привлечению иностранных инвесторов. Объектом научно-исследовательской работы является итальянская энергетическая компания Enel s.p.a. Предметом – особенности стратегического планирования компании энергетической отрасли. Проведена оценка энергетической отрасли в ситуации пандемии COVID-19. Высказаны предположения по поводу последствий влияния пандемии на рынок энергетики. Описаны особенности деятельности компании-объекта, организационная структура, а также риски и корпоративное управление. Проведена оценка основных производственноэкономических показателей̆компании, а также оценка стоимости компании. Далее проведен анализ рынка конкурентов путем оценки результатов деятельности четырех основных конкурентов. Проведена оценка позиции Enel S.P.A на энергетическом рынке на основании положения крупнейших конкурентов. Разработана стратегия повышения инвестиционного потенциала международной энергетической компании. Проанализирована эффективность деятельности компании путем выявления рисков. Привлечены такие методы, как «Three Pillars of Electricity industry sustainability», The 3A Framework», SWOT анализ. Далее проведена оценка глобальной деятельности компании путем вычисления Индекса транснациональности. Выявлены аспекты ключевой стратегии Enel. Завершающей частью работы стало разработка рекомендаций для повышения возможности трансформации внутренней̆ среды Enel S.P.A. в целях повышения привлекательности общества в свете интересов иностранных инвесторов. / The study is relevant, as the energy sector is at the stage of universal transition to renewable energy sources. Enel is globalizing the spread of new technologies and needs foreign investment from countries with a potential future presence. The purpose of the final qualification work is to develop recommendations for a company that is in the process of preparing to attract foreign investors. The object of the research work is the Italian energy company Enel s. p.a. The subject is the peculiarities of strategic planning of the company in the energy industry. An assessment of the energy industry in the situation of the COVID-19 pandemic was carried out. Suggestions have been made about the impact of the pandemic on the energy market. The features of the target company's activity, organizational structure, as well as risks and corporate governance are described. The assessment of the main production and economic indicators of the company, as well as the assessment of the company's value, was carried out. Further, the analysis of the competitors ' market is carried out by evaluating the performance of the four main competitors. The assessment of Enel S. P. A's position in the energy market is based on the position of its largest competitors. A strategy has been developed to increase the investment potential of an international energy company. The effectiveness of the company's activities is analyzed by identifying risks. Methods such as "Three Pillars of Electricity industry sustainability", The 3A Framework", SWOT analysis are involved. Further, the assessment of the global activity of the company is carried out by calculating the Index of transnationality. Aspects of Enel's key strategy are identified. The final part of the work was the development of recommendations to increase the possibility of transforming the internal environment of Enel S. P. A. in order to increase the attractiveness of the company in the light of the interests of foreign investors.
