The significance of postmodern theories of interpretation for contractual interpretation : a critical analysis

Thesis (LLD (Mercantile Law))--University of Stellenbosch, 2006. / The objective of this study is to examine the significance of postmodern insights regarding interpretation (especially the rejection of intentionalism) and subjectivity for contractual interpretation theory. In Part One (consisting of chapters 2-5), the leading postmodern insights on interpretation, individual autonomy, texts and intentionalism are discussed. This is done by analysing the present interpretive practice in four chapters: 1) Different theories of interpretation ranging from objectivism and natural law theories to post-structuralism are discussed in chapter 2. 2) In chapter 3 individual autonomy (as advocated by liberal theorists) is contrasted with communitarianism in order to problematize the notion of contracting parties as autonomous, self-regulating beings. By highlighting criticism against liberalism and communitarianism, and also by suggesting critical self-rule as an alternative, the assertion that contracting parties are autonomous and self-regulating is contested. 3) The process of textual definition is critically analysed with emphasis on the position reflected by the application of the parol-evidence rule and also post-structuralist ideas on the definition of texts in chapter 4. It is shown that textual definition consists of interpretation rather than identification. 4) The nature of intention and the process of intention “discovery” are analysed in chapter 5. Because of the centrality of intention in contractual practice, alternative theories on intention (and its role during interpretation) are postulated and it is suggested that post-structuralism can provide a critically reflective theory of intention. It is clear (from the critical analysis of intentionalism) that the way intention is presently approached is theoretically flawed. It is also apparent from the critique of liberal beliefs held regarding the nature of interpretation, subjectivity and the definition of texts that the theoretical foundations of these beliefs are fundamentally flawed. A critical re-imagination of contractual interpretation is necessary. In Part Two, questions about the justifiability of the present interpretive theories are posed. In chapter 6 the practical implications of a new theoretical basis for contractual interpretation are considered by examining the way various rules of interpretation are influenced by the new theoretical basis of interpretation. Three “rules” are examined: 1) The golden rule of interpretation is examined because of its reliance on intentionalist assumptions; 2) the parol-evidence rule is examined because of its relation to positivist assumptions about the definition of texts; 3) the relevance of bona fides as a substantial remedy during the interpretation of the contract is analysed to reveal assumptions about the nature of legal subjectivity in which the present consideration of the bona fides is grounded. It is shown that rules depend not on their content for operation, but rather on the assumptions upon which they are grounded. In short, we do not have to do away with our rules of contractual interpretation, but we have to re-evaluate how we apply those rules. The final part of this dissertation consists of a summary of the conclusions drawn during the course of this study.

Een rechtsvergelijkende studie tussen het Nederlandse en Zuid-Afrikaanse ontslagrecht : met als deelonderwerp, retrenchment

It begins with an overview of the law concerning dismissal whereafter the general position relating to retrenchment and the guidelines of the Industrial Court in that regard, are discussed. Reference is also made to retrenchment on the grounds of insolvency, closure and merger of companies. The legal position in South Africa is compared with that in Dutch labour law, with the purpose of the determining which of the two systems offer the best protection to employees faced with retrenchment. Two criteria were applied, ie that of ,~srtainty of law and the level of protection offered by the law. The differences between the two systems are substantial. While South Africa has a common law system, the Dutch have a civil law system. A second difference is the fact that in the Netherlands there exists a very strong state intervention in employment affairs to a far larger degree than in South Africa. Dutch dismissal law can be called preventive and pro-active, while the South African law appears to be largely re-active. The general conclusion is that workers' ri9hts in the event of retrenchment are more secure in Dutch labour law, and that the Dutch system offers a useful point of reference for reform of the South African position. / DUTCH OPSOMMING: Het centrale onderwerp in deze thesis is retrenchment. Alvorens hier op in te gaan is eerst een overzicht gegeven van de relevante arbeidswetten en het ontslagrecht in het algemeen. We hebben gekeken naar de diverse omstandigheden waarin retrenchment zoal voorkomt. Ondermeer is ingegaan op de omstandigheden rondom sluiting, faillissement en fusie van tedrijven. Verder zijn de diverse richtlijnen voer retrenchment en de rol van de Industrial Court ter sprake gekomen. Om een en ander in perspectief te plaatsen is voorts een vergelijking gemaakt met Nederland. De bedoeling is om te kijken naar welk systeem betere waarborgen biedt voar de werknemer. Hiertoe zijn twee criteria gesteld. Deze zijn de mate van rechtszekerheid en de mate van r~chtsbescherming. De geconstateerde verschillen zijn behoorlijk. Als eerste is het juridisch systeem al verschillend. Zuid-Afrika kent een gemene rechtssysteem en Nederland een burgerlijk rechtssysteem. Een tweede verschil is dat i.n Nederland sprake is van een actieve staatsinterventie. In Nederland kan men spreken van een prefentief ontslagrecht, terwijl in Zuid-Afrika gesproken kan worden van repressief ontslagrecht. De conclusie die uiteindelijk getrokken is, is dat het Nederlandse systeern betere waarborgen biedt voor de werknemer.

The Protection of Privacy in the Workplace: A Comparative Study

Thesis (LLD )--Stellenbosch University, 2011. / ENGLISH ABSTRACT: The importance of privacy lies in the fact that it represents the very idea of human dignity or the preservation of the ‘inner sanctum’. Not surprisingly, however, operational concerns of employers and technological developments combine continuously to challenge the preservation of privacy in the workplace. Employees the world over are exposed to numerous privacy invasive measures, including drug testing, psychological testing, polygraph testing, genetic testing, psychological testing, electronic monitoring and background checks. Hence, the issue at the heart of this dissertation is to determine to what extent privacy is protected in the South African workplace given advancements in technology and the implications (if any) for the right to privacy as such. A secondary aim of the dissertation is to attempt to provide a realistic balance between the privacy concerns of employees and the operational needs of employers in this technological age. As such the main focus of dissertation falls within the sphere of employment law. In order to provide an answer to the research issue discussed above, the dissertation addresses five ancillary or interrelated issues. First, the broad historical development of the legal protection of privacy is traced and examined. Second, a workable definition of privacy is identified with reference to academic debate and comparative legislative and judicial developments. Third, those policies and practices, which would typically threaten privacy in the employment sphere are identified and briefly discussed. Fourth, a detailed evaluation of the tension between privacy and a number of selected policies and practices in selected countries is provided. More specifically, the dissertation considers how these policies and practices challenge privacy, the rationale for their existence and, if applicable, how these policies and practices – if necessary through appropriate regulation – may be accommodated while simultaneously accommodating both privacy and the legitimate concerns of employers. The selection of these practices and policies is guided by two considerations. At the first level the emphasis is on those challenges to privacy, which can be traced back to technological developments and which, as such, foster new and unique demands to the accommodation of privacy in the workplace. The secondary emphasis is on those policies, which are representative of the fundamental challenges created by new technologies to privacy. Public employment and the relationship between labour and administrative law

Thesis (LLD)--University of Stellenbosch, 2011. / ENGLISH ABSTRACT: The focus of this study is the rights-based normative overlap of labour and administrative law in public employment. As the judiciary appeared to be unable to agree on a unified approach to the application of the rights to fair labour practices and just administrative action to public employment, it was clear that the complexity and multi-dimensional character of the debate required analysis of existing approaches to the regulation of the public employment relationship. The following initial research question was formulated: To what extent does (and should) the constitutionalised rights to fair labour practices (s 23) and just administrative action (s 33) simultaneously find application in the regulation of public employment relationships? In answering this question, certain realities had to be acknowledged, the most important being that the debate in question jurisprudentially revealed itself to be a jurisdictional turf-war between the Labour and High Courts, rather than proper consideration of the relevant substantive arguments and underlying normative considerations. This called for an additional dimension to be added to the research question, namely consideration of the extent to which the ss 23 and 33 rights are informed by variable and possibly different normative principles and whether these rights allow for cooperative regulation of public employment in accordance with the doctrine of interdependent fundamental rights. This became the primary focus of the study. In an attempt to simplify the debate, a deliberate decision was taken to limit the scope of the normative study to South Africa with its own historic influences, structures and constitutional considerations. The study shows that both labour and administrative law (as constitutionally informed) share concern for equity-based principles. This is evident from the flexible contextually informed perspectives of administrative law reasonableness in relation to labour law substantive fairness, as well as a shared concern for and approach to procedural fairness. Once simplified, and in the absence of any undue positive law complexity, the public employment relationship, at both a normative and theoretical level, furthermore shows no substantive status difference with private employment relationships. It is, however, accepted that there are job and sector-specific contextual differences. In the absence of substantive normative conflict between these branches of law and in the absence of a fundamental (as opposed to contextual) difference between public and private employment, there appears to be no reason to ignore the constitutional jurisprudential calls for hybridity, otherwise termed the doctrine of interdependence. The idea of normatively interdependent rights expresses the Constitution’s transformative vision (through the idea of flexible conceptual contextualism) and recognises that human rights may overlap. This also means that where such overlap exists, rights should be interpreted and applied in a mutually supportive and cooperative manner that allows for the full protection and promotion of those rights. In giving expression to the interdependent normative framework of constitutional rights, these norms (absent any substantive rights-based conflict) should then be used by the judiciary as an interpretative tool to align specific labour law and general administrative law in the regulation of public employment relationships. / AFRIKAANSE OPSOMMING: Die fokus van hierdie studie is die regsgebaseerde normatiewe oorvleueling van arbeids- en administratiefreg in die openbare diensverhouding. Aangesien dit blyk dat die regsbank nie kon saamstem oor ‘n eenvormige benadering tot die toepassing van die regte op billike arbeidspraktyke en regverdige administratiewe optrede op die openbare diensverhouding nie, het die kompleksiteit en multi-dimensionele karakter van die debat dit genoodsaak om bestaande benaderings tot die regulering van die openbare diensverhouding te analiseer. Die idee van normatiewe interafhanklike regte gee uitdrukking aan die Grondwet se visie van transformasie (via die idee van buigsame konsepsuele kontekstualisme) en erken dat menseregte soms oorvleuel. Dit beteken ook dat waar so ‘n oorvleueling bestaan, regte ïnterpreteer en toegepas moet word in ‘n wedersyds ondersteunende en samewerkende wyse wat voorsiening maak vir die volle beskerming en bevordering van daardie regte. Open-source software and the rationale for copyright protection of computer programs

Thesis (LLD)--Stellenbosch University, 2013. / ENGLISH ABSTRACT: The rationale for the legal protection of copyright works is based on the perceived need to encourage the creation of works which are considered to be socially beneficial. By awarding authors proprietary rights in their creations, copyright law allows authors the ability to earn direct financial returns from their efforts, and, thus, copyright law provides the required incentives for authors to create copyright works. Since the early days of commercial software development, copyright protection has been extended to computer programs; thus, by providing such protection it was assumed that their production should be encouraged, and that without such protection they will not be produced to the extent required by society. Comparatively recently, we have witnessed large-scale production of open-source software, which is licensed on generous terms, giving users the right to freely use, modify and redistribute such software. By adopting such licensing terms, the authors of open-source software are unable to charge licensees a fee for permission to use their software, which is the reward which copyright assumes authors seek to create such software. This development has made it necessary to re-evaluate the rationale for copyright protection of computer programs, and determine whether the continued protection of computer programs is justifiable. This study seeks to first establish a coherent theoretical justification for copyright protection, which it is submitted should be an economic justification, rather than a moral justification. The legal analysis in this work seeks to establish whether the copyright protection of computer programs is consistent with the economic justification for copyright protection. In particular, the analysis focuses on the current scope of copyright protection, and seeks to establish whether such protection is excessive, stifling creativity and innovation, and, thus, imposing too high a social cost. It is contended that copyright doctrine has generally sought to minimise these costs, and that current scope of copyright protection of computer programs leaves enough creative room for the production of new software. Despite the fact that the effect of open-source software licences is that authors are unable to earn the direct financial rewards which copyright enables authors to earn as an incentive to create such software, their authors continue to have financial incentives to create such software. Commercial firms who invest in open-source software do so because they seek to provide financially-rewarding related services in respect of software, or because it serves to promote sales in their complementary products. Similarly, the participation of individual computer programmers is largely consistent with the standard economic theories relating to labour markets and the private provision of public goods. Individuals are principally motivated by economic motives, such as career concerns. Copyright protection gives participants the choice to opt for the direct financial rewards which its proprietary protection enables, or the more indirect financial rewards of open-source software development. It is submitted within this research that rather than undermining the rationale for copyright protection of computer programs, the development of open-source software has illustrated that copyright protection allows for the emergence of alternative business models, which may be more economically advantageous to authors. / AFRIKAANSE OPSOMMING: Die rasionaal agter outeursregbeskerming wat deur die reg verleen word is gebasseer op 'n behoefte om die skepping van werke wat sosiaal voordelig geag word te bevorder. Outeursreg verleen aan outeurs direkte finansiële vergoeding vir hul inspanning deur die vestiging van eiendomsreg oor hul werke. Dus, outeursreg voorsien outeurs van die nodige insentiewe om sulke werke te skep. Sedert die begindae van kommersiële sagteware ontwikkeling, is outeursregbeskerming uitgebrei om aan rekenaarprogramme sulke beskerming te bied. Kommersiële firmas belê in oopbronsagteware om finansiëel lonende verwante dienste ten opsigte van sagteware te voorsien. Dit kan ook dien om verkope in hul onderskeie aanvullende produkte te bevorder. Eweweens is die deelname van individuele rekenaarprogrameerders oorwegend in lyn met die standaard ekonomiese teoriëe ten opsigte van die arbeidsmark en die privaat voorsiening van openbare goedere. Individue word gemotiveer deur ekonomiese motiewe, soos byvoorbeeld oorwegings wat verband hou met hul loopbane. Outeursregbeskerming bied aan deelnemers die keuse om voordeel te trek uit die direkte finansiële vergoeding wat moontlik gemaak word deur outeursregbeskerming of uit die meer indirekte finansiële vergoeding gebied deur die ontwikkeling van oopbronsagteware. In hierdie navorsing word daar geargumenteer dat die ontwikkeling van oopbronsagteware geillustreer het dat outeursregbeskerming die onstaan van alternatiewe besigheidsmodelle toelaat wat ekonomies meer voordelig is vir outeurs in plaas daarvan dat dit die rasionaal vir die outeursregbeskerming van rekenaarprogramme ondermyn.

Users' entitlements under the fair dealing exceptions to copyright

Copyright law ensures that authors’ works are not used without their consent, which they can grant subject to compensation or conditions attached to the use. Fair dealing exceptions allow the general public to use copyright works for certain purposes without the copyright owner’s consent and without paying compensation. These provisions are intended to balance copyright owners’ interests with the interest that members of the public have in using copyright works for socially beneficial purposes. These provisions typically allow the use of a copyright work for the purposes of research or private study, personal or private use, criticism and review, and news reporting. Unfortunately there is no South African case law concerning the fair dealing provisions, and the application of these exceptions remains unclear. This study aims to clarify the extent of application of the fair dealing exceptions to copyright infringement so that courts may be more willing to consider foreign and international law and in doing so develop South African intellectual property law. The social and economic policy considerations underlying the fair dealing exceptions are considered to determine their function. International conventions relating to copyright and neighbouring rights are examined, specifically the provisions allowing exceptions to copyright. The legislation and case law of Australia and the United Kingdom are analysed to determine the proper interpretation and application of these statutory defences. This knowledge is then used to inform South African law. The Copyright Act 98 of 1978 does not contain a fair dealing exception for parody and satire. Australian legislation does contain such an exception, and it is analysed in that context. An exception for parody is proposed for South African law, and the need for and application of this provision is considered. The constitutionality of the proposed exception is evaluated in terms of its impact on the constitutional property rights of copyright owners. / AFRIKAANSE OPSOMMING: Hierdie tesis ondersoek Suid-Afrikaanse outeursreg om die behoorlike uitleg en toepassing van die “billike gebruik”-bepalings in die Wet op Outeursreg 98 van 1978 te bepaal. Outeursreg beskerm die werk van ʼn outeur teen ongemagtigde gebruik van haar intellektuele eiendom. Gebruik kan deur die outeur gemagtig word, òf teen vergoeding òf onderhewig aan bepaalde voorwaardes. Artikels 12-19B (die billike gebruik-bepalings) van die Wet op Outeursreg laat ander toe om sekere werke te gebruik sonder die toestemming van die eienaar van die werk en sonder om vergoeding te betaal. Die bepalings streef om ʼn balans te tref tussen die belange van die outeur en die belange van die publiek. ʼn Werk mag volgens hierdie bepalings tipies gebruik word vir die doeleindes van navorsing of private studie, persoonlike of private gebruik, beoordeling of resensie, of om nuus te rapporteer. Daar is tans geen Suid-Afrikaanse regspraak rakende hierdie uitsonderings nie, en hul toepassing is dus onseker. Substantive equality, affirmative action and the alleviation of poverty in South Africa : a socio-legal inquiry

Thesis (LLD)--Stellenbosch University, 2014. / ENGLISH ABSTRACT: Substantive equality is a constitutional imperative, hence the need for strategies that attempt to realise it for the sake of genuine social reconstruction. The principle of equality runs through all other rights in the South African Constitution. Be that as it may, equality is an elusive concept, which makes its achievement an ambitious task. Nonetheless, there are strategies that attempt to bring to the fore the ‘substance’ of the concept in order to ensure the actual realisation of socio-economic benefits. Such strategies include, among others: social security, education, economic empowerment, skills development and affirmative action. This study will focus on the latter of these strategies, namely affirmative action. Although affirmative action is practised around the world, one of the (many) criticisms of the policy is that it fails to bring about substantive or structural change. In other words, it may change the racial and gender composition of the classroom or the workplace, but does not address the challenges that cause the disadvantages of marginalised groups in the first place. It is arguable that affirmative action has increased inequality in South Africa by benefiting the apex of the class structure and not the majority of the population living in abject poverty. This study develops a theoretical analysis of the link between status (race, sex and ethnicity) and socio-economic disadvantage, and the central question that the study addresses is the following: How can the policy of affirmative action be redesigned to ensure that it benefits the socio-economically disadvantaged? A secondary question that is investigated is whether affirmative action can contribute to the development of human capacities in the context of poverty alleviation. It is arguable that substantive equality facilitates the adoption of strategies (such as affirmative action) to address socio-economic inequality, poverty and social exclusion. The research suggests that a paradigm shift is necessary in order to reconceive of affirmative action as a policy that does not only focus on ensuring ‘equitable representation’ of disadvantaged groups in the workforce or the classroom, but also provides for the development of human capacities. This can be achieved if one adopts an expansive view of affirmative action and if one utilises class as one of the numerous criteria for determining the beneficiaries of the policy. / AFRIKAANSE OPSOMMING: Substantiewe gelykheid is ′n grondwetlike vereiste, vandaar die behoefte om strategieë te ontwikkel wat poog om dit te realiser in die belang van daadwerklike sosiale rekonstruksie. Die beginsel van gelykheid is vervleg met alle ander regte in die Suid-Afrikaanse Grondwet. Gelykheid is nietemin ′n ontwykende konsep, en dit maak die bereiking daarvan ′n ambisieuse taak. Daar is egter strategieë wat gemik is daarop om sosio-ekonomiese voordele te bereik. Voorbeelde van sodanige strategieë sluit in sosiale sekuriteit, opvoeding, ekonomiese bemagtiging, die ontwikkeling van vaardighede, en regstellende aksie. Hierdie studie fokus op laasgenoemde strategie, naamlik regstellende aksie. Ten spyte van die feit dat regstellende aksie regoor die wêreld toegepas word, word die beleid nietmin gekritiseer as sou dit nie werklik wesenlike of strukturele verandering teweeg bring nie. Met ander woorde, dit bring moontlik ‘n verandering teweeg in die rasse-en geslagsamestelling van die klaskamer of die werkplek, maar spreek nie die uitdagings aan wat in die eerste plek lei tot die posisie van relatiewe benadeling waarin gemarginaliseerde groepe hulself bevind nie. Sommige argumenteer dat regstellende aksie bydra tot ongelykheid in Suid-Afrika deur voordele te beperk tot diegene wat hulself aan die toppunt van die klasstruktuur bevind terwyl dit die meerderheid van die bevolking wat in armoede leef ignoreer. Hierdie studie ontwikkel ′n teoretiese ontleding van die verband tussen status (ras, geslag en etnisiteit) en sosio-ekonomiese benadeling. Die sentrale vraag van die studie is die volgende: Hoe kan die beleid van regstellende aksie herontwerp word om te verseker dat dit lei tot die bevoordeling van die sosio-ekonomiese benadeeldes? ’n Sekondêre vraag wat in die studie onder die loep kom is of regstellende aksie ’n bydrae kan maak tot die ontwikkeling van menslike vermoë in die konteks van armoedeverligting. Daar kan geragumenteer word dat die strewe na substantiewe gelykheid strategieë (soos regstellende aksie) na vore bring om sosio-ekonomiese ongelykheid, armoede en sosiale uitsluiting aan te spreek. Die navorsing dui daarop dat ′n paradigmaskuif nodig is om regstellende aksie te herkonseptualiseer as ′n beleid wat nie net fokus op die bereiking van ‘billike verteenwoordiging’ van benadeelde groepe in die werkplek of klaskamer nie, maar ook voorsiening maak vir die ontwikkeling van menslike vermoë. Harmonising the law of sale in the Southern African Development Community (SADC) : an analysis of selected models

Thesis (LLD)--Stellenbosch University, 2014. / ENGLISH ABSTRACT: It is generally recognised that diversity of laws may act as a barrier to the development of trade, both at international and regional level. In a globalised era, trade is necessary for economic development and ultimately for the alleviation of poverty. Although the WTO has done extensive work towards the removal of tariff barriers, there is also a need to focus on addressing non-tariff barriers which include legal barriers to trade. Institutionalised legal harmonisation at an international level has provided the necessary impetus for the development of harmonised laws in the area of international trade. The creation of regional economic communities within the purview of the WTO has also given rise to the necessity of legal harmonisation to facilitate intra-regional trade. A number of regional economic communities and organisations have noted legal harmonisation as one of their areas of regional cooperation. This study focuses on the need to harmonise the law of international sale within the SADC region in order to facilitate cross-border trade. The study points out that the harmonisation of sales laws in SADC is important for the facilitation of both inter-regional and intra-regional trade with the aim of fostering regional integration, economic development and alleviating poverty. Although the necessity of harmonising sales laws has been identified, no effort to this end exists currently in the SADC region. This study addresses the mechanisms by which such harmonisation could be achieved by analysing three models which have been selected for this purpose, namely the CISG, the OHADA and the proposed CESL. The main issues addressed include whether SADC Member States should adopt the CISG, join OHADA, emulate the CESL or should use any of the other instruments as a model for creating a harmonised sales law for SADC. In conclusion, it is observed that SADC has its own institutional and operational mechanisms that require a process and instrument tailor-made for the unique needs of the region. It is recommended that SADC should create its own common sales law based on the CISG but taking into account lessons learnt from both the OHADA system and the CESL. A number of legislative, institutional and operational transformative and reform mechanisms are recommended to enable the creation of such a community law and ensure its uniform application and interpretation. / AFRIKAANSE OPSOMMING: Dit word algemeen aanvaar dat regsdiversiteit die ontwikkeling van internasionale en regionale handel kan strem. In 'n geglobaliseerde ekonomie is internasionale handel noodsaaklik vir ekonomiese onwikkeling en die uiteindelike verligting van armoede. Alhoewel die Wêreldhandelsorganisasie reeds belangrike werk doen om handelsbeperkinge te verlig, is daar ook 'n behoefte om, afgesien van tariewe, ook ander nie-tarief beperkinge op internasionale handel aan te spreek. Regsdiversiteit is een van hierdie beperkinge. Geïnstitusionaliseerde regsharmonisering op 'n internasionale vlak het reeds elders die nodige stukrag verleen vir die harmonisering van die reg van toepassing op internasionale handel. Die totstandkoming van regionale ekonomiese gemeenskappe binne die raamwerk van die Wêreldhandelsorganisasie noodsaak egter verdere regsharmonisering ten einde inter-regionale handel te kan bevorder. 'n Aantal streeksgemeenskappe en –organisasies hanteer reeds regsharmonisering as een van hul areas van samewerking op streeksvlak. Hierdie studie fokus op die behoefte om die internasionale koopreg binne die SAOG streek te harmoniseer ten einde oorgrenshandel te fasiliteer. Die studie toon aan dat harmonisering van die koopreg in die SAOG belangrik is ten einde beide inter-regionale asook intra-regionale handel te fasiliteer met die oog op die bevordering van streeksintegrasie, ekonomiese ontwikkeling en die verligting van armoede. Alhoewel die noodsaaklikheid van 'n geharmoniseerde koopreg geïdentifiseer is, is daar nog geen poging aangewend om dit binne die SAOG streek te bewerkstellig nie. Die studie spreek die meganismes aan waardeur harmonisering bereik kan word deur drie modelle wat vir hierdie doeleindes gekies is te ondersoek, naamlik die Internasionale Koopkonvensie (CISG), OHADA en die voorgestelde gemeenskaplike koopreg-regime van die Europese Unie (CESL). Van die kwessies wat aangespreek word is of the SAOG lidlande die Internasionale Koopkonvensie moet aanneem, by OHADA moet aansluit, alternatiewelik die Europese koopreg of enige van die ander instrumente as model gebruik vir die skep van ‟n geharmoniseerde SAOG koopreg. Ten slotte word daarop gewys dat die SAOG sy eie institusionele en operasionele meganismes het wat vereis dat die proses en instrument pas gemaak moet word vir die streek se unieke behoeftes. Dit word aanbeveel dat die SAOG sy eie gemeenskaplike koopreg moet skep wat op die CISG geskoei is, maar wat ook die lesse geleer uit die OHADA en die EU in ag neem. Ten einde so 'n gemeenskapsreg te kan skep en die uniforme toepassing en interpretasie daarvan te verseker, word 'n aantal wetgewende, institusionele en operasionele hervormingsmeganismes aan die hand gedoen.

Copyright : rebalancing the public and private interests in the areas of education and research

However, since the current copyright law system subtly favors copyright holders, it is time to re-evaluate copyright law to ensure it meets its original purpose of promoting the learning of the society. The research primarily focuses on how to broaden copyright limitations and exceptions for the public to access and use learning materials. Within the framework of the copyright law system, other mechanisms that allow users to access copyrighted materials at a reasonable price also are considered. Such mechanisms include an efficient collective copyright management system and various licensing schemes. In an information network environment, it is time for developing countries to reform copyright law in order to promote education and research. It is hoped the findings of this study not only benefit South Africa and People's Republic of China, but also provide insights and guidelines to other developing countries with similar conditions.
